Sale Contract

per catalogue and sample sent to Party B from Party A)
ARTICLE 3: Payment
3.1

The goods must warranty, innovate if have technologys mistake. Party A will pay any
transport charge.

3.2

Pay 50% total value contract after signing, pay the rest when receives
the quality of goods.

3.3

Party A is responsible for fee of shipment to the gate and Party B would be in charge of
fee shipment to companys IE54.

3.4

Both parties are responsible for insurance of the contract goods. Each party is 50 percent
of fee insurance.

3.5

Certificate of origin issued by the seller

ARTICLE 4: General conditions
The contract valid from the signing date and any amentment of the terms and conditions
of this contract must be agreed to by both sides in writng.
If have claim about the goods must be notified to the party A in writing within 7 days
from receiving goods. Any dispute in connection with the contract to be settled amicably
will be referred to Vietnam International Arbitration Center. The arbitration fee and other
charges will be born by the loosing party unless other wise agreed.
Should any circumstance arises out preventing either party from shortly or party carrying
out its obligation under the contract namely acts of God, government restriction, war,
military actions of any nature, the time stiputated for the performance of the obligation of
the contract should be extended for and as long as the period of consequence of force
majeure lasts.
We, the undersigned hereby confirm and agree the terms and the conditions stated herein.
