(*) Membershi! shall be o!ened to

(-) ($ery a!!lication for membershi! shall be !ro!osed and seconded by two
e'istin members and shall be forwarded to the Secretary who shall at the
first con$enient o!!ort"nity& s"bmit it to the #ommittee for a!!ro$al. The
#ommittee may at its discretion re)ect any a!!lication witho"t assinin any
reason thereof.
(.) ($ery a!!licant whose a!!lication has been a!!ro$ed as aforesaid shall&
"!on !ayment of the !rescribed entrance fee and first monthly s"bscri!tion&
be admitted as a member of the Society and shall be entitled to all the
!ri$ilees of membershi!.
(/) 0 "ni$ersity or "ni$ersity1collee st"dent shall not be eliible for membershi!
witho"t the !rior a!!ro$al of the 2ice1chancellor of the "ni$ersity concerned.

,. Ent%ance Fees# Sbsc%i+tions an$ othe% $es.
(*) The entrance fee and s"bscri!tion !ayable shall be as follows31

(-) 0ll monthly s"bscri!tion shall be !ayable to the Treas"rer in ad$ance within

(.) 0ny member who allows his arrears to e'ceed two months4 s"bscri!tions shall
recei$e a written notification sined by or on behalf of the Secretary& and shall
be denied the !ri$ilees of membershi! "ntil he settles his acco"nt.
(/) 0ny member who allows his arrears to e'ceed three months4 s"bscri!tion
shall a"tomatically cease to be a member of the Society& and the #ommittee
may direct leal action be taken aainst him& !ro$ided that they are satisfied
that he has recei$ed d"e notice of his debts.
(5) The #ommittee shall ha$e the !ower to fi' a re1entrance fee for any !erson
who has allowed his membershi! to la!se thro"h arrears.
(6) S!ecial s"bscri!tions or le$ies for !artic"lar !"r!oses may be raised from
members by resol"tion of the eneral meetin of the Society. If any member
fails to !ay s"ch s"bscri!tion within s"ch !eriod as may be resol$ed& the
amo"nt d"e shall be treated in the same way as arrears of monthly
s"bscri!tion.
-. Resi"nation . /e%mination
(*) 0ny member who wishes to resin from the Society shall i$e two weeks4
notice in writin to the Secretary and shall !ay "! all d"es.
(-) 0ny member who fails to com!ly with the r"les of the Society or has acted in
a manner to brin disre!"te "!on the Society may be e'!elled or s"s!ended
for a !eriod of time as the #ommittee deems fit. Before the #ommittee e'!els
or s"s!ends the member& the member shall be informed of the ro"nds for
s"ch e'!"lsion or s"s!ension in writin and be i$en an o!!ort"nity to
e'!lain and clear himself in !erson. S"ch s"s!ension or e'!"lsion shall be
enforced& "nless otherwise re$ersed by a eneral meetin "!on a!!eal by the
said member.
0. 1ene%al Meetin"
(*) The s"!reme a"thority of the Society is $ested in a eneral meetin of the
members. 0t least one1half of the $otin membershi! of the Society or the
$otin members !resent re!resent twice the total n"mber of committee
members& whiche$er is the lesser& m"st be !resent at a eneral meetin for
its !roceedins to be $alid and to constit"te a ,"or"m.
(-) If half an ho"r after the time a!!ointed for the meetin a ,"or"m is not
!resent& the meetin shall be !ost!oned to a date (not e'ceedin .7 days) to
be decided by the #ommittee8 and if a ,"or"m is not !resent half an ho"r
after the time a!!ointed for the !ost!oned meetin& the members !resent
shall ha$e the !ower to !roceed with the b"siness of the day b"t shall not

ha$e the !ower to alter the r"les of the Society or make any decision affectin
the whole membershi!.
(.) 0n ann"al eneral meetin of the Society shall be held as soon as !ossible
after the close of each financial year b"t not later than 0!ril on a date and a
time and !lace to be decided by the #ommittee. The b"siness of the ann"al
eneral meetin shall be31

(a) To recei$e the min"tes of the !re$io"s ann"al eneral meetin8
(b) To recei$e the #ommittee4s re!ort on the workin of the Society
d"rin the !re$io"s year8
(c) To recei$e the Treas"rers4 re!ort and the a"dited acco"nts of the
Society for the !re$io"s year8
(d) To elect a #ommittee and to a!!oint a"ditors for the ens"in year8
(e) To deal with s"ch other matters as may be !"t before it.
(/) The Secretary shall send to all members at least days before the
meetin an aenda incl"din co!ies of min"tes and re!orts& toether with the
a"dited acco"nts of the Society for the !re$io"s year. #o!ies of these
doc"ments will also be made a$ailable at the reistered !lace of b"siness of
the Society for the !er"sal of members.
(5) 0n e'traordinary eneral meetin of the Society shall be con$ened31
(a) 9hene$er the #ommittee deems it desirable8 or
(b) 0t the )oint re,"est in writin of not less than twice the n"mber of
committee members& statin the ob)ects and reasons for s"ch
meetin.
(6) 0n e'traordinary eneral meetin re,"isitioned by members shall be
con$ened for a date within thirty days of the recei!t of s"ch re,"isition.
(:) Notice and aenda for an e'traordinary eneral meetin shall be forwarded
by the Secretary to all members at least fifteen days before the date fi'ed for
the meetin.
(;) <arara!hs ; (*) and ; (-) of this r"les reardin the ,"or"m and the
!ost!onement of an ann"al eneral meetin shall a!!ly also to an
e'traordinary eneral meetin& b"t with the !ro$ision that if no ,"or"m is
!resent after half an ho"r from the time a!!ointed for a !ost!oned
e'traordinary eneral meetin re,"isitioned by the members& the meetin
shall be cancelled& and no e'traordinary eneral meetin shall be
re,"isitioned for the same !"r!ose "ntil after the la!se of at least si' months
from the date thereof.
(=) The Secretary shall forward to all members a co!y of the draft min"tes of
each ann"al and e'traordinary eneral meetin as soon as !ossible after its
concl"sion.
2. 3ommittee
(*) 0 committee consistin of the followin& who shall be termed the office1
bearers of the Society& shall be elected at the ann"al eneral meetin31

. >rdinary #ommittee Members
(-) 0ll office1bearers of the Society and e$ery officer !erformin e'ec"ti$e
f"nctions in the Society shall be Malaysian citi?ens.
(.) Names for the abo$e offices in !arara!h (*) shall be !ro!osed and
seconded and election will be by a sim!le ma)ority $ote of the members at the
ann"al eneral meetin. 0ll the office1bearers shall be eliible for re1election
each year.
(/) The f"nction of the #ommittee is to orani?e and s"!er$ise the day1to1day
acti$ities of the Society and to make decisions on matters affectin its r"nnin
within the eneral !olicy laid down by the eneral meetin. The #ommittee
shall not act contrary to the e'!ressed wishes of the eneral meetin witho"t
!rior reference to it and shall always remain s"bordinate to the eneral
meetin. It shall f"rnish a re!ort to each ann"al eneral meetin on its
acti$ities d"rin the !re$io"s year.
(5) The #ommittee shall meet at least once e$ery three months& a .. days
notice of each meetin shall be i$en to the members. The <resident actin
alone& or not less than three of its members actin toether may call for a
meetin of the #ommittee to be held at any time. 0t least one half of the
#ommittee members m"st be !resent for its !roceedins to be $alid and to
constit"te a ,"or"m.
(6) 9here any "rent matter re,"irin the a!!ro$al of the #ommittee arises and
it is not !ossible to con$ene a meetin& the Secretary may obtain s"ch
a!!ro$al by means of a circ"lar letter. The followin conditions m"st be
f"lfilled before a decision of the #ommittee is deemed to ha$e been
obtained31
(a) The iss"e m"st be clearly set o"t in the circ"lar and forwarded to all
members of the committee8
(b) 0t least one1half of the members of the #ommittee m"st indicate
whether they are in fa$o"r or aainst the !ro!osal8 and
(c) The decision m"st be by a ma)ority $ote.
0ny decision obtained by circ"lar letter shall be re!orted by the Secretary to
the ne't #ommittee meetin and recorded in the min"tes thereof.
(:) 0ny member of the #ommittee who fails to attend three consec"ti$e meetins
of the committee witho"t satisfactory e'!lanation shall be deemed to ha$e
resined from the #ommittee.

(;) In the e$ent of the death or resination of a member of the #ommittee& the
#ommittee shall ha$e the !ower to co1o!t any other member of the society to
fill the $acancy "ntil the ne't election of office1bearers.
(=) The #ommittee shall i$e instr"ctions to the Secretary and other officers for
the cond"ct of the affairs of the Society. It may a!!oint s"ch officers and s"ch
staff as it deems necessary. It may s"s!end or dismiss any officers or
member of the staff for nelect of d"ty& dishonesty& incom!etence& ref"sal to
carry o"t the decisions of the #ommittee& or for any other reason which it
deems ood and s"fficient in the interest of the Society.
(*7) The #ommittee may a!!oint any s"b1committee for any !"r!ose arisin o"t
of or connected with any of the d"ties& f"nctions and aims laid down "nder the
r"les. 0ny members can become members of these s"b1committee.
14. 5ties of Office6Bea%e%s
(*) The <resident shall d"rin his term of office !reside at all eneral meetins&
all meetins of the committee and shall be res!onsible for the !ro!er cond"ct
of all s"ch meetins. +e shall ha$e the castin $ote and shall sin the
min"tes of each meetin at the time they are a!!ro$ed.
+e shall& in con)"nction with the Secretary and Treas"rer sin all che,"es on
behalf of the Society.
(-) The 2ice1!resident shall de!"ti?e for the <resident d"rin the latter4s
absence.
(.) The Secretary shall cond"ct the b"siness of the Society in accordance with
the r"les& and shall carry o"t the instr"ctions of the eneral meetin and of
the #ommittee. +e shall be res!onsible for cond"ctin all corres!ondence
and kee!in all books& doc"ments and !a!er e'ce!t the acco"nts and
financial records. +e shall attend all meetins& and record all !roceedins.
+e shall kee! a membershi! reister consistin of details s"ch as name&
identity card n"mber& date and !lace of birth& occ"!ation& name and address
of em!loyer and residential address. +e shall in con)"nction with the
<resident and the Treas"rer& sin all che,"es on behalf of Society. +e shall
file ann"al ret"rns within 67 days from the date of the ann"al eneral
meetin to the %eistrar of Societies.
(/) The 0ssistant Secretary shall assist the Secretary in carryin o"t his d"ties
and shall act for him in his absence.
(5) The Treas"rer shall be res!onsible for the finances of the Society. +e shall
kee! acco"nts of all its financial transactions and shall be res!onsible for their
correctness. +e shall in con)"nction with the <resident and the Secretary
sin all che,"es on behalf of the Society.
(6) The >rdinary #ommittee Members shall carry o"t s"ch d"ty as directed by
the <resident or the #ommittee.
11. Financial P%o7isions
(*) S"b)ect to the followin !ro$isions in this r"les& the f"nds of the Society may
be e'!ended for the !"r!ose necessary for the carryin o"t of its ob)ects&
incl"din the e'!enses of its office1bearers and !aid staff& and the a"dit of its

acco"nts& b"t they shall on no acco"nt be "sed to !ay the fine of any member
who may be con$icted in a co"rt of law.
(-) The Treas"rer may hold a !etty cash ad$ance not e'ceedin %M
(%init Malaysia.) at any one time. 0ll money in e'cess of this s"m shall
within se$en days of recei!t be de!osited in a bank a!!ro$ed by the
#ommittee. The bank acco"nt shall be in the name of the Society.
(.) 0ll che,"es or withdrawal notices on the Society4s acco"nt shall be sined
)ointly by the <resident& the Secretary and the Treas"rer. In the absence of
the <resident& the Secretary or the Treas"rer for a lon !eriod& the
#ommittee shall a!!oint one of its members to sin in his !lace.
(/) No e'!endit"re e'ceedin %M(@).. (%init Malaysia..) at any one time
shall be inc"rred witho"t the !rior sanction of the committee& and no
e'!endit"re e'ceedin %M(A).. (%init Malaysia..) in any one month
shall be inc"rred witho"t the !rior sanction of a eneral meetin. ('!endit"re
less than %M(@).. (%init Malaysia..) at any one time may be inc"rred
by the <resident toether with the Secretary or the Treas"rer.
(5) 0s soon as !ossible after the end of each financial year& a statement of
recei!ts and !ayments and a balance sheet for the year shall be !re!ared by
the Treas"rer and a"dited by the 0"ditors a!!ointed "nder the r"le *-. The
a"dited acco"nts shall be s"bmitted for the a!!ro$al of the ne't ann"al
eneral meetin& and co!ies shall be made a$ailable at the reistered !lace
of b"siness of the Society for the !er"sal of members.
(6) The financial year of the Society shall commence on the *

12. ($it
(*) Two !ersons& who shall not be office1bearers of the Society& shall be
a!!ointed& by the ann"al eneral meetin as +onorary 0"ditors. They shall
hold office for one year and may be rea!!ointed.
(-) The 0"ditors shall be re,"ired to a"dit the acco"nts of the Society for the
year& and to !re!are a re!ort or certificate for the ann"al eneral meetin.
They may also be re,"ired by the <resident to a"dit the acco"nts of the
Society for any !eriod within their ten"re of office& at any date& and to make a
re!ort to the #ommittee.
1!. /%stee
(*) Three Tr"stees& who m"st be o$er -* years of ae& shall be a!!ointed at the
ann"al eneral meetin and shall hold office d"rin the !leas"re of the
society. They shall be $ested in them all immo$able !ro!erties whatsoe$er
belonin to the Society "!on e'ec"tion of a Ceed of Tr"st.

(-) The Tr"stees shall not sell& withdraw or transfer any of the !ro!erty of the
Society witho"t the consent and a"thority of a eneral meetin of members.
(.) 0 Tr"stee may be remo$ed from office by a eneral meetin on the ro"nds
that& owin to ill health& "nso"ndness of mind& absence from the co"ntry or for
any other reasons& he is "nable to !erform his d"ties or "nable to do so
satisfactorily. In the e$ent of the death& resination or remo$al of a tr"stee the
$acancy shall be filled by a new Tr"stee a!!ointed by a eneral meetin.
1'. &nte%+%etation
(*) Between ann"al eneral meetins the committee shall inter!ret the r"les of
the Society and when necessary& determine any !oint on which the r"les are
silent.
(-) ('ce!t where they are contrary to or inconsistent with the !olicy !re$io"sly
laid down by the eneral meetin& the decisions of the #ommittee shall be
bindin on all members of the Society "nless and "ntil co"ntermanded by a
resol"tion of a eneral meetin.

The #ommittee shall if it deems fit and necessary a!!oint ,"alified !ersons to be the
0d$isor or <atron of the Society. The !erson a!!ointed m"st i$e his consent in
writin.

(-) Neither the Society nor its members shall attem!t to restrict or in any other
manner interfere with the trade or !rices or enae in any Trade Gnion
acti$ities as defined in the Trade Gnion 0ct& *=5=..
(.) The Society shall not hold any lottery& whether confined to its members or not&
in the name of the society& its office1bearers or members witho"t !rior
a!!ro$al from the a"thorities concerned.
(/) Benefits as mentioned "nder section - of the Societies 0ct *=66 shall not
be i$en by the society to any of its member.

These %"les shall not be amended e'ce!t by resol"tion of a eneral meetin. S"ch
amendments shall take effect from the date of their a!!ro$al by the %eistrar of
Societies. 0ny amendment to the r"les shall be forwarded to the %eistrar of
Societies within 67 days of bein !assed by the eneral meetin.
10. 5issoltion
(*) The Society may be $ol"ntarily dissol$ed by a resol"tion of not less than
three1fifths of the membershi! !resent in a eneral meetin.
(-) In the e$ent of the Society bein dissol$ed as !ro$ided abo$e& all debts and
liabilities leally inc"rred on its behalf shall be f"lly dischared& and the
remainin f"nds shall be dis!osed of in s"ch manner as may be decided
"!on by a eneral meetin.
(.) Notice of dissol"tion shall be forwarded to the %eistrar of Societies within */
days of its dissol"tion.
