SUBMISSION OF PROPOSALS

You shall submit one original teohnioalproposaland one original financial proposal and

separateenvelope indicating original or copy, as appropriate. All technical proposals
shall be placed in an envelope clearly marked "Technical Proposal" and the finanoial

sealed in an outer envelop bearing the addrcss and information indicated in the Data
Sheet. The envelope shall be clearly marked, "DO NOT OPEN, EXCEPT IN
l PRESENCEOF THE EVALUATION COMMITTEE."

In the event of any discrepancybetween the copies of the proposal, the original shall

I 5.2.i The evalualioncommitteeappointedby the Clicnt shallcarry out its evaluationfor all the
projectsas listedin Para 1.1,applyingthe evaluationcriteriaand point systemspecified
in the Data Sheet.Eaoh responsiveproposal shall be attributed a technical score (St).

I Firms scoring less than seventy(70) percent points shall be rejected and their financial
proposalsreturnedun-opened.

T 5.3 l'inancialProposal

5.3.1 The financial proposalsof the qualifying consulting firms on the basis of evaluation of

who shall be invited for the occasionand who care to atlend. The Client shall inform the

I Any notice, request, or consent made pursuant to this Contract shall be in

I J1 Force Majeure

2.7.1 Definition
I (a) For the purposes of this Con1rac1,"Force Majeurc" mcans an evenl

I which is beyond the reasonableconffol of a Party and which makes a


Parly's performanoeof i1sobligations under the Contract impossibleor
so irnpractical as to be consideredimpossible under the circumstances,

I and inoludes,but is not limited to, war, riots, civil disorder,earthquake,


fire, explosion, storm, llood or olher adverse weather conditions,
strikes, lockouts or cther induslrial actions (except where such strikcs,

I lockouts or other industrial actions are within the power of the Party
invoking Force Majeure 10prevenl), confiscation or any other action by
governmenlagencies.
I (b) Force Majeure shall not include (i) any event which is causedby the
negligence or intentional action of a Palty or such Parly's Sub
I consultantsor agentsor employees,nor (ii) any event which a diligent
Party could reasonably have been expecled to both (A) take inLo
account at the time of the conclusionof this Contracl and (B) avoid or
T overcomein the carrying out of i1sobligationshereunder.

I (c) Force Majeure shall not inoludc insufficiency of

I 2.7.2 No Broachof Contract

The failure of a Party to fulfill any of its obligations under the Contract shall

I not be consideredto be a breach of, or default under this Contract insofar as


such inability arisesfrom an event of liorce Majeure, provided that the Party
affected by such an event; (a) has taken all reasonableprecautions,due care

I and reasonablealternative measures in order to carry out the terms and


conditions of this Contract; and (b) has informed the other Parly in writing not
later than fifteen (15) days following the occurrenceofsuch an event.
I 2.1.3 Extcnsionof Time

I Any periodwithin which a Partyshall,pursuantto this Contract,oompleteany


actionor task,shall be exlendedtbr a periodequalto the time duting which

I suchPartywasunableto performsuchaotionasa resultofForccMajeure.

Clause6 for Servicessatisfaclorily performedprior to the effective date
of termination. Effeclive dale of termination for purposesof this Sub-

t 2,9.5 Disputesabout Evcnts of Termination

If either Party dispuleswhether an event specified in paragraphs(a) through (e)


t of Sub-Clause 2.9.1or in paragraph(a) through(d) of Sub-Clause 2.9.2 hereof
has occuned, such Party may, wilhin forty-five (45) days after reccipt ofnotice

t of termination from the othel Party, refer the matter to arbitration pursuant to
Clause 7 hereof, and this Contract shall not be terminatedon account of such
event exccpt in accordancewith the terms of any resulting arbitral awtud.
