SUBMISSION OF PROPOSALS

You shall submit one original teohnioalproposaland one original financial proposal and

shall be placed in an envelope clearly marked "Technical Proposal" and the finanoial

sealed in an outer envelop bearing the addrcss and information indicated in the Data
Sheet. The envelope shall be clearly marked, "DO NOT OPEN, EXCEPT IN
l PRESENCEOF THE EVALUATION COMMITTEE."

In the event of any discrepancybetween the copies of the proposal, the original shall

in the Data Sheet.Eaoh responsiveproposal shall be attributed a technical score (St).

5.3.1 The financial proposalsof the qualifying consulting firms on the basis of evaluation of

I II. GENERAL CONDITIONS OF CONTRACT

T 1. GT]NI]RAL PROVISIONS

I Unless the context otherwise requires,the following terms whenever used in

I (a) "Applicable Law" meansthe laws and any other instrumentshaving the
force of law in the IslamicItepublicof Pakistan,asthosemay be issued

I (b) "Contract" means the Contract signed by the Parties, to whish these
General Conditions of Contract (GC) are attached,togetherwith all the

I 1.2 Law Govcrning the Contract

t 1.3 Languagc

This Conlract has been executed in the English languagewhich shall be the
I binding and controlling language for all mallers rclating to the meaning or
interpretalionof this Contract. All the reportsand communicationsshall be in
the Englishlanguage.
I 1.4 Notices

I Any notice, request, or consent made pursuant to this Contract shall be in

writing and shall be deemedto have beenmade when delivered in personto an

I Authorized Itepresentative of lhe Party to whom the oommunioalion is

addressed,or when sent by registeredmail, telex, or facsimile to such Party at
the addressof the Authorized I{epresentativesspecified under Sub-ClauseSC

I Location

The Servicesshall be perlbrmed at such locationsas are specified in Appendix

I A and, where the location of a particular task is not so specifled, at such

I 1.6 Authorized Representatives

t leader of the Joint Venture, for the purpose of receiving instructionsfrom the
Client.

I 2. COMMENCEMEN.I., COMI,LETION, MODII]'ICATION,

Contract shall come into force and effect on the date (the "Effective
Date") of the Client's notice to the Consultantsinstructing the Consultantsto

If this Contraothas noLbecomeeffeclive within such time period after the date

If the scopeor durationof the Servicesis increased:

I (a) the Consultants shall inform the Client of the circumstancesand

probableeffecls;

accordingly.

I J1 Force Majeure

2.7.1 Definition
I (a) For the purposes of this Con1rac1,"Force Majeurc" mcans an evenl

I which is beyond the reasonableconffol of a Party and which makes a

Parly's performanoeof i1sobligations under the Contract impossibleor
so irnpractical as to be consideredimpossible under the circumstances,

I and inoludes,but is not limited to, war, riots, civil disorder,earthquake,

fire, explosion, storm, llood or olher adverse weather conditions,
strikes, lockouts or cther induslrial actions (except where such strikcs,

I lockouts or other industrial actions are within the power of the Party
invoking Force Majeure 10prevenl), confiscation or any other action by
governmenlagencies.
I (b) Force Majeure shall not include (i) any event which is causedby the
negligence or intentional action of a Palty or such Parly's Sub
I consultantsor agentsor employees,nor (ii) any event which a diligent
Party could reasonably have been expecled to both (A) take inLo
account at the time of the conclusionof this Contracl and (B) avoid or
T overcomein the carrying out of i1sobligationshereunder.

I (c) Force Majeure shall not inoludc insufficiency of

makc any paymentrequiredhereunder.

I 2.7.2 No Broachof Contract

The failure of a Party to fulfill any of its obligations under the Contract shall

I not be consideredto be a breach of, or default under this Contract insofar as

such inability arisesfrom an event of liorce Majeure, provided that the Party
affected by such an event; (a) has taken all reasonableprecautions,due care

I and reasonablealternative measures in order to carry out the terms and

conditions of this Contract; and (b) has informed the other Parly in writing not
later than fifteen (15) days following the occurrenceofsuch an event.
I 2.1.3 Extcnsionof Time

I Any periodwithin which a Partyshall,pursuantto this Contract,oompleteany

actionor task,shall be exlendedtbr a periodequalto the time duting which

I suchPartywasunableto performsuchaotionasa resultofForccMajeure.

2,7,4 Payments

effect on the rights, obligations or intereslsof the Client and which the
Consultantsknow to be f'alse;

t 2.9.4 Payment upon Termination

I Upon termination of this Contract pursuant to Sub-Clauses2.9.1 or 2.9.2, Ihe

Client shall make the following paymentsto the Consullants:

I (a) remuneration and reimbursable direct costs expenditure pursuanl to

Clause6 for Servicessatisfaclorily performedprior to the effective date
of termination. Effeclive dale of termination for purposesof this Sub-

T Clausemeansthe datewhen the prescribednoliceperiodwould expire;

(b) cxccpt in the caseoftermination pursuantto paragraphs(a) through (d)

I of Sub-Clause 2.9.1,reimbursement of any reasonablecost incidentalto
the prompt and orderly termination of the Contract, including the cost
ofthe return travel of the Personnel,accordingto ConsultantsTraveling
I AllowanceRules.

In order to computethe remunerationior the parl of the Servicessatisfactorily

t performed prior to the effective date of termination, the respective
remunerations shallbe proportioned,

t 2,9.5 Disputesabout Evcnts of Termination

If either Party dispuleswhether an event specified in paragraphs(a) through (e)

t of Sub-Clause 2.9.1or in paragraph(a) through(d) of Sub-Clause 2.9.2 hereof
has occuned, such Party may, wilhin forty-five (45) days after reccipt ofnotice

t of termination from the othel Party, refer the matter to arbitration pursuant to
Clause 7 hereof, and this Contract shall not be terminatedon account of such
event exccpt in accordancewith the terms of any resulting arbitral awtud.

t 3. OBLIGATIONSOF THE CONSUI,'I'AN'I'S

I all due diligence, efficiency, and economy, in accordancc with gencrally

acoepted professional techniclues and practices, and shall observc sound
managementpractices,and employ appropriateadvancedtechnology and safe

similarly shall not receiveany such additional remuneration.

T any proprietary or confidential information relating to the Project, the Services,

this Contract, or the Client's businessor operations without the prior written

I 3.4 Prol'essionalLiability

T The Consultantsare liable for the consequenoeof errors and omissionson their

't part or on the part of their employeesin so far as the design of the Project is
conccrnedto the extentand with the limilations as mentionedherein below.

If the Client suffersany lossesor damagesas a result of proven faults, errors or

omissionsin the design of a projecl, lhe Consultantsshall makc good such

aforesaidshall no1 exceedlwice the total remunerationof the Consultantsfor

I designphasein accordancewith the terms ofthe Contract.

The liability of the Consultantsexpires after one (1) year from thc stipulated

I 3.6 Consultants'ActionsRequiringClient'sPrior Approval

I The Consultantsshallobtainthe Client'sprior approvalin writing beforetaking

anyof thefollowingactions:

T (a) appointingsuchPersonnelas are listed in Appendix-Cmerely by title

but not by name;

T (b) entering into a subcontracl for the performance of any part of the
Services,it beilg understood(i) that the selectionof Sub oonsultants
and the terms and conditions of thc subcontract shall have been
I approved in writing by the Client prior to the execution of the
subcontraot,and (ii) that the Consultantsshall remain fully liable fbr the
performanoeof the Servicesby the Sub consultantsand its Pelsonnel
