Assignment: Corporate Governance Analysis

This is an individual assignment involving Corporate Governance Analysis of the company


assigned to you from the information provided in its recent Annual Report in the light of
Corporate Governance Framework in India. You are expected to do analysis taking into
consideration the relevant provisions of The Companies Act, 2013, Revised Clause 49 and
Voluntary Code adopted by the company.
Indicated length of this assignment is 1200-1500 words and return date is October 25, 2015.

Detailed description of Assessment


This individual assignment involves a Critical reading of Corporate Governance report of the
Company read together with the Directors Report and the chapters on Management
Discussion and Analysis and General Shareholder Information, and prepares an analysis
including:
1. Shareholding Pattern: Structure- Large Block and Diffused; Dominant and Minorities;
Provisions for protection of minorities Shareholders
2. Board of Directors
a. Composition: Executive, Internal and Independent; Power equation
b. Working of the Board: Meetings, Role of different directors in meetings
c. Information provided to Board: Quality and Quantity
d. Compensation of the Directors and Top Management
e. Independent Directors: Appointment, compensation, tenure
i. Critical review of role played by Independent Directors
f. Board Committees- Structure, Working and perceived effectiveness
i. Audit Committee
ii. Nomination and Remuneration Committee
iii. Risk Management Committee
iv. Stakeholder Relationship Committee
g. Performance Evaluation by the board (Self)
3. Legal Compliance Report (The Companies Act, 2013 and Clause 49)
4. Related Party Transactions
5. Whistle Blower Policy/Vigil mechanism
6. Code of Conduct
7. Market for External Control
a. Your reasoned opinion about company being a takeover target or investment
