CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This Contract to Sell is made and entered into this _____ day of November 2018,
in Makati City, by and between:

___________, married to____________, both of legal age, Filipinos, and


residing at______________________, hereinafter referred to as the
“SELLERS”;

-and-

_______________, of legal age, single, Filipino, and residing


at________________, hereinafter referred to as the “BUYER”;

WITNESSETH: That

WHEREAS, the SELLERS are the registered owner of a residential lot consisting
of FORTY EIGHT SQUARE METERS & NINE SQUARE DECIMETERS (48.09) located
at_____________, covered by Transfer Certificate of Title No.__________, issued by the
Registry of Deeds for the City of Manila, more particularly described as follows:

WHEREAS, the BUYER, acknowledging the valid title and right to possession of
the afore-described property by the SELLERS, offered to buy the property together
with the improvements existing thereon, subject to the terms and conditions provided
below, which offer the SELLERS accepted likewise subject to the compliance of certain
terms and conditions;

NOW, THEREFORE, for and in consideration of SIX HUNDRED FIFTY


THOUSAND PESOS (Php650,000.00), the SELLERS agreed to sell to the BUYER the
afore-described residential lot with improvements thereon subject to the following
terms and conditions:

1. The net purchase price for the subject property shall be Six Hundred Fifty
Thousand Pesos (Php650,000.00), in cash or to be paid in two (2) installments:

a. Two Hundred Thousand Pesos (Php200,000.00) upon acceptance of this


offer and your signing of the conformity hereunder, receipt of the amount
is hereto acknowledged by the SELLERS. This amount represents my

earnest money for the subject purchase and shall be deductible from the
Purchase Price; and

b. Four Hundred Fifty Thousand Pesos (Php450,000.00) to be paid not later


than thirty (30) days from date of submission of complete documentary
requirements.

2. The applicable documentary stamp tax, transfer tax, notary and all
miscellaneous expenses for the registration of the sale, capital gains tax and
transfer of title in my name shall be for my account.

3. You warrant that the subject property is free from and clear of any lien,
encumbrance, lis pendens, adverse claim, expropriation and other legal
proceedings of whatever nature.

4. In the event of my default, i.e. not paying the entire Purchase Price under
paragraph 1 (b) preceding, the earnest money shall be forfeited in your favor.

5. This offer shall be valid for a period of seven (7) days from receipt hereof.

IN WITNESS WHEREOF, the parties have hereunto affixed their signatures this
