There is a legal procedure to register a new Free Zone Company in the Djibouti International Free

Trade Zone.
1 - Drafting of your company's Business Plan

2 - Drafting of the company's Articles of Association. Notarization of this Articles of Association.

3 - Notarization of the specimen of signatures the new company Directors and Manager.

4 - Drafting of a Board Resolution of the new company, appointing the Manager of the new company
and containing various mandatory clauses, in accordance with the Free Zone Company Law of
Djibouti. Notarization of this resolution.

5 - Submission of these various documents to DPFZA, accompanied by DPFZA Application Form for
Licence, Lease and Registration in Djibouti Free Zone (here send the application form).

6 - After a review of your file, DPFZA will issue an Opening Bank Account Letter for the Bank for the
Capital’s Injection. Beforehand, the client must indicate on the Application Form his choice of Bank
among the 12 banks registered in Djibouti.

7 - Opening the company's bank account for the capital injection. According to the shareholder
structure of the new company, 3 types of Free Zone Company is allowed in Djibouti Free Zone:

- FZE (1 Shareholder) USD 140,000 of Capital Injection

- FZCO (2 Shareholders minimum) USD 70,000 of Capital Injection

- Branch (Representative of a foreign company, No Legal Personality) USD 10,000 of Deposit as


Capital. Once the company has been registered and licensed, this injected capital can be freely used
for the company's operations.

8 - After the capital injection, the Bank issues a letter to be returned to DPFZA. Payment of the
company's registration fee (4000 USD), the License and office rental in the new free zone.

There are 2 types of Trading License: "Trading Licence" limited to 5 product types and "General
Trading Licence" for an unlimited number of products. Trading Licence Fees: 2500, General Trading
Fees: 4000 .

Company registration fees is one-time, Licence fees must be renewed after 1 year after the
expiration date of the Licence's validity.

It should be noted that until the License is obtained, the bank account with the capital injected into it
is frozen. It is then necessary to pay the registration and the license fees and office rental in cash, in
order to obtain the License and then unlock the bank account.

9 - After obtaining the Licence, an official document must be submitted to the Tax Department to
obtain the NIF Code (Tax Indefication Number). The Nif Code allows you to connect to Djibouti
Customs' Sydonia IT system to start operations and import goods into Djibouti.

10 - Drafting and printing of the Shares Capital Certificates, registration of the Shares Capital
Certificates with DPFZA.

11 – One Year Visa, Resident Card and Work Permit Procedures for the Manager of the company.

Foreign Directors (Board Members) of the Company with no employment contract with the company
can only have One Year Visa.
