What is a Patent?

• Important to understand: A patent confers upon an inventor a


right to exclude others from making, using, offering for sale,
selling or importing inventions covered by the patent

• A patent is not a right to practice a claimed invention (that is, to


practice your own patent may require using others’ patents)

• Enforce its rights to exclude others from practicing its invention

How are Licenses Negotiated?

• Bi-lateral Negotiations Between Potential Licensors/Licensees

• Licensor’s need for a license to the licensee’s patents (typically referred to as
a cross-license)
• Market for the patented technologies
• Allows the parties to negotiate an agreement that is tailored to the unique
needs of each party
