RE: NON-COMPETE, CONFIDENTIALTY AND NON-SOLICITATION

Dear ______________;

We are writing you at the behest of our client, _______________ in relation to


your recent disaffiliation with our client last __________________.

In this regard, this communication is to formally remind you of your obligations


under your Contract of Engagement with our client particularly with respect to
your continuing obligation to observe the NON-COMPETE,
CONFIDENTIALITY and NON-SOLICITATION clause, pertinent portions of
which provides:

NON-COMPETE CLAUSE

Upon termination of the existing relationship between the parties, the FOUNDING
TEAM LEADER is prohibited to join another realty directly in competition with that of
_________________ within one year from disaffiliation. Otherwise, the FOUNDING
TEAM LEADER shall be liable to ___________ in the amount of Php 100,000.00 as
liquidated damages for breach of the latter provision.

CONFIDENTIALITY

FOUNDING TEAM LEADER undertakes not to disclose to persons outside of


_____________ the aforementioned confidential and proprietary information whether in
digital or otherwise. THE FOUNDING TEAM LEADER undertakes not to allow third
persons access to his account in the website. Discussion of its marketing system,
business model and private documents of ______________ shall not be disclosed without
the written consent of __________ President. The FOUNDING TEAM LEADER shall
be liable to ______________ in the amount of Php 250,000.00 as liquidated damages for
breach of the latter mentioned provision.

NON-SOLICITATION

The FOUNDING TEAM LEADER covenants and agrees that during the term of the
latter’s affiliation with ________ and for twelve (12) months after the termination
thereof, regardless of the reason, FOUNDING TEAM LEADER shall not directly or
indirectly solicit or attempt to solicit any business from any of ______________
customers, customer prospects, or vendors with whom the FOUNDING TEAM
LEADER had material contact during the last two (2) years of the latter’s affiliation with
________________.

May we remind you that you are bound by these terms and that your violation
or non-compliance thereof opens you to possible legal liabilities.

We trust that you give utmost importance on these matters to spare yourselves
the costs and inconvenience of a protracted legal action and even the possibility
of losing your professional license.
