KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ASSIGNMENT, made and executed this ____ day of

existing corporate entity under Philippine laws located at _______________________;

WHEREAS, in view of the ASSIGNOR’s desire of disposing and/or alienating a

the ASSIGNOR is hereby assigning and/or transferring the said common share to
the ASSIGNEE for value;

WHEREAS, the ASSIGNEE is ready and willing to accept the assignment,


transfer and/or conveyance in his/her favor and pay its corresponding value;

NOW THEREFORE, the ASSIGNOR hereby ASSIGNS, TRANSFERS, CEDES


and CONVEYS unto the ASSIGNEE named herein for value the OWNERSHIP,
RIGHTS, TITLES AND INTERESTS over _________________________ held by the

ASSIGNOR hereby warrants that said shares of stock is free from any and all liens
and encumbrances, and the ASSIGNEE, in turn, hereby accepts the said assignment,
