 J. Undertakings and Representations

The Project/ Project Company agrees to give the following undertakings and make the following
representations:
1. That the Directors/Sponsors of the Project Company will fulfill all the legal requirements
defined under the Bangladesh Companies Act. of 1994;
2. That there are no legal proceedings pending against the Owners, Officers or Directors of
The Project Company that are material to the development or financing of the Project at
the time of this application;
3. If there any legal proceedings pending against the Owners, Officers or Directors of The
Project Company that are material to the development or financing of the Project at the
time of this application, has already been declared;
4. That Directors/ Sponsors of the Project Company are not in default of any agreements of
a financing institution that are material to the development or financing of the Project at
the time of this application;
5. That no other material conditions adverse to the Project exist at the time of this application.

Note: All Charges/ Fees will be collected at net of all statutory deductions, AIT & VAT at source.
(b) Arranger’s/ Participation Fee:
1) BIFFL’s Arranger’s Fees will be up to 1% on the total financing arranged, depending on the
amount raised and the complexity of the transaction.
2) In case of co-arrangement/participation, the fee will match that of other co-arranger(s)/
participant(s) under the transaction.
3) Agency Fees, Commitment Fees will be collected as per the market standards and decision of
the Syndication.
(c) Prepayment Fee:
1) Minimum 1% on the outstanding Principal amount prepaid.
2) Mandatory Prepayment:
BIFFL shall have a right to accelerate the Repayment of the outstanding amount of the loan, in
the event the cash flows of the company are adequate for such acceleration. No prepayment
premium would be levied in such case.
3) Voluntary Prepayment:
a) Lock-in period for voluntary prepayment will be applicable for the first two years
b) Minimum Prepayment amount will be 5% of the Principal amount
c) Prepayment Fee of 2% on the prepaid amount will be applicable
d) Prepayment has to be made on the scheduled repayment date
e) A notice of 15 days is required
(d) Default Charges:
2% above Interest Rate on the outstanding amount.

(e) Other Fees/Charges to be borne by the Borrower:

1) All fees/charges for the appointment and operations of the Independent Advisor(s)/
Consultant(s)/Engineer(s)/Auditor(s) appointed by BIFFL for appraisal/syndication purpose.
2) Costs incurred in connection with BIFFL officials' visits to the project for due diligence, loan
negotiations, meetings, project monitoring & evaluation etc.
3) All co-financiers’ fees and charges as may be applicable.
4) Costs incurred in connection to obtaining Legal opinion, Documentation & Legal expenses,
Creation of Charges with RJSC, Mortgage of Land & Buildings, Social, Technical &
Environmental Assessment and Monitoring & Evaluation of the project etc.
