Dear Jason:
I am delighted to offer you employment with Manulife Data Services Inc. (“Manulife” or "The Company") on
the terms and conditions outlined below.
You are joining a global team of colleagues who share your ambition to build a career that brings challenge

The Company’s engagement of your services and offer of the forgoing compensation and benefits package
is subject to your full satisfaction of and strict compliance with the Company’s pre-employment requirements
which include medical tests, background checks, government documents and other critical requirements.
These pre-employment requirements are not only required qualification for the job being offered, but are
indispensable for the Company’s compliance with prevailing government regulations for its continued
operations.
The Company has the right to terminate your probationary employment upon failure to submit all pre-
employment documents including those critical to payroll requirements within the period stated in the New
Hire Requirement Checklist, a copy of which was provided to you and you acknowledged and signed.
Further, you acknowledge that your employment may be terminated for any of the just and authorized
causes provided and recognized by law, but not limited to, performance below standards set by the
Company, or non-compliance with the company’s policies, rules and regulations.
Start Date
You will be in the role of Contact Centre Associate. This position is a grade level 2 on a Full time basis repor
ting to Rhea Vallagomesa, Transition Manager.
Salary
Your annual basic salary will be ₱237,600.00 and will be paid semi-monthly. You expressly agree and
authorize the Company to make the necessary deductions from your final salary, bonuses, or other benefits
that may be due you to effect settlement or payment of any unpaid or pending obligations that you may have
at the time of your termination.
Office
Your office location will be at Manila, Manulife Business Processing Services, Philippines but subject to
transfer from one department to another or from one locality to another, where the Company operates or
intends to operate.
Probation
You will have a probationary period of six (6) months from the date of your joining the Company. During this
period, your performance shall be regularly evaluated on the basis of your performance, your demonstration
of the required competencies and the Company’s value in discharge of your function, and your compliance
with the Company’s rules and regulations.
Failure to meet standard requirements is a just cause for terminating your employment. In the even that you
become a regular employee, your services may terminated without any liability on the part of the Company
for just or authorized causes pursuant to the Labor Code of the Philippines and the Company rules and
regulations.
You will receive the government mandated 13th month pay not later than December 24th of each year as
provided for by the 13th Month-Pay law (PD 851).
You will also be entitled to the following monthly allowances that will be paid on a semi-monthly schedule:
• A monthly non-taxable Rice Subsidy allowance of Philippine Peso PHP ₱2,000.00
• A monthly non-taxable Laundry allowance of Philippine Peso PHP ₱300.00
• A monthly non-taxable Clothing allowance of Philippine Peso PHP ₱500.00
• A monthly non-taxable Medical Cash allowance of Philippine Peso PHP ₱250.00
• A monthly non-taxable Medical Assistance allowance of Philippine Peso PHP ₱450.00
• You will be entitled to a taxable fixed monthly allowance paid at 10% of your monthly base pay for
working on a Fixed Night Shift Schedule that starts anytime from 7:00pm to 12:00a.m. and ends
anytime from 4:00a.m. to 9:00a.m. for the entire month as required by the business and approved by
the manager. You will also receive Hazard Pay, an additional pay equivalent to 5% of your Monthly
Basic Salary. This is applicable to band 1 to 5 only and company has the right to remove the allowance
subject to company policy and if no longer applicable to the employee.
You may also be eligible for the following benefits in accordance with company policy:
• Attendance Incentive (up to 10%).
• Performance Incentive (up to 10%).
Benefits
You will enjoy competitive benefits packages such as Health Benefits under HMO Group Medical Insurance
(Upon Regularization), Group Life Insurance Plan (after 1 month of employment), and a Retirement Plan.
Specific information about the various benefits will be provided and discussed on your first day.
Vacation
Your will also receive a Vacation Leave Credit which is tenure-based on the following schedule:
Earned Leave credits already include vacation, emergency and holiday leaves.
Emergency Leaves due to personal or family obligations, adverse weather conditions, illness in the family,
fortuitous events, urgent family or personal needs or any situation that requires immediate attention may be
filed on or before the date of leave. Employees can use a maximum of three (3) emergency leave days per
year.
Sick Leave
You are also entitled to a sick leave of 1.25 days per month (15 days per year). Leaves are earned after one
month tenure with the company.
This confirms your eligibility to undergo a comprehensive training program with the Company, as a condition
precedent to your possible qualification and employment with Manulife subject to the following terms and
conditions:
1. The training shall be conducted by a Training Officer, who shall discuss the Company’s expectations from
you and the duties and responsibilities of your prospective position;
2. The Program shall commence on October 7, 2019 and shall terminate on TBD, or upon its earlier
termination by either party as provided hereunder. The Program shall run from 9PM to 6AM Monday-Fridays
or as may otherwise be scheduled by the Company, during the entire duration of the Program.
3. Enumerated below are the specific requirements needed to be a certified Contact Centre Associate under
the Program:
• You are expected to pass all the administered quizzes and exercises, the passing mark of which will be
set by your Trainer/ Team Leader during the training;
• As to your productivity the volume of work should not fall below the 10% of the batch average;
• As to the accuracy of your work it should not fall below the 5% of the batch average;
• Zero absences and tardiness (excused or unexcused) for the duration for the training period are
permitted;
• Other requirements as given by the Business Unit within the training period.
4. You acknowledge that your eligibility to continue with the Program may immediately be terminated by the
Company at any time, with or without cause, upon written notice to you and without any obligation on the
part of the Company or Manulife Data Services Inc. to compensate you as a consequence of such
termination. On the other hand, it is understood that you may withdraw from the Program at any time for any
reason whatsoever by giving the Company written notice thereof.
5. The period covered by the Program under this agreement shall then be credited and deemed to form part
of such probationary period subject to your satisfactory completion of all standard pre-employment
requirements.
You acknowledge that your employment may be terminated for any of the just and authorized causes
provided and recognized by law, including, but not limited to, performance below the standards set by the
Company, or non-compliance with the Company’s policies, rules and regulations.
On the other hand, it is understood that you may terminate your employment at any time for any reason
whatsoever by giving the Company written notice at least sixty (60) days prior to your intended date of
termination. During this 60-day period, you shall wind-up and settle all your affairs with the Company and
ensure a smooth turnover of all your responsibilities.
You expressly agree and understand that there are no verbal agreements or understanding between you
and the company or any of its representatives affecting this agreement and that no alterations or variations
of the terms thereof shall be binding upon either party unless the same are produced in writing and signed
by you and the Company.
Company Standards and Policy
You are required to comply with all company policies, including the Manulife Code of Business Conduct and
Ethics (Code) and the Global Reputation Risk Management Policy (Risk Policy). The Code and the Risk
Policy can be found on Manulife New Hire Portal. Prior to your start date and annually thereafter you will be
required to review the Code and the Risk Policy and sign a Certification and Conflict of Interest Disclosure
Statement. Copies of all other Manulife policies are available on Manulife's intranet, to which we will provide
you access on your start date. Prior to your start date and annually thereafter you will be required to review
the Code and the Risk Policy and sign a Certification and Conflict of Interest Disclosure Statement.
By signing the offer letter, you are confirming your agreement and commitment to comply with the following
obligations relating to intellectual property, company property, confidentiality, non-disparagement and non-
solicitation (which obligations survive the cessation of your employment) and you acknowledge that breach
of any of these obligations would cause Manulife material and irreparable harm:
Intellectual Property:
Employees must protect the company’s name, reputation and assets, including intellectual property. All
intellectual property (which includes any materials, ideas, concepts, methods, processes, information,
documents, works of authorship, discoveries, inventions, trademarks and designs that you create, develop,
conceive, modify or invent either solely or with others, in the course of, or relating to, your employment with
Manulife or using any of Manulife’s property) and the worldwide intellectual property rights therein, such as
copyrights and patents, are owned by Manulife (and to the extent not owned by Manulife are hereby
assigned to Manulife) and you will be responsible for co-operating with Manulife and providing all necessary
assistance to ensure that all such intellectual property and related rights become the exclusive property of
Manulife, including by providing Manulife with such assignments, waivers and other documents as may be
requested.
Company Property:
All documents, records, data, apparatus, equipment and other physical property that is furnished to you by
Manulife, or otherwise obtained or produced by you in connection with your employment with Manulife, will
be, and shall remain at all times the sole property of Manulife. You will return to Manulife all such
information, materials and property (and all copies, reproductions and extracts thereof in whatever form,
including electronic) as and when requested by Manulife, and in any event, immediately upon cessation of
your employment with Manulife.
Confidentiality:
Your employment creates a relationship of confidence and trust between you and Manulife with respect to
all Confidential Information. At all times during your employment with Manulife and following cessation of
your employment with Manulife, you will not, directly or indirectly, use, disclose, divulge, reveal, redistribute,
copy, or make known to any person or entity, any Confidential Information without Manulife’s prior written
consent, except for the sole purpose of carrying out your duties to Manulife or to comply with a court order.
You will also comply with all policies and procedures of Manulife for the protection and handling of
Confidential Information. "Confidential Information" includes all proprietary and confidential information
relating to the business and affairs of Manulife or any of its affiliates and subsidiaries, whether in writing,
oral, or some other format, that you develop or acquire or have access to during your employment with
Manulife, including but not limited to, financial information, data, pricing, strategies, reports, forecasts,
inventions, improvements and other intellectual property, trade secrets, know-how, designs, processes or
formulae, software, market or sales information, customer information, client lists, business plans, and
prospects and opportunities (such as possible acquisitions or dispositions of businesses or facilities), which
have been discussed or considered by Manulife. For greater certainty, Confidential Information also includes
any and all information that Manulife is obligated to maintain as confidential or that Manulife may receive or
has received from others with any understanding, express or implied, that it will not be disclosed.
Confidential Information does not include information which: (1) was already known by you prior to your
employment with Manulife or (2) becomes widely known to the public other than through the improper
disclosure of such information, including without limitation breach of the terms of this offer or any other
agreement between you and Manulife.
In case of your violation or threatened violation of this undertaking, you agree that the Company is entitled to
secure an injunction against you and/or your violation in addition to securing from you payment of such
actual damages as the Company may have suffered or incurred.
Non-Disparagement:
At all times during your employment with Manulife and following cessation of your employment you will not
make written or oral statements, in print, via electronic media or in person that could be damaging to
Manulife, its representatives or its products and/or services. In addition to the above obligations, it is a
material condition of this offer and your employment with Manulife, that you certify that:
• No agreement exists between you and any employer or other entity that prohibits or restricts your right
to work for Manulife; and
• We have affirmatively directed you not to take bring with you or use, and you have not taken, brought
with you or used any confidential or proprietary information belonging to any previous employer or other
entity. An inaccuracy, omission or breach in respect of your certifications may, in addition to any other
remedies available to Manulife at law or in equity, result in disciplinary action up to and including
termination of your employment with cause.
In the course of your regular working day, you will be privy to a substantial amount of information concerning
employees, their salaries and personal information. You may be exposed to this information through your
job duties or inadvertently through projects happening around you (ie. overhear a conversation, see things
at the fax machine, printer or photocopier). It is up to you to keep this information secure and in strict
confidence by not disclosing or providing access to confidential information to anyone who does not have a
legitimate need for such information in the normal course of business or unless Manulife is required by law
to disclose such information.
You are required to familiarize yourself with Human Resources policies as well as your obligations
concerning Confidential Information in the Code of Business Conduct and Ethics and ensure that the
preparation, maintenance, storage and disclosure of all confidential information is in accordance with those
standards to secure privacy of others.
Under no circumstances should you remove any confidential information from the premises without the
express consent of a supervisor or except as required by the terms of your employment. Any breach of
confidentiality could result in disciplinary action with the possibility of dismissal.
Jurisdiction
This agreement shall be governed by, construed and subject to the Laws of Manila. Any disputes which may
arise shall be solely determined by a court of competent jurisdiction therein.
By signing this agreement, you are agreeing that you understand, agree to and accept this offer of
employment. You understand and agree that this letter constitutes the entire agreement between you and
Manulife and supersede all communications, oral and written, between Manulife and yourself. You are not
relying on any other representations in accepting this offer of employment and you have been provided with
an opportunity to obtain legal advice and are accepting this offer voluntarily. You certify that no agreement
exists between you and any employer or other entity that prohibits or restricts your right to work for Manulife
and that Manulife has affirmatively directed you not to take, bring with you or use and you have not taken,
brought with you or used any confidential or proprietary information belonging to any previous employer or
other entity.
