CONDITIONAL DEED OF SALE

KNOW ALL MEN BY THESE PRESENTS:

This Conditional Deed of Sale, made and entered into by and


between:

________________________ and ______________________, single,


both Filipinos, of legal ages and residents of___________________________,
herein represented by their attorney-in-fact, ____________________,
hereinafter referred to as the VENDORS,

- and –

___________________, of legal age, Filipino, single and resident of


_______________________________, Philippines, hereinafter referred to as
the VENDEE.

WITNESSETH:

WHEREAS, the VENDORS are the absolute owners of a parcel of


land herein described as follows:

WHEREAS, the VENDORS agree and bind to SELL, TRANSFER,


CEDE and CONVEY the above-described property to the VENDEE and the
VENDEE agrees and binds to BUY the same under the terms and
conditions specified hereunder.

NOW, THEREFORE, for and in consideration of the foregoing


premises, the parties hereby agree to the following terms and condition:

3. The VENDEE agrees to pay the VENDOR the above purchase


price under the following amounts and payment schedule, to wit:

4. The VENDORS, without demand from the VENDEE, shall


immediately execute the Deed of Absolute Sale in favor of the VENDEE
upon receipt of the full payment of the purchase price plus the amount of
estate tax, if any, paid by the former;

5. The VENDORS shall surrender the original owner’s duplicate


copy of Transfer Certificate of Title No. __________ to the VENDEE upon
the signing of the Deed of Absolute Sale;

6. The VENDEE shall acquire and exercise full ownership rights


over the subject property upon the payment of the second installment.
Provided, that, the VENDORS hereby undertakes that they, their heirs,
successors and assigns shall warrant and defend the title to the property
subject of this Deed against all claims of all persons and entities and
further undertakes to defend the VENDEE against all judicial and
administrative actions for eviction.

7. After prior written demand, any default or delay in the payment


of the remaining balance shall entitle the VENDORS to rescind this
contract and to take immediate possession of the above-described
property. In this case, the amount already paid shall be forfeited in favor
of the VENDORS as rents and liquidated damages. Provided, if the default
or delay or the event that causes the rescission of the contract is
attributable to the VENDORS, the VENDEE shall be entitled to demand
the amount of One Hundred Thousand Pesos (P100,000.00) as liquidated
damages and the return of the amount already paid.

8. All expenses relative to the transfer of the above-described


property, such as but not limited to capital gains tax, documentary stamp
tax, local transfer tax, notarial fee and cost of registration, and all other
expenses or charges or fees that were incurred arising from the liabilities
prior to this agreement shall be shouldered by the VENDEE.
