Easy Day - Term Sheet

This term sheet sets out the basic outline of the terms of Easy Day store by and between Bharti Retail
Ltd (BRL) and__________________(land owner) and the scope of the land owner.

Business Activity by Lessee Commercial retail / Commercial approved market

Deal Structure Lease of Building (commercial retail) for


operating a Supermarket / retail business.

Box Size (Carpet Area)

Lease Term 25 years

Rentals (Rs./month) Rs _____________ per sqft per month

Rental Escalation 15 % after every 5 years.

Exit Clause Bharti Retail only has the right to terminate the
Lease Agreement with a notice of 3 months.

Conditions to be fulfilled by Lessor before 1. Water tight shell, site free from water
handing over the possession of premises to seepage.
Lessee.
2. Anti Termite treatment in the premises.
3. Site should free from Manhole.
4. All common area should be well
illuminated, finished with granite flooring
and Hand railing for the staircase leading
to store and terrace(if required).
5. Front of shop finished with interlock
paver tiles or equivalent.
6. Signage space (One at top of shop front,
one at outside after landing and one at
each side of wall.
7. Well illuminated Space for DG Set, Servo
Stabilizer, Water Tanks, AC &
Refrigeration outdoor units, V-Sat
Antenna and RO Plant on Terrace.
8. All External wall thickness 9" with plaster

and proper painting.
9. Plastering of ceiling and internal walls.
10. Grade Slab.
11. Dismantling of the partition walls
/mezzanine (if any).
12. Construction of manhole (if any).
13. MS Chain Link fencing around
transformer/electrical pole for safety of
customers outside premises (if any).
14. Adequate Potable domestic water supply
from Municipal available if no landlord
would be arranged by other source.
15. All drain points including for dairy chiller,
meat shop & water purifier etc at desired
location
16. Fire Hose Cabinet (FHC), Fire sprinkler,
and Fire Extinguisher if applicable (In
case of shopping complex).

Scope of Work to be performed by the Lessor as 1. Rolling Shutter (Perforated &


per Lessee’s Specifications before handing over Mechanized) available at front and rear
the premises to the Lessee. entry (if applicable).
2. All Internal Brickwork in 4 1/2” for Stock
room, Cashier room, Electrical Room and
Meat shop.
3. Plastering of all internal partition walls.
4. POP Plaster on ceiling and Wall.
5. Granite and Vitrified tile flooring with
leveling course and plain cement concrete.
6. Toilet (One Unisex) complete in all
respect including piping work, fixtures
and fittings.
7. Plumbing work for Meat Shop (inc. water
supply and drainage).
8. MS Shed for Servo Stabilizer installed on
Terrace and MS work to place and cordon
off the DG sets and panels.
9. Dedicated water Tank of 2000 lts with
level indicators. Landlord ensures to fill
the water in dedicated Water Tank.
10. Front Glazing and Main Door with all
accessories in 12mm toughened glass.

11. Electrical Load required 45 KW,
Electrical (LT One point tapping),
Electrical Meter (Existing Available Load)
12. Is Meter Rear or front side.
13. Suitable cable access from front side of
store if meter in the front.

Possession of Bare Sell On or before 15 Feb 2015

Security Deposit 3 Months rent


(Post dated cheque (PDC)).
Advance Rent ____ Months rent to be adjusted in first 6 month
of business operations.

Property Taxes & House Tax To be borne by the Lessor.

Service Tax To be borne by Lessee.

Consumption of Electricity and Water To be borne by Lessee on basis of actual


consumption

Insurance To be borne by Lessor for the structure and all


utilities provided by Lessor. To be borne by
Lessee for all fixtures installed by Lessee.

NOCs/Approvals/ Permissions to be obtained by The Lessor shall be responsible for obtaining the
the Lessor. building plan sanctions{provide the commercial
building plan by (date) ______and thereafter
obtaining all such Approvals/NOCs/Permissions
which are necessary for the use and occupation of
the premises to commence operations from the
premises and any other approvals required under
the law, these shall include but not be limited to:-
CLU, NOC from Fire department, Retail NOC
from local authority, all statutory approvals
(details of upto date tax payments/ water and
electricity connection) from the Local Municipal
Authority and including Completion Certificate
and Occupancy Certificate.

Stamp Duty and Registration To be borne 50:50 by Lessor and Lessee.

Rent Commencement Date The date from expiry of 2 months post physical
handover of possession of premises or Grand
opening whichever is earlier.

Approval requirements. This Is the Term Sheet. A detailed Letter of Intent


will be executed within 15 days of signing the

Term sheet.
The Lease Deed will be signed subject to the
following:
- Successful due diligence of the property
by BRL. The use of the property changed to
commercial and approval of building plan by
the appropriate authority and internal
approval of the management of BRL.

Non Binding Term Sheet This Term Sheet is non-binding and


indicative, and is only intended to be a basis
for discussions to reach on an agreement on
various points listed herein, and thereafter, to
sign, execute, and enter into definitive
documents i.e. Lease Deed;

This Term Sheet does not constitute any


agreement between the Lessor and the Lessee
and no party hereto has any right against, or
obligation towards, the other party to this
Term Sheet. All and any rights and/ or
obligations shall arise only under and in terms
of the signed and executed definitive
document i.e. Lease Deed.
