Consignment Agreement

CONSIGNMENT AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Agreement is entered into by and between;

__, of legal age, Filipino, with residence and postal address at _, hereinafter
referred to as the “CONSIGNOR”;

- and -

_, of legal age, Filipino citizen, and a resident of _ doing business under the
name and style of _, hereinafter referred as the “CONSIGNEE”;

WITNESSETH THAT:

WHEREAS, the CONSIGNOR is the single proprietor of “_” which bakes and/or
produces “_N” and other products, hereinafter referred to as “CONSIGNED ITEMS,”
and the CONSIGNEE desires to take possession of the said Consigned Items with the
intention of selling the same to third parties.

NOW, THEREFORE, for and in consideration of the mutual covenants and


promises made by the parties hereto, the CONSIGNOR and CONSIGNEE covenant
and agree as follows ---

RIGHT TO SELL - The CONSIGNOR hereby grants to the CONSIGNEE the


exclusive right to store, display and directly sell the Consigned Items within _
specifically at _, with address at _, unless otherwise authorized by the CONSIGNOR in
writing. Except in the location specified herein, CONSIGNEE shall not sell the
Consigned Items in any other location. Any agreement entered into by the
CONSIGNEE with third persons to resell the Consigned Items shall not be allowed and,
if entered into, shall not bind the CONSIGNOR.

1. PRODUCT LOGO - CONSIGNEE shall at all times display the product or


brand/logo/label of the CONSIGNOR and may not tamper with the same. The
CONSIGNEE is specifically prohibited from rebranding or covering the product or brand
logo/label of the CONSIGNOR with his/her/its own labels/logos.

2. PROFIT - CONSIGNEE shall be entitled to a profit of 20% of the selling


price for every product sold. The CONSIGNEE shall sell the Consigned Items only
based on the standard retail price of products as specified by the CONSIGNOR. The
standard retail price of the Consigned Items, which shall be strictly observed by the
CONSIGNEE, are as follows:

3. PAYMENTS - CONSIGNEE shall pay to the CONSIGNOR any and all


sales proceeds of all products sold every two weeks, either on a Tuesday or a Sunday.

4. STOCK REPLENISHMENT - CONSIGNOR undertakes to replenish all


products every two weeks, either on a Tuesday or a Sunday.

5. MARKETING MATERIALS AND EQUIPMENT - The CONSIGNOR,


at her own expense, shall provide to the CONSIGNEE marketing materials such

as Menu “sintra” tabletop stands, tarpaulin/poster standee and the like, and
equipments such as but not limited to chillers, wherein the Consigned Items shall
be stored and displayed, which materials and equipment are all particularly
described in ANNEX “A” hereof, including their respective values. CONSIGNEE
acknowledges that he/she/it examined the said marketing materials and equipment and
that the same are in good condition. It is understood herein that the CONSIGNEE
shall hold possession of the said marketing materials and equipments on a loan
basis and shall exercise diligence in taking care thereof and shall return the
same upon expiration of this agreement in the same condition as he/she/it
received the same, except for normal wear and tear. If the said marketing
materials and/or equipment are not returned to the CONSIGNOR within a period of
fifteen (15) days from expiration of this agreement, CONSIGNOR reserves the right to
take any action necessary to regain possession of such materials and/or equipment.
CONSIGNEE shall make the said materials and equipment available for pick up by the
CONSIGNOR at the location specified in paragraph 1 hereof or in any other place
specified by the CONSIGNOR in writing. In case of damage to the said materials
and/or equipment, the CONSIGNEE shall be liable to pay for the necessary repair/s
thereof without any right of reimbursement or, in case the same is beyond repair, the
CONSIGNEE shall pay for the value thereof as specified in ANNEX “A” hereof.

6. LOCATION OF MARKETING MATERIALS AND EQUIPMENT - The


CONSIGNEE agrees and acknowledges that the marketing materials and equipment
shall only be kept and stored at _, unless otherwise agreed upon by the CONSIGNOR
in writing.

7. TERM - this agreement shall be for twelve (12) months commencing on _


until _.

8. RESCISSION - CONSIGNOR may rescind this agreement in case of any


breach or violation by the CONSIGNEE of any terms and conditions as provided herein.

9. VENUE OF ACTIONS - It is hereby agreed that any action or case arising


from this agreement shall be filed in the appropriate courts of _ City and Pampanga, to
the exclusion of all other courts.

10. It is expressly understood that time is of the essence of this contract.
