PARTNERS’ RESOLUTION
We, ___________________., Filipino citizens, of legal age and with postal
address at _______________________, being partners for life, a domestic
partnership duly organized and existing under and by virtue of the laws of the
Republic of the Philippines, with principal place of
_________________________________, do hereby certify that at a meeting of
the Partners held at _________________ on __________________, during which
all of the Partners were present and acting throughout, the following resolutions
were unanimously approved:

be as they are hereby empowered and authorized to do the


following acts for and in behalf of the Partnership:

1. To apply for, negotiate and obtain loans or other credit


accommodations or facilities, including letters of credit, trust
receipts, etc., from BANCO DE ORO UNIBANK, INC. from
time to time in amounts which in their judgment are required
by the Partnership, including renewals, extensions,
reavailments, restructurings, or amendments or conversions
into whatever credit form or type;

2. To mortgage, pledge, assign or otherwise encumber


properties of the Partnership, whether real or personal, act
as collaterals for the said loan / credit accommodations /
facilities, including renewals, extensions, reavailments,
reschedulings, restructurings or amendments or conversion
into whatever credit form or type;

3. To execute, sign and deliver from time to time the Loan


Agreements, Mortgage Contracts, Promissory Note/s, Trust
Receipts and all other documents pertinent to the loan /
credit accommodations / facilities to be obtained from
BANCO DE ORO UNIBANK, INC. under such terms and
conditions which said partners may, in their sole judgment
deem acceptable; and

4. To designate BANCO DE ORO UNIBANK, INC. as depositary


of the funds of the Corporation and to sign for and on behalf
of the Partnership any and all checks, drafts or orders with
respect to any funds at any time(s) standing to the credit of
the Partnership with BANCO DE ORO UNIBANK, INC. and/or
against any account(s) of the Corporation maintained at any
time with the Bank.
“RESOLVED, That these resolutions shall be valid and subsisting
and shall remain in full force and effect unless otherwise revoked or
amended in writing by the Partnership and duly served upon the
Bank.

“RESOLVED, That these resolutions shall be valid and subsisting


and shall be in full force and effect unless otherwise revoked or
amended in writing by the Partnership and duly served upon the
Bank.

“RESOLVED, That any one of the above-named partners/officers is


hereby empowered and authorized to advise BANCO DE ORO
UNIBANK, INC. of these resolutions.”
