This non-exclusive working agreement is between Kenichiro Adachi, President of JUTEC Holdings Corporation in Japan, and Carl Brian, Cofounder and Accounting Manager of RBES Inc. in the United States. JUTEC retains RBES to provide intermediary financial handling and coordination services for JUTEC's customers in Canada and America. RBES will receive a 7% commission of amounts collected and remit the balance per JUTEC's instructions. Both parties agree to maintain confidentiality of customer and business information. NON-EXCLUSIVE WORKING AGREEMENT

This working Agreement is made effective ... 10th Feb, 2020 as of the date of signing by (The
Principal) Kenichiro Adachi - President, JUTEC Holdings Corporation Address: 1-3-2,

Cofounder and Accounting manager, RBES Inc Address: 3291 Glenbriar Dr Tracy CA 95377-

Kenichiro Adachi - President, JUTEC Holdings Corporation (The Principal) have entered into this
Agreement to enable JUTEC Holdings Corporation to receive Intermediary Financial Handling and
coordination services from (The Agent) Carl Brian - Cofounder and Accounting manager, RBES Inc

Therefore, Both parties agree as follows;

The Principal shall have following understanding and responsibilities


A. To give advanced notice of expected customers due payment to the Agent regarding
the customers information, scan and send copy of invoice for related products
description and amount.

B. To give The Agent, assist service charge of 7% commission of the total


amount received from The Principal customer(s)

C. To pay The Agent $4000.00 USD as a monthly payment in accordance with


28days after the signing of this agreement by both parties

D. The Principal will be responsible for any bank charges incurred by The Agent for
all services rendered to The Principal.

The Agent shall have following understanding and responsibilities

A. To Communicate with JUTEC Holdings Corporation. customer(s) in


Canada and America at the advice of The Principal.

B. To receive payment from designated JUTEC Holdings Corporation


customer(s) at the advice of The Principal.

C. To remit the payable amount collected less 7% according to The Principal’s


instructions.
D. To keep good record of transactions

CONFIDENTIALITY: Both parties recognizes that it has and will have information regarding
the Customers, Companies, Business ideas, Finances and other vital information’s which are
valuable, special and unique assets of customers or otherwise. It is agrees that either parties will
not at any time or in any manner, either directly or indirectly ,divulge, disclose, or communicate
any information to any third party without the prior permission and consent of the other party to
this agreement

TERMINATION: Either party shall have the right to terminate this Agreement by providing
the other party at least THIRTY ONE (31) days notice in advance and provided all outstanding
settlement, payment or understanding accruing to either party has been duly settled by either
parties

AMENDMENT: This Agreement may be modified or amended, if the amendment is


made in writing and is signed by both parties.

TERMS: This Agreement shall continue for a period of 12 months from the effective date of
signing by both parties and shall be subject to an automatic renewal for a further term of 12
months unless terminated by either party, in accordance with the provisions of this Agreement

We, the undersigned have agreed to adhere to the terms and condition of services specified in
this agreement.
