INDEMNITY BOND
The indemnity bond is executed for and on behalf of M/s. M/s Gomathi
Spinning Mills India Pvt Ltd, Tirupur indemnifying TANGEDCO, against all losses
damages etc. due to any legal action that may arise of caused to be arisen in the
matter of and or related to the action taken by TANGEDCO in the issuance of
proposal for the installation of 1 No. 600 KW with 47 Mtr. Rotor Dia RRB Make
Wind Electric Generator to be installed at SF No: 269/1A(P) of Kethanur Village,
Palladam Taluk, Tirupur District with the following terms and conditions.
1. M/s. RRB Energy Ltd, Chennai certifies for performance of Model 600 KW Wind
Electric Generator with 47 Mtr Rotor Dia (RRB Make) as per the power curve
furnished below.

event of poor performance of the wind electric generator M/s. M/s
Gomathi Spinning Mills India Pvt Ltd, Tirupur, agrees for imposing penalty.

3. M/s Gomathi Spinning Mills India Pvt Ltd, Tirupur, takes full responsibility
for the poor performance if any observed as per the self certification.

4. M/s Gomathi Spinning Mills India Pvt Ltd, Tirupur, agrees for
disconnection of their machine for non performance as per the self
certification.

5. M/s Gomathi Spinning Mills India Pvt Ltd, Tirupur, agrees to provide
required capacity capacitors as insisted by the TANGEDCO.

6. Mrs. M/s Gomathi Spinning Mills India Pvt Ltd, Tirupur, certifies for full
safety of the machine in all aspect of the system.

7. M/s Gomathi Spinning Mills India Pvt Ltd, Tirupur, agrees to abide by any
other terms and conditions as may be imposed in the issuance of the
 proposal for the installation of 1 No 600 KW Wind Electric Generator
in Tirupur Dist.

8. M/s Gomathi Spinning Mills India Pvt Ltd, Tirupur, certifies that the wind
Electric Generator for which proposal for procured on out right sale from
M/s RRB Energy Ltd., and these WEG are not taken on lease or land to be
leased in future.

9. M/s Gomathi Spinning Mills India Pvt Ltd, Tirupur, agrees for the cancellation
of proposal by TANGEDCO without any notice for breach of any of the
above mention classes.

UNDERTAKING
We wish to undertake the following in connection with the installation and
commissioning of 1 No 600 KW WEGs with 47 Mtr rotor Dia at SF No. 269/1A(P)
of Kethanur Village, Palladam Taluk,, Tirupur District.

1. We agree to bear the cost of temporary and permanent feeder arrangement

supplying all the required material of standard make and the work will be
carried out as per TANGEDO standards.
2. If any loss or defects arises to the TANGEDCO in future because of using
non standard materials or poor workmanship the same will be rectified by
our own risk and cost.
3. Extra estimate amount if any to be paid to the TANGEDCO in future the
same will be paid by us.
4. We also agree to pay the supervision charges to be paid to TNGEDCO.
5. We will not claim any right in the newly erected line by us under DCW,
since it becomes the TANGEDCO’s property soon after commissioning.

to our own concern (HT SC NO. ) for our windmill (0. 600MW) at Kethanur
Village, Palladam Taluk, Tirupur District, and take all such actions as may be
required in connection with, including affixing of the common seal of the
company where ever necessary.

bearing HTSC. No..210 of Erode EDC vides long term open access agreement for the
entire agreement period.

UNDERTAKING

We here by confirm that consumption of electricity by us is definitely more than 51% of electricity
generated from the wind energy generators determined on an annual basis and the share held by us is
more than 26%.

We agree that if the above norms of ownership and the consumption percentage has not been maintained
by us, the entire energy generated from our WEG may be treated as thirty party Sale and the company
shall liable to pay the cross subsidy charges applicable to their category in addition to Transmission
Charges, Wheeling Charges, Scheduling and System Operating Charges, Reactive Power Charges, line
loss in kind are applicable as per the TNERC Order No: 6 Dt: 31-07-2012.

We are also agreeable to pay scheduling the system operating charges, Transmission Charges, Wheeling
Charges, Banking Charges line loss in kind which are applicable as per the TNERC Order No: 6 Dt: 31-
07-2012.

for name transfer of the technical information & Grid tie up approval along
with Infrastructure Development Charges.

Further we agree to undertake with TANGEDCO that we will not stake

any claim which arise for any objections in future for the above said SF. No.

DEED OF INDEMNITY

THIS DEED OF INDEMNITY EXECUTED ON THIS 17 TH DAY OF June 2014 by M/s.

Gomathi Spinning Mills Private Limited , Coimbatore residing at 20,Dharapuram
Road,hillai Nagar,Tirupur- 641 604, hereinafter called the Owner of the WEG.

To and favour of TANGEDCO, a body corporate constituted under the electricity supply
Act, 1948, (C.A.LIV of 1948) having its office in NPKRR Malligai, Electricity Avenue, 144,
Anna Salai, Chennai – 600 002. Here in after called the TANGEDCO (which term shall
mean and included its successors in office and assigns) SOWETH.

WHERE AS the Owner of the WEG has name change the 1 X 600 KW Wind
Electric Generator situated at SF. No. 269/1A(P) of Kethanur Village, Palladam
Taluk, Coimbatore District and has applied to the TANGEDCO for name change of
the said WEG in favour of the Company subject to execution of an Indemnity Bond,
Indemnifying the TANGEDCO against any damage or loss caused to the
TANGEDCO due to any cause, on account of effecting name change.
AND WHEREAS in consideration of the name transfer, the company hereby agrees
to indemnity the TANGEDCO against all proceedings, claims, demands, costs,
damages and expenses of any kind which the TANGEDCO may incur by reason of
effecting name transfer in favour of the company.

The company further undertakes to pay any sum that may be found to be and
become payable to the TANGEDCO by any one with regard to all liabilities and
claims in respect of the said WEG.
