Template #1: Terms of Reference

TITLE OF PROJECT
I. Background

This section shall include basis/reason why the project should be undertaken by the
Office. Legal basis may include the following: (a) Legal basis provided by Special
Laws, memorandum circulars, and ordinances; (b) Strategic Plan or development
plans; (c) Agreements from focus group discussions or consultation meetings; (d)
Resolutions from duly enacted Board or Council.

Further, the section shall also include a summary of what the project is all about.

II. Justifications for hiring a Consultant

This section shall explain the need of having the project sourced out. (e.g. lack of
technical expertise, or lack of personnel, or etc.)

III. Objectives

This section enumerates on how to reach the project’s desired outcome. Objectives
must be SMART: Specific, Measurable, Attainable, Relevant, and Timely.

IV. Scope of work/ Deliverables

This section summarizes specific scope of deliverables required to be completed by


the service provider.

V. Expected Results

This section must show the timeline, the specific tasks and required outputs to be
delivered by the service provider.

VI. Service Provider

This section enumerates the minimum required qualification of the Service Provider.

VII. Data, local services, personnel, and facilities to be provided by the CGB
This section itemizes the counterpart of the CGB such as existing plans, gathered data
and analysis, logistical requirements (e.g. food and venue for conduct of trainings,
seminars, orientations)

VIII. Proposal Acceptance

This section discusses the criteria needed for evaluation by the end user and the Bids
and Awards Committee (BAC).

Further, the section shall include timeline of which the project remains open to
acceptance and for the reservation of right for the CGB to accept or reject any or all
proposals.

IX. Cost of Engagement and Payment Schedules

This section shall provide the total cost of engagement and the schedule of which the
funds shall be downloaded. It can be done by tranches or as a whole after the
completion of the project.

X. Successors and Assigns

This section shall discuss whether the CGB and/or service provider can or cannot
assign, sub-let or transfer their respective interests in the agreement. Should the
interest be transferrable, the parties may be required to submit prior written consent to
the other before finality.

XI. Dispute Resolution

This section must show how disputes between the parties are to be resolved; the
governing rules for resolution; and the number of days required for settling disputes.

XII. Termination
The section shall explain the rights of either party to terminate the agreement and the
number of days required in order to observe due process.

XIII. Miscellaneous Provisions

This section shall state the governing laws for the agreement, the exclusivity clause,
the limited relationship, separability clause, amendments and other provisions
otherwise mentioned in the previous sections.
