ASSIGNMENT OF NOTE

STATE OF TEXAS
COUNTY OF DALLAS

S. Miguel Reyna, in consideration by this instrument grants and conveys to S.M. Reyna
Family Limited Partnership I all right, title, and interest and in and to any and all sums of
money now due or to become due now owned by S. Miguel Reyna in that certain note
executed by Emilia J. Reyna and Sostenez Reyna on December 22, 2005 a copy of which
is attached to this Assignment as Exhibit A. S. Miguel Reyna further authorizes S. M.
Reyna Family Limited Partnership I at its own expense, to take all steps necessary to
collect such sums of money.

S. Miguel Reyna constitutes and appoints the President of 415 Palmas, LLC the general
partner of S.M. Reyna Family Limited Partnership I as the true and lawful attorney of S.
Miguel Reyna to demand and receive payments and otherwise enforce the provisions of
that certain contract, a copy of which is attached to this Assignment as Exhibit A.

This assignment is made subject to the following terms:

1. NO WARRANTY. S. Miguel Reyna makes this assignment without any warranty of


any sort, express, implied, or statutory. S. Miguel Reyna expressly disclaims any
warranty of title, and assigns to S. M. Reyna Family Limited Partnership I only so much
right, title, or interest as S. Miguel Reyna now has in the note assigned, a copy of which
is attached to this Assignment as Exhibit A.

2. INDEMNITIES. S. Miguel Reyna agrees to indemnify S. M. Reyna Family Limited


Partnership I for any liability to third parties arising out of or in connection with the
contract assigned, a copy of which is attached to this Assignment as Exhibit A. No
indemnities of any nature or kind run from S. Miguel Reyna to S. M. Reyna Family
Limited Partnership I in connection with this Assignment.

3. BINDING EFFECT. This Assignment, and all of its terms and conditions, are binding
on S. Miguel Reyna and its successors and assigns, and on S. M. Reyna Family Limited
Partnership I and its successors and assigns.

ACCEPTANCE

I, President of 415 Palmas, LLC the general partner for S.M. Reyna Family Limited
Partnership I, in consideration of the interest assigned to us in that certain Assignment
attached to this instrument, accept all of the right, title, and interest in the rights and
obligations of S. Miguel Reyna pursuant to that certain note executed by Emilia J. Reyna
and Sostenez Reyna on December 22, 2005 a copy of which is attached to this
Assignment as Exhibit A. I agree to assume and perform all the duties of S. Miguel
Reyna pursuant to that note. I further agree to indemnify and hold harmless S. Miguel
Reyna for any liability for performance or nonperformance of the duties and obligations
assumed by me hereby.
