MEMORANDUM OF AGREEMENT OF LEASE

BETWEEN

Patience Magodo
(Hereinafter styled the Lessor) of one part

1. DESCRIPTION OF LEASED PROPERTY
Landlord leases to tenant the land located…at 40 Maputi
Road………………..in………Christon Bank…………………. it is the land
owned by Patience Magodo.

2. USE OF PROPERTY BY TENANT

The leased land may be occupied and used by Tenant exclusively for the
………Horticulture ………………… project.

Nothing therein shall give the tenant the right to use the property for any other
purpose to sub lease, assign or license the use of the property to any sub tenant
assignee, or license, which or who shall see the property for any other use.

3. LEASED PROPERTY SIZE

4. LEASE TERM
a) Total term of lease: the term of this lease shall be for the period of 6
months beginning on the commencement date as defined in section b) of this
Article 5. The lease becomes binding upon the landlord when designed by both
the Tenant and the landlord or on behalf of the landlord by a person duly
authorized by legislation or an empowering provision of the governing laws and

5. Renewal of period

calendar months before each conclusion, the occupation of the premises will be
continued subject to three calendar months notice in writing, on either side and on

the terms and conditions as are herein contained, except that rentals will be

6. Subletting
The tenant shall not sublet the leased property without the knowledge and written
consent of the Landlord.

7. The Lessee shall be liable for and shall promptly on due date thereof pay the
electricity, water, rates and telephone charges and shall male all arrangements to
open accounts and pay necessary deposits with ZESA, Rtgs 1
000…………………..

8. OBLIGATIONS OF THE PARTIES

8.1 Landlord
Upon signing, the landlord shall ensure that the leased property is available
for occupation by the tenant to commence conducting business on the leased
property.
8.2 Tenant
Upon signing the landlord shall execute all the necessary legal environment
obligations and issue the landlord with proof such as thereof reports from the
relevant authorities.
The tenant shall use the property exclusively for the reasons under clauses 3
of the contract.

9. BREACH OF THE CONTACT


Should the Tenant fail to meet its duty, the landlord shall have the right to cancel
the contract and to claim the agreed percentage.

10. The agreement may only be changed in writing signed by all parties.
11. Termination

This agreement terminates at the end of the 6 months calculated from the
commencement of payment of rent date ------

At termination of the lease for any reason whatsoever the Lessee agrees to return
and redeliver the premises and all its appurtenances fixtures and fittings and
furniture in like good state of decoration, order and repair as the same were or
were deemed to be in at the date of commencement thereof, fair wear and tear
alone expected, and to make good and repair at his own cost and charge any
damage of breakages thereto and replace any missing or broken or damaged
articles thereon on therein.

Upon termination of this lease shall not be entitled to receive any compensation
whatsoever for any improvements whatsoever kind and nature as may have been

affected by him or on his behalf to the premises or appurtenances fixtures or
fittings, whether or not the same shall have been authorized by the Lessor.

12. Entire agreement

This agreement contains entire agreement of the parties regarding its subjects
matter. Any previous understanding, representation, agreement or warranty
relating to that subject matter is replaced by this agreement and has no effect.

13. Governing law

This agreement is governed by the laws of the republic of Zimbabwe


14. The Lessor hereby acknowledges that the premises and outbuildings, including
any mechanical or electrical for the supply of electric current, and all keys, locks,
glass, windows, electrical installations and other appurtenances fixtures and
fittings, and furniture listed in the inventory, whatsoever of the premises are and
shall be deemed to be in good state of decoration and condition.

15. The Lessee shall not make any external alterations or additions to the premises
whether structural or otherwise without the written consent of the Lessor, and any
alterations or improvements that may be authorized shall become the sole
property of the Lessor and shall not be removed from the premises at the
termination of the Lessee’s tenancy.

16. The Lessor shall be entitled to enter the premises during reasonable hours to see
the condition, proper repair and upkeep of the premises.

17. The Lessee shall not contravene or permit any contravention of any laws, byelaws
and regulations of the Township, Company, Municipality, Town Council or other
competent Authority or the condition of the title under which the premises are
held by the Lessor.

18. In the event of total destruction by fire this lease shall be terminated; but in the
event of partial destruction of the premises by fire the Lessee shall enjoy an
abatement to rent proportionate to the extent by which he is deprived of the
beneficial occupation of the premises, until they have been rebuilt or reinstated, In
the event of disagreement such abatement shall be determined by arbitration.

19. The Lessor shall not be liable to the Lessee for any injury or loss or damage of
any description which the Lessee or any member of the Lessee’s family, or any
employee or servant, or any relative, or any friend, or any visitor, or any invitee,
or guest of the Lessee may sustain to his person or property except where
sustained by reason of any defect in the leased premises or the buildings in which

the leased premises are, or the buildings in which the leased premises are, or the
buildings in which the leased premises are situated.

20. All goods brought by the Lessee on to the premises shall be placed there at his
own risk and no responsibility whatsoever is undertaken by the Lessor or their
representatives.

21. I/We consent to the jurisdiction of the Magistrate Court, Harare in respect of any
matter, even of the Magistrates court, Harare would not otherwise have
jurisdiction over the matter.

22. The Lessee is responsible for property until the end of the Lease. Should the
Lessee move out prior to the last day of expiry of its lease it is the Lessee’s
responsibility to protect against vandalism and break ins. this also applies to a
Lessee who takes occupation of the property after the first day of the month in
which the lease commences. Should the tenant fail to comply with this condition
then the Lessor may take action without giving written notice to the Lessee to
protect the property and claim the full cost of such action from the Lessee.

23. For the due faithful performance and fulfillment of the lease and every part
thereof, we, the parties thereto do hereby bind our person and property of every
description according to law.
