KNOW ALL MEN BY THESE PRESENTS, the undersigned party, a Member of Fenix
Investments, LLC, a Florida limited liability company, as evidenced by that certain Operating
Agreement, in consideration of Ten and no/100 ($10.00) Dollars and other good and valuable
consideration, hereby assign all of its 12.5% Class A membership interest therein as follows:

This Absolute Assignment shall be effective as of the date of this instrument. This
document may be signed in counterparts.

JOINDER AGREEMENT

The Assignees herein, in consideration of Ten and no/100 ($10.00) Dollars and other good
and valuable consideration, the receipt of which is hereby acknowledged, consent and agree to be
bound by the terms and obligations set forth in the Operating Agreement of FENIX
INVESTMENTS, LLC, with the same force and effect as if the Assignees were original
subscribers thereto.
