ANNUAL DECLARATION OF COMPLIANCE WITH CONFLICT OF INTEREST

POLICY

I declare that I have read and understood the meaning and scope of the attached Conflict of Interest
Policy. I hereby certify that I have complied with this policy in the last fiscal year and I undertake to
respect this requirements in the future.

I understand that if I, my family members have any direct or in direct interest in any
company/organization or are under employment of such company which has business dealings with
Hubco or its subsidiaries or any associated company connected in any form, I shall make a
declaration to the Line Management immediately. I also understand that incase of any confusion or
lack of clarity on the applicability of any of the above policies, I shall approach the line management
accordingly.

I also declare that I am not aware of any current, perceived or apparent violation to the Conflict of
Interest Policy in the company. I acknowledge my obligation to report such acts in future.
