CONTRACT TO SELL

This Contract to Sell (this “Contract”) is made and entered into this 5 th day of August 2019, in Buenavista,
Agusan del Norte, by and between:

WILLIAM LIM, of legal age, Filipino citizen, and with residence and postal address at Barangay 3,
Buenavista Agusan del Norte, represented by his lawful Attorney-in-fact, JERIEL KENNETH B. CATEDRAL,
also of legal age, Filipino, with address at Bayview Hill, Nasipit, Agusan del Norte and hereinafter
referred to as the “SELLER”;

and

ALAN M. SANORIA, of legal age, Filipino citizen, and with residence and postal address at
Cagampang Street, Barangay 6, Buenavista, Agusan del Norte and hereinafter referred to as the
“BUYER”;
(Each, a “Party”, and collectively, the “Parties”)

Recitals:

(a) The SELLER is the absolute and registered owner of that certain parcel of land, identified as Lot
8080, Port. of Lot 4275, Pls-22, identical to Sgs-10-000082-D, situated in Barangay Alubijid,
Buenavista, Agusan del Norte, with an area of THIRTY NINE THOUSAND FIFTY SEVEN (39,057)
SQUARE METERS, more or less, and covered by Transfer Certificate of Title (“TCT”) No. T-2038
(the “Land”). A copy of TCT No. T-2038 is attached hereto as Annex “A” and made an integral
part of this Contract;

(b) The BUYER has offered to buy, and the SELLER has agreed to sell, the Land, subject to the terms
and conditions hereinafter set forth;

(c) The authority of JERIEL KENNETH B. CATEDRAL to make, sign, execute and deliver this Contract
for and on behalf of WILLIAM LIM, is evidenced by a Special Power of Attorney (the “SPA”) dated
February 3, 2003, and which document is entered in the notarial register of Atty. Pelagia T.
Vicente, Notary Public for Agusan del Norte, as Document No. 9251 of Page No. 439, Book No. X,
Series of 2003. A copy of the SPA is attached hereto as Annex “B” and made an integral part of
this Contract;

NOW, THEREFORE, for and in consideration of the foregoing premises and of the mutual covenants
herein contained, the Parties hereby agree as follows:

1. The total consideration for the sale of the Land shall be One Million Two Hundred Thousand
(P1,200,000.00) (the “Purchase Price”), payable as follows:

(a) Fifty percent (50%) of the Purchase Price, which is equivalent to Six Hundred Thousand
Pesos (P600,000.00) (the “Down Payment”), shall be paid upon signing of this Contract and
submission by the Seller of the following:

(i) True Copy from Registry of Deeds of the title over the Land;
(ii) Original copies of the tax declarations over the Land;
(iii) Original copies of the latest official receipts for realty tax payment, if any, over the
Land;
(iv) Relocation survey plan signed by a licensed geodetic engineer and duly validated by
BUYER’S Survey team; and
(b) The remaining balance of Six Hundred Thousand Pesos (P600,000.00), shall be payable
upon the complete submission by the SELLER of the following documents:

(i) Original owner’s duplicate title over the Land after reconstitution;
(ii) Certificate Authorizing Registration (“CAR”) issued by the BIR on the sale of the
Land;
(iii) Signed Deed of Absolute Sale over the Land;
(iv) Tax clearance;
(v) Certificate of no improvement; and
(vi) Such other documents and/or certificates as may be necessary to complete the
registration of the sale and transfer of title to the Land to the BUYER.

2. The Parties agree that the capital gains tax and documentary stamps tax due on the sale shall be
for the account of the SELLER.

3. The SELLER undertakes and agrees to execute and deliver to the BUYER such documents and/or
certificates as may be required by law for the registration of the sale and transfer of title to the
Land to the BUYER.

4. On or before the delivery of the Land to the BUYER, the SELLER shall relocate/clear any tenant/s
and all informal settlers on the Land.

5. The SELLER warrants that the Land is free from any and all encumbrances of whatever nature as
of date of this Contract, and guarantees the BUYER’s peaceful use, possession and enjoyment of
the Land.

6. The SELLER further warrants that he is not engaged, or habitually engaged, in the business of
buying and/or selling real properties, and that the Land is not offered for sale or lease to the
general public in the ordinary course of business.

IN WITNESS WHEREOF, the Parties have signed this Contract on the date and at the place first
written above.

This document which pertains to a Contract to Sell consisting of three (3) pages, including this page
where the Acknowledgment appears, has been signed by the Parties and their instrumental witnesses
on each and every page hereof.
