Addendum Agreement

This addendum amends the lease agreement dated February 27, 2018 between A.S. Precision Machines Pvt Ltd and Godfrey Phillips India Limited. It reduces the monthly rent for the leased property at Shop No. 1A, East Patel Nagar, New Delhi from Rs. 90,000 to Rs. 80,000 for the period between April 1, 2021 to March 31, 2022. All other terms of the original lease agreement will remain in effect. After March 31, 2022, the original rent of Rs. 90,000 as stated in the principal lease agreement will be resumed.

ADDENDUM

This Addendum is executed on this 30th day of June, 2021 at New Delhi to amend certain terms
of the Lease agreement dated 27th February, 2018.

BY AND BETWEEN

M/s. A.S Precision Machines Pvt ltd, an existing company under the Companies Act, 1956 having
its registered office at G.T Road, Mandi Gobindgarh, Punjab – 151102, represented by its
authorized representative Mr. Charan Singh, S/O  Sh. Babau Singh, R/0 WN 8 HN 41/A, Sec-C,
M.GOBINDGARH, Amloh, Fatehgarh Sahib, Punjab -147301,duly authorized by board
resolution dated 5/02/2018, hereinafter referred to as the “Lessor” which expression wherever
the context so permits, be deemed to include its successors, executors, administrators heirs,
representatives and assigns of the First Part;

AND

M/s Godfrey Phillips India Limited, an existing company under the Companies Act, 1956 having
its corporate office at 49, Community Center, New Friends Colony, New Delhi-110025
represented by its authorized representative Mr. Manoj Sekhri S/o Mr. Vishveshwer nath Sekhri
duly authorized by board resolution dated 2 nd February, 2019 (hereinafter referred to as the
“Lessee”), which expression wherever the context so permits, be deemed to include its
successors, heirs, representatives) of the second part;

The Lessor and the Lessee are sometimes referred to in this Lease Agreement individually as a
“Party” and together as the “Parties”.

WHEREAS:

A. The Lessor represents that he is the absolute owner of the property situated at Ground
floor, Shop No.1A, E-2/4, East Patel Nagar, New Delhi – 110008.

Vide a registered Lease agreement dated 27 th Feburary,2018, duly registered in the


office of the Sub Registrar, SR - II, Basai Darapur as Registration No. 2215 in Book No. 1,
Volume No. 23,588 from pages 57 to 89 hereinafter referred as “Principal agreement”
executed between the Lessors and the Lessee, pertaining to Lease granted in favor of
the Lessee to conduct its business from the commercial property situated at Shop
No.1A, E-2/4, East Patel Nagar, New Delhi – 110008 having a Carpet area of 580 sq.ft on
Ground floor and 200 sqft on 1st Floor, New Delhi (hereinafter referred to as the “Leased
Premises”.

B. Pursuant to mutual agreement the parties herein agreed to amend certain


terms/clause/provisions of the “Principal Agreement” for a period of 12 months starting
from 1st April, 2021 till 31st March, 2022 hereinafter referred as “Concessional Period”.

C. The parties hereto wish to record the terms and conditions of the revision of the Rent
the “Leased Premises” for the “Concessional Period” commencing from from 1st April,
2021 till 31st March, 2022 and the consequential modification to be carried out in the
“Principal agreement” in respect of the Rent and as a result thereof. Accordingly the
Parties hereto have agreed to execute the present Amendment Agreement.

D. This addendum agreement shall be co-extensive and co-terminus with the “Principal
agreement; for the sake of abundant clarity it is recorded that the “Principal agreement”
and this Amendment Agreement shall be read in conjunction with each other.

NOW THEREFORE, in consideration of the mutual terms and conditions and understandings
contained in this Amendment Agreement, which are hereby mutually acknowledged, the
Parties hereby agree as follows:

1. Unless the context otherwise requires or this Amendment Agreement otherwise


provides, the terms and expressions defined in the “Principal Agreement” shall have the
same meaning when used in this Amendment Agreement.

2. Subject to terms & conditions herein contained, the “Principal Agreement” is hereby
amended to the extent necessary to give effect to the provisions of this agreement and
to incorporate the provisions of this Amendment Agreement in the “Principal
Agreement”.

3. The Parties hereby Pursuant to mutual agreement herein agreed to amend the Rent for
a period of 12 months starting from 1st April, 2021 till 31st March, 2022 hereinafter
referred as “Concessional Period.”

A. RENT

For the “Concessional Period” “starting from 1st April, 2021 till 31st March, 2022 in the
“Principal Agreement” shall stand amended, reproduced and read as follows;

Clause referring to rent in the “Principal Agreement” shall stand amended, reproduced
and read as;

That the Lessors in consideration of a monthly rent of Rs.90,000/- (Rupees Ninety


Thousand only) from 1st April,2021 to 31st March,2022, hereinafter referred to as the

“Rent” do hereby agree to Lease to the Lessee, for the purposes of setting up and
operating its Business, the Leased Premises being the said Property situated at Ground
floor Shop No.1A, E-2/4, East Patel Nagar, New Delhi – 110008 and as more specifically
and particularly demarcated and described at Annexure-A attached hereto (hereinafter
the "Leased Premises") for a Period of Twelve (12) months, commencing from the
Effective Date.

4. Unless repugnant to the context, except the amendments agreed herein all other terms and
conditions as contained in the “Principal Agreement” shall, mutatis mutandis continue to
remain in force and be binding on the parties and this Amendment Agreement shall form
the part of the “Principal Agreement”.

5. The Lessee alone shall bear and pay stamp duty pertaining to the registration of this
amendment agreement (only if registration is required).

6. Variation of any of terms of this agreement must be in writing and signed by the parties in
order to be valid and binding on the parties.

7. The Lease agreement or the “Principal Agreement” as amended hereby by this Amendment
Agreement is and shall continue to be in full force and effect and is hereby in all respects
ratified and confirmed by the parties.

8. On the expiry of above mentioned Concessional period i.e.; from 1st April, 2022 onwards all
the original terms of principal agreement shall come in force and this amendment
agreement shall become null and void. After the expiry of “concessional period” the Lessee
shall pay the rent as per terms mentioned/recorded in Clause 1 of the “principal
agreement”.
IN WITNESS WHEREOF THE PARTIES HERETO, HAVE EXECUTED THIS AMENDMENTAGREEMENT,
THE DAY, THE MONTH AND THE YEAR HEREINABOVE WRITTEN.
