SPECIAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS:

I, the undersigned, Filipino, of legal age, do hereby appoint, name and constitute
HENEDINA B. MATIAS. Filipino of legal age, married to FRANCISCO G. MATIAS
and with address at B3 L18 Sapphire St., Villa Gloria Subdivision, Pinagbuhatan, Pasig
City, as my true and lawful attorney-in-fact, to perform for me and in my name, place and
stead the following acts:

1. Negotiate, agree on, or enter, under such terms to my attorney-in-fact, with


Balikatan Housing Finance, Inc. (“BHFI”) or Bahay Financial Services, Inc.
(“BFS”) or their assigns or successors-in-interest into any amendment,
modification, refinancing, restructuring, settlement, purchase of sale of the rights
and obligations, including the dacion or conveyance of the property involved to
Balikatan Property Holdings, Inc. (“BPHI”) or its successors or assigns, under the
Loan and Mortgage Agreement dated March 29, 1990 and secured by a real estate
mortgage over the property covered by Transfer Certificate of Title No. PT-77728
of the Register of Deeds for Pasig, Metro Manila, (the “Property”) and all related
loan documents; and

2. To bind me as principal borrower or co-borrower with joint and several liability


under any such amendment, modification, refinancing, restructuring, settlement or
any other transaction stated above; and

3. Execute, perform, sign, render, deliver, and/or receive any and all documents,
receipts, agreements, or papers, including Conditional Settlement Commitments,
Refinancing Agreements, Assignment of Loan Agreements, Deed of Dacion,
Settlement Agreement, Deed of Conveyance and the receipt of the original
owner’s duplicate copy of the Transfer Certificate of Title No. PT-77728 issued
by the Register of deeds for Pasig, Metro Manila.

This also serves to release BFHI, BPHI and BFS, their assigns or successors-in-
interest, and their shareholders, directors, officers, agents, employees, representatives
from any claim or cause of action whatsoever against them in respect of any matter
incident to or arising out of any of the transactions above-mentioned or relating to the
Property and I agree to indemnify and hold them harmless from any and all suits or
claims in relation to or arising out of any of the transactions above-mentioned or relating
to the Property, including the delivery of the original owner’s duplicate copy of Transfer
Certificate of Title over the Property to my said attorney-in-fact.

HEREBY GIVING AND GRANTING unto said attorney-in-fact full power and
authority to do and perform all and every act whatsoever requisite or necessary or proper
to carry into effect the foregoing authority, as fully to all intents and purposes as I might
or could lawfully do if personally present, with full power of substitution and revocation,
and hereby ratifying and confirming all that my said attorney-in-fact or his/her substitute
shall do or cause to be done under and by virtue of these presents.
