About Prabhat Misra

Background
Prabhat is a senior lawyer, qualified in England & Wales and DIFC, UAE, with nearly 16 years
legal / claims experience in shipping, commodities and trading sectors. Before law, Prabhat
had worked in ship finance for 4.5 years and as deck officer on cargo vessels for over 4 years.

Prabhat’s legal experience was built with two top London City firms, Macfarlanes and Clyde &
Co, while based in London and Dubai and as counsel / claims with Gearbulk, BW Group, ABS
and Oldendorff Group while based in London, Singapore and Hamburg.

Prabhat’s expertise includes:


(a) cargo claims, drafting / advising on charterparty and bills of lading, BIMCO clauses / forms
across dry and wet cargoes, advise on P&I and H&M matters, conducting arbitration (LMAA,
GAFTA, SCMA, LCIA, DIFC, ICC) and litigation in the UK High Court and DIFC;
(b) corporate and finance laws, including creation / management of funds, treasury and tax
structuring, financial markets regulations for hedging and trading, trade finance and listing and
private placements; and
(c) provide US / EU sanctions and maritime regulatory advice (eg - emissions rules) and
business solutions to commodity and cargo trading desks.

Notable matters:
- Listing of BW LPG at the Oslo Stock Exchange
- USD 360 million private placement with bond holders in Europe and the US;
- Set up FFA, Commodity and carbon trading desks at Oldendorff;
- Worked on syndicated or bilateral loan agreements or financing deals aggregating to
USD 3.2 billion;
- Create a new trade finance terms for global cash supply at Oldendorff.

monthly costs, Prabhat will provide full in-house services of highest standards on all English
and International laws in shipping, trade and commodities sector for daily legal work, contracts
advice, legal notices, claims advice, financing strategy and business advice; or
2 - Special cases – On special matters involving significant services over long periods,
extending over a few weeks or months for completion, a lumpsum fee estimate for stages of
the scope of work will be provided covering all aspects.
