CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This Contract to Sell, made and entered into this ___ day of
_____________ at ______________, by and between:

Teresita G. David, of legal age, Filipino, single and a


resident of No. 53 Regalado Extension, Fairview Park Subdivision,
Quezon City,, hereinafter referred to as the VENDOR";

_____________________________, hereinafter referred to as the
"VENDEE".

WITNESSETH: That

WHEREAS, the VENDOR is the true and absolute owner of a lot located
at Lot 7 Blk 62, Fairview Subd., Quezon City covered by Transfer Certificate of
Title No. TCT No. 004-2015011581 -- issued by the Register of Deeds for Quezon
City, Metro Manila, (the "Property") and more particularly described as follows:

Certificate of Title No. No. 004-2015011581

“A parcel of land (Lot 7, Block 62 of the


consolidation-subdivision plan (LRC) Pcs-8124,
Sheet No. 4, being a portion of the consolidation of
Lots 41-B-2-A and 41-B-2-C, BSD-1136 and Lot 2.
(LRC) Pcs-2665, (LRC) (GLRO) Record No. 1037),
situated in Quezon City, Island of Luzon. Bounded
on the N., points 4 to 1 by Lot 5, on the E., points 1 to
2 by Lot 8, on the S., points 2 to 3 by Lot 9, all of
Block 62, and on the W., points 3 to 4 by Road Lot 59,
all of the consolidation-subdivision plan. Beginning
at a point marked “1” on plan, being S. 72 deg 06’ W.
8941, 80 m. from BLLM No. 1, Mp. Of Montalban
Rizal.”

WHEREAS, the VENDOR offered to sell the Property and the VENDEE
has agreed to buy the same under the terms and conditions set forth herein.

ACCORDINGLY, the parties hereby agree as follows:

1. SALE AND PURCHASE OF THE PROPERTY - Subject to the


terms and conditions of this Contract, the VENDOR shall sell, assign, transfer
and convey unto the VENDEE, free from all liens and encumbrances, and the
VENDEE shall purchase and accept all the VENDOR's interest, rights, and title
in and to the Property.

2. PURCHASE PRICE AND MODE OF PAYMENT. - The total


consideration shall be ________________________ PESOS (P___,000,000.00)
PHILIPPINE CURRENCY, which shall be paid to the VENDOR in the manner
and amount and under the conditions specified hereunder, viz:
(a) TWO MILLION PESO (2,000,000.00), as down payment/earnest
money upon the execution of this Contract, receipt of which is
hereby acknowledged.

(b) The balance of the purchase price in the amount of


______________________________ PESOS (P___,000,000.00) shall be
paid on or before ______________ upon payment of all back realty
taxes and other assessments or taxes on the Property and
presentation of proof of such payments.

3. TAXES AND EXPENSES. - Should the sale contemplated herein


materialize, the VENDOR shall bear and assume the capital gains tax and
documentary stamp tax while registration fees and transfer taxes due on the sale
of the Property shall be for VENDEE's account.

4. REPRESENTATIONS, WARRANTIES AND UNDERTAKINGS


OF THE VENDOR. - The VENDOR represents and warrants that:

(a) She is the lawful, sole and absolute owner of the Property and is in
complete and peaceable possession thereof: and the Property is not
subject of any adverse claim of ownership or possession, nor under
any option and/or offer to sell or lease.

(b) She has all the requisite power and authority to execute and deliver
this Contract to Sell and perform its obligations hereunder
according to the terms hereof.

(c) She has validly and lawfully acquired the Property from its
predecessors-in-interest.

(d) Shet has no knowledge of any law, ruling, regulation or fact which
will prevent the VENDEE, its assigns, successors-in-interest or
nominees, from acquiring title to, or taking complete possession of
the Property, free from all liens and encumbrances whatsoever.

(e) There is no judgment, order, litigation, arbitration, administrative


proceeding or governmental investigation pending or threatened
against the VENDOR, or in any manner involving the Property
which impairs or will impair the VENDOR's (and/or the
VENDEE's) right to the possession or use of the Property nor is
there any basis known to the VENDEE for any such litigation,
arbitration or proceeding which, if adversely decided against the
VENDOR, would have a material and adverse effect upon the
right to the possession or use of the Property by the VENDEE.
(f) The building and other improvements in the Property are
structurally sound and not subject of any condemnation order and
the VENDEE is not in violation of any local ordinance or other law
in the maintenance and operation thereof.

(g) Upon or subsequent to the execution of this Contract, she shall not
take or cause to be taken, directly or indirectly, any action as
would adversely affect its interest in the Property or would in any
way prejudice or delay the VENDEE's taking title to, possession of,
or interest in the Property.

(h) She has not at any time, before, during or at the time hereof,
concealed or misrepresented any substantial or material fact
relative to the Property or to its capacity to sell and convey its
rights to the Property to the VENDEE.

(i) She shall indemnify the VENDEE for and hold it free from and
harmless of any claims that may be made by any party against the
VENDEE and/or on the Property in connection with, arising out
of, or in any way relating to encumbrances and liens, disclosed or
otherwise, or under any law or proceeding, as well as any claims
for taxes and assessments, or of ownership or possession of, or any
other right to, the Property adverse to that of the VENDOR or the
VENDEE.

(j) The certificate of title, tax declarations covering the Property in the
name of the VENDOR, location plan, complete building plans
(civil, electrical, sanitary, etc.), occupancy permit, sanitary permit
and such other papers, deeds, permits, licenses, and documents
relative to the VENDOR's ownership of the Property and which
are necessary to accomplish registration of the sale, copies of which
shall be delivered to the VENDEE on or before Closing pursuant
to the terms hereof, are genuine and authentic.

5. SURVIVAL OF REPRESENTATIONS.- All representations,


warranties and undertakings of the VENDOR contained in this Contract shall be
deemed to be material and to have been relied upon by the VENDEE and shall
survive the execution and delivery of this Contract, notwithstanding the
consummation of the transaction contemplated in this Contract.

6. OPTION TO RESCIND. - This Contract shall be automatically


rescinded upon failure of the VENDEE to pay the balance on due date.
However, the downpayment/earnest money shall be returned to the VENDEE
without interest.
