MEMORANDUM OF AGREEMENT

FOR THE ESTABLISHMENT OF NEGOSYO CENTER

KNOW ALL BY MEN BY THESE PRESENTS:


This Memorandum of Agreement entered into this 27th day of October 2021 by and
between:

The DEPARTMENT OF TRADE AND INDUSTRY – Iloilo Provincial Office, a


government agency duly organized and existing under the laws of the Republic of the
Philippines, with principal office at DTI Building, J.M. Basa-Peralta Street, Iloilo City,
represented herein by its Provincial Director FELISA JUDITH L. DEGALA, and hereinafter
referred to as “DTI-ILOILO”;
-and-

The LOCAL GOVERNMENT UNIT OF CARLES, a government office duly


organized and existing under the laws of the Republic of the Philippines with office
address at Poblacion, Carles, Iloilo, represented herein by its
Mayor, HON. SIEGFREDO A. BETITA and hereinafter referred as “PROGRAM
PARTNER”;

WITNESSETH THAT:

WHEREAS, Republic Act No. 10644, An Act promoting Job Generation and Inclusive
Growth through the Development of Micro, Small and Medium Enterprise, otherwise known as
the “Go Negosyo Act”, has been approved last July 15, 2014 and its Implementing Rules and
Regulations approved on December 19, 2014;
WHEREAS, the approval of the Republic Act 10644 (Go Negosyo Act), aims to foster
national development, promote inclusive growth, reduce poverty by encouraging the
establishment of micro, small and medium enterprises (MSMEs) that facilitate local job creation,
production and trade, and bring government services closer to small businesses;
WHEREAS, through the “Go Negosyo Act”, the Department of Trade and Industry
(DTI) with the support of the LGUs and the other government agencies expects to further boost
its assistance to Micro, Small and Medium Enterprises (MSMEs) to grow and flourish and
intensify the promotion of entrepreneurship in the country;
WHEREAS, the “Go Negosyo Act”, mandates the creation of Negosyo Centers which
would be directly supervised by the DTI in every province, city and municipality nationwide.
These centers would ease process of starting up and registering small businesses;
WHEREAS, the Negosyo Centers will facilitate building, marketing, human resources
and many other aspects of maintaining business;
WHEREAS, the Local Government of Carles, as Program Partner has signified to DTI-
Iloilo to provide a space of 22 square meters for the Negosyo Center at the 2nd Floor, Public
Market Building, Poblacion, Carles, Iloilo;
WHEREAS, the Program Partner has expressed its willingness to let the Negosyo Center
use the area at no cost to DTI-Iloilo;

WHEREAS, the Program Partner can be a source of competent technical expertise to
accelerate the implementation of the program;
WHEREAS, the Program Partner is willing to tie up with the Negosyo Center and
provide technical or expert advice and other assistance to the MSMEs;
WHEREAS, the Program Partner has the technical and professional expertise in the
following areas:
1. Business Advisory / Consultancy Services;
2. Provision of Technical Assistance on Business Development;
3. Enterprise Development and Management Seminars;
4. Identification of Business Development Services (BDS) providers that will augment the
delivery of services on MSME Development;
5. Policy making on Business Enabling Environment;
6. Promote and Facilitate Productivity and Efficiency Development of MSMEs; and
7. Promote and Facilitate access to finance and market.
NOW THEREFORE, for and in consideration of the foregoing premises and of the mutual
covenants herein below set forth, the Parties bind themselves and agree as follows:

ARTICLE I
THE PROGRAM

The Negosyo Center’s vision is to nurture the growth of MSMEs and create an attractive
framework to MSMEs in dealing with the difficulties in the process of doing business and to
alleviate disadvantages that the MSMEs encounter by providing numerous technical services that
are useful in fostering innovation and entrepreneurship.

ARTICLE II
OBJECTIVES OF THE PROGRAM

The program aims to achieve the following objectives:


1. To foster national development, promote inclusive growth, reduce poverty by
encouraging the establishment of micro, small and medium enterprises (MSMEs)
that facilitate local job creation, production and trade, and bring government
service close to small business through establishment of Negosyo Center in all the
provinces, cities, and municipalities in the country;
2. To further boost assistance to micro, small and medium enterprise (MSMEs) to
grow and flourish and intensify the promotion of entrepreneurship in the country;
3. To ease the process of starting up and registering small businesses;
4. To facilitate MSMEs encounter by providing numerous technical services that are
useful in fostering innovation and entrepreneurship;
5. To provide technical expertise and services to accelerate development of MSMEs;
6. To build competencies of the MSMEs;
7. To access technical advice through coaching session;
8. To improve managerial skills and enhance entrepreneurial behavior; and
9. To develop a more dynamic, competitive and sustainable MSMEs.

ARTICLE III
ROLES AND RESPONSIBILITIES

The Department of Trade and Industry – ILOILO Provincial Office shall:


1. Together with the PROGRAM PARTNERS, prepare and approve a Manual of
Operations which shall include, among others, the organizational/functional structure of
the center, procedure for accessing the services of the Center, business plan,
communications plan to promote the use of the facility, and reportorial procedures;
2. Assign staff to permanently man/operationalize the center and provide business
consultancy services to MSME-clients;
3. Promote the services of the center;
4. Manage and coordinate linkages with existing and potential project partners;
5. Identify business development service (BDS) providers which will augment the delivery
of the four outcome portfolios of MSME Development, that is, Access to Market (A2M),
Access to Finance (A2F), Productivity and Efficiency (P&E), and Business Investment
Enabling Environment (BIEE);
6. Establish a databank which shall be a source of information necessary for market
linkaging, facilitation, project monitoring, research and policy studies and information
campaigns;
7. Propose and organize calendar of events for the center;
8. Provide, when necessary, additional technical support for capacitating the “PROGRAM
PARTNERS”, including prospective partners, to sustainably manage and operate the
Center in accordance with the objectives of the “Negosyo Center”;
9. Monitor and evaluate the operations of the center, particularly in terms of number of
MSMEs assisted.

The Local Government Unit of Carles shall:


1. Provide a space to house the Negosyo Center and construct/renovate the area, together
with furniture/fixtures and other equipment, consistent with the prescribed “one look” for
all Negosyo Centers in the country.

2. Staff Complement.
a. Assign and subsidize staff to locate at the Negosyo Center who will facilitate the
delivery of the service and coordinate related activities with DTI;
b. Assist MSMEs in the Negosyo Center, to access fiscal and non-fiscal incentives and
provide business/trade facilities.
3. Daily Operation.
a. Assist in the generation of the business information and industry data relevant to the
needs of MSMEs;
b. Provide DTI with report/feedback on each engagement to document impact and
effectiveness of the service as well as identify areas for improvement in the provision
of assistance;
c. Exercise utmost discretion and confidentiality in their business dealing with MSMEs;
d. Coordinate conduct of MSME development related trainings/seminars for existing
MSMEs and potential entrepreneurs/community-based enterprises;
e. Co-prepare Manual of Operation with DTI, which shall include, among others, the
organizational/functional structure of the center, procedure for accessing the service
of the Center, business plan, communications plan to promote the use of the facility,
and the reportorial procedures;
f. Propose and organize calendar of events for the center in coordination with DTI-Iloilo
Provincial Office.
g. Allocate budget for the power consumption of the Negosyo Center.
h. Assume all accountabilities and responsibilities of the Negosyo Center upon official
turn-over.
4. Promotion. Promote the services of the center.

ARTICLE IV
OTHER PROVISIONS

The PARTIES shall exert due diligence and good faith to achieve objective of the
Program. Any problem, conflict or concern that may arise from implementing the Program shall
be resolved amicably through consultations. In case the parties fail to amicably settle their
dispute, the same shall be resolved through the alternative modes of dispute resolution pursuant
to Republic Act 9825 (Alternative Dispute Resolution Law).

ARTICLE V
PROGRAM EFFECTIVITY AND DURATION

This Memorandum of Agreement shall take effect immediately upon signing hereof by
the authorized representatives of both parties, shall be in force for a period of two (2) years
renewed upon written agreement of the PARTIES.

ARTICLE VI
AMENDMENT AND TERMINATION
Any amendments to this MOA shall be upon mutual consent, made in writing, and signed
by all parties herein. The parties may terminate this Agreement upon ten (10) calendar days prior
written notice on any of the following grounds:
a. Situation/Circumstances that would make it impossible for the project to continue to
be carried out;
b. Breach of any of the terms of the Agreement; and

c. Failure to perform or deliver by any of the parties of a material portion of the agreed
outputs or deliverables.
