Subject: Offer cum Appointment letter for the post of EXECUTIVE.

On behalf of the Management of Alkem Laboratories Limited, I take great pleasure in offering you appointment
as EXECUTIVE in Grade M8 B in our “Production_Baddi Department / Division”.

The terms and conditions of the employment are as per ANNEXURE – 1.

Your posting will be presently at “Solan"HQ.

Your total fixed compensation will be Rs. 550000/- per annum ( Five Lakh Fifty Thousand Rupees Only). The
detailed breakup and condition for payout is as per ANNEXURE II.

Your appointment is subject to you being found medically fit and on the understanding that all the details mentioned
by yourself in the job application form are correct and complete in all respect.

Your tentative date of joining will be 5 August 2019. In case you do not join on or before this date, the offer cum

ANNEXURE – I

1. ONBOARDING PROCESS AND DOCUMENTATION: Upon acceptance of the offer, you will shortly receive an
on-boarding link on your email address. Kindly click on the on-boarding link and fill all the necessary information
and upload the documents required before you come for joining. In addition, on the date of joining please carry the
original set of the following documents for verification:
a) Educational Qualifications (Provisional or final certificates of S.S.C, H.S.C, Graduation, Post-Graduation etc till
date)
b) Proof of Date of Birth (Certificate obtained from SSC / Aadhaar with date of birth mentioned).
c) Permanent Account Number (PAN Card)
d) Aadhaar Card
e) Offer Letter, Relieving letter and Salary Slips (last 3 months) of previous employer.
f) Cancelled Cheque of your saving’s account.
g) 4 Latest Passport size photographs of yourself.

2. MEDICAL FITNESS & VERIFICATION OF PARTICULARS: Your appointment is subject to:

a) You being found medically fit and continuing to remain fit thereafter as certified by a company approved doctor.
The Management has the right to get you medically examined by any certified medical practitioner during the
period of your service. In case you are found medically unfit to continue with the job, you will lose your lien on the
job.

b) Satisfactory verification of your character, antecedents and testimonials. In case particulars mentioned in your
application / Curriculum Vitae / Resume are found false or unsatisfactory, your services would be liable for
termination at any time without any notice or any compensation in lieu thereof.

3. INCREMENTS AND PROMOTIONS: Your increments and future prospects in the company shall entirely
depend on your Performance, efficiency & effectiveness, hard work, regularity in attendance, sincerity, good
conduct and such other relevant factors as Company may deem fit. Increment in no case shall be automatic and/or
a matter of right.

4. POSTING / TRANSFER: Your posting will be presently at location mentioned in this offer cum appointment
letter. However, during employment of the Company, you may be posted / transferred to any of the offices /
projects / divisions / departments / units / subsidiaries / sister concerns of the Company, which are in existence or
which may be set up in future at any other location in India or abroad, without any additional remuneration, in the
interest of the Company without assigning any reasons.

5.CESSATION OF EMPLOYMENT: On the basis of documents / certificates submitted by you, your date of birth is
recorded as 29-11-1990.

a) As per the policy of the company the age of superannuation is on completion of 58 years.

b) This contract of employment will be terminable with or without any reason by either party by giving the requisite
period of notice in writing as per prevailing notice period policy, which shall be 1 months in your case. The company
reserves the right to pay or recover in lieu of notice period fixed gross salary (basic+allowances). Further, the
company may at its discretion relieve you on such date as it may deem fit even prior to the expiry of the notice
period.
c) If you absent yourself without leave or remain absent beyond the period of leave originally granted or
subsequently extended, you shall be considered as having voluntarily terminated your employment without giving
any notice unless you:

i.return to work within 8 days from the commencement of such absence and
ii.give an explanation to the satisfaction of the Management regarding such absence.

d)Your services are liable to be terminated without any notice or salary in lieu thereof for misconduct, without being
exhaustive and without prejudice to the general meaning of the term "misconduct" in the case of reasonable
suspicion of misconduct, disloyalty, commission of an act involving moral turpitude, any act of indiscipline or
inefficiency.

6. DUTIES AND RESPONSIBILITIES:

a) The Company will expect you to work with a high standard of initiative, efficiency and effectiveness. You will
perform, observe and confirm to such duties, directions and instructions assigned or communicated to you by the
company and those in authority over you.

b) You will devote your entire time to the work of the Company and will not undertake any direct/indirect business
or work, honorary or remuneratory except with the written permission of the Management in each case.
Contravention of this will lead to the termination of your service without any notice or any compensation in lieu of
such notice.

c) You shall not seek membership of any local or public bodies without first obtaining written permission from the
management.

d) You shall neither divulge nor give out to any unauthorized person during the period of your service or even
afterwards by word of mouth or otherwise, particulars or details of our systems and procedures, technical
know-how, security arrangements, administrative and / or organizational matters of a confidential/secret nature,
which may be your privilege to know by virtue of you being our employee.

e) You shall keep confidential all the information and materials provided to you by the Company or by its clients
concerning their affairs, in order to enable the Company to perform the service. This also includes such information
as is already known to the public which also you will not release, use or disclose except with the prior written
permission of the Company. Your obligation to keep such information confidential shall remain even on termination
or cancellation of this employment.

f) You will disclose to us forthwith any discovery, invention, process or improvement made or discovered by you
while in our service, and such discovery, invention, process or improvement shall belong absolutely to and be the
sole and absolute property of the Company. If and when required to do so by the Company, you shall at the
Company's expense, take out or apply for the Latter's Patent, Licenses or other rights, privileges or protection as
may be directed by us in respect of any such discovery, invention, process or improvement so that the benefit
thereof shall accrue to us and you will execute and do all instruments, acts, deeds and things, which may be
required by us for assigning, transferring or otherwise vesting the same and all benefits arising in respect thereof in
our favour or in favour of such other person or persons, firms or companies, as we may direct as the sole
beneficiary thereof.
You are specifically made aware that you will not be made liable to any compensation for such acts of yours, and
that any rewards which the company may choose to bestow will not be deemed to confer any rights towards that
invention, discovery or improvement in system or method for you.

g) You will not enter into any commitments or dealings on behalf of the Company for which you have no express
authority nor alter or be a party to any alteration of any principle or policy of the Company or exceed the authority
or discretion vested in you without the previous sanction of the Company or those in authority over you.

h) You will be responsible for the safe keeping and return in good condition and order of all the properties of the
company, which may be in your use, custody, care or charge. For the loss of any property of the company in your
possession, the company will have a right to assess on its own basis and recover the damages of all such
materials from you and to take such other action as it deems proper in the event of your failure to account for such
material or property to its satisfaction.

7. NON-SOLICITATION:

SECTION 1. NON-SOLICITATION

1.a) Non-Solicitation. During the term of the Terms of Engagement and for a period of two (2) years thereafter
("Non-solicitation Period"), Employee shall not, directly or indirectly induce or attempt to induce any employee,
consultant or independent contractor of the Company or any of its affiliates to leave the employ of or engagement
with the Company or any of its affiliates, or in any way interfere with the relationship between the Company or any
of its affiliates and any employee, consultant or independent contractor thereof.

SECTION 2. GENERAL PROVISIONS

2.a) Enforceability: In the event a Party fails to require, at any time, compliance with any provision hereunder, by
another party, this fact shall not affect, in any way, the right of that party to enforce such compliance; nor shall it
affect that party's right to enforce any other provision in this Term, nor shall the waiver by any party of the breach of
any provision hereof be taken or held to be a waiver of any subsequent breach of such provision or as a waiver of
the provision itself.

2.b) Amendments: This Term shall not be cancelled, changed, modified, or amended orally, and no cancellation,
change, modification or amendment shall be effective between the parties if not in written and signed by the parties
of this Term.

2.c) Severability and Survival: In the event any provision or portion of this Term is determined to be invalid or
unenforceable for any reason, in whole or in part, the remaining provisions of this Term shall nevertheless be
binding upon the parties with the same effect as though the invalid or unenforceable part had been severed and
deleted.

2.d) Notices: Any notices in relation to this Term shall be made by the Parties in writing, in English, and shall only
be considered delivered if sent by registered letter with confirmation of receipt to the following addresses: (A) if to
the Company (Alkem Laboratories Ltd; Alkem House, ‘Devashish', Senapati Bapat Marg, Lower Parel, Mumbai -
400 013); (B) if to the Employee at his/her address.
2.e) Breach: Provided such breach is confirmed by the competent jurisdiction, any breach by the Employee of
obligations established herein shall result cumulatively in: (i) Employee's liability for any and all losses incurred by
the Company or its affiliates in connection with such breach; and (ii) specific performance which might be sought by
the Company, pursuant to 2.6 below.

2.f) Specific Performance: All obligations undertaken under this Term are subject to specific performance. The
Parties may require the competent judicial authority to obtain the injunctions in the situations where the granting of
measures of such nature are fundamental to ensure to the claiming Party the exercise of any right in connection
herewith.

2.g) Governing Law and Jurisdiction: This Terms of Engagement shall be construed and governed by the laws of
India. All disputes or controversies arising hereunder shall be subject to the jurisdiction of the courts of the city of
Mumbai, India.

8. GENERAL:

a) You may be selected and sponsored by the Company for familiarization / training assignments with any
institutions / organizations in India and/or abroad. You will diligently and beneficially take part in the training and
such assignments. The cost of such training, including the travel fare and related expenses will be borne by the
Company subject to agreements to be drawn up and signed by the Company and you specifying minimum number
of years you will serve the company after such training and providing for payment of liquidated damages by you to
the Company proportionate to the years of service remaining to be rendered, in the event you voluntarily terminate
the contract of service or this appointment, as the case may be, prior to the expiry of the agreed period of service
referred to herein above.

b) You will be covered by the service rules and regulations including conduct, discipline and administrative orders
and any such other rules or orders of the company that may come in force from time to time.

c) You will be entitled to statutory benefits such as Provident fund, Gratuity etc., as per the applicability of the
respective Acts. In addition you will be covered and governed by all applicable policies of the company at any point
of time.

d) You will be covered under the Employee Benevolent Fund, Group Personal Accidental Policy and Mediclaim
Policy as applicable for your Grade. For the Employee Benevolent Fund a nominal amount by way of contribution is
recovered from your salary as per the company policy. In case you opt to cover your dependents under the
Mediclaim policy, there will be nominal amount towards the premium which is recovered from your salary.

e) You are required to keep us informed of any changes in your personal details (residential address, marital
status, educational qualifications, dependant details etc.) or in your civil status.

f) You may be placed under suspension pending enquiry into the charges of misconduct or otherwise. The salary
for the suspension period will be paid to you only when you are found not guilty of any of the charges for which you
were suspended and not otherwise.

g) You will hand over the charge of letter of Authority or Power of Attorney issued to you or any property / material
of the company in your possession at the time of cessation of your employment with the company.
h) You shall be required to sign and abide by the Policy on Ethics which the Company has at this level and shall
undertake to sign such declarations that the Policy may demand from time to time.

i) You are also liable to return reimbursements if any form done like joining bonus, relocation expenses, notice
period of previous employer or any other reimbursements subject to conditions discussed during the time of joining
if you resign from service of the company prior to first anniversary of employment.

j) In the event of any dispute regarding the terms and conditions of your appointment, you will be subject to the
jurisdiction of the relevant courts of law at the headquarters of the company viz. Mumbai.

k) Please note that you are required to keep the salary & other perquisites / benefits offered to you strictly
confidential and not to share information regarding the same with anyone.

l) Apart from the above terms and conditions mentioned in the contract, you will be liable to conform to Company
policies and procedures, rules and regulations, discipline and general work practices which are subject to change
from time to time.
