INSTA OVERDRAFT FACILITY (Insta OD)

APPLICATION FORM

1. Introduction :

A. All applicants, which expression shall, as the subject or context may admit or require, mean any or each of the
Applicant/s ("Applicant") - whether individuals, proprietary concerns, partnership, limited liability partnerships or
companies who wish to avail of financial assistance detailed below (the "Facility") from ICICI Bank Limited ( "ICICI
Bank”) for the purpose specified below (the "Purpose") in this Application Form (here in after "Application Form")
are required to fully fill-in and submit this Application Form (along with all other necessary details and documents, if
any) to ICICI Bank for applying for the same.

B. ICICI Bank shall be entitled at its sole and absolute discretion to reject/approve any Application Form submitted by
the Applicant.

C. The Applicant's request for the Facility vide this Application Form and the Facility shall be subject to the terms hereof.

D. Application Form along with additional documents (if any), submitted shall be considered by ICICI Bank and if the
same is to the satisfaction of ICICI Bank, ICICI Bank shall disburse the requested Facility to the current account of
the Applicant(s).

E. As per RBI guidelines, Corporate Debit Card issued for the current account will be hotlisted upon successful limit
setup of the CAOD facility.

F. Revised Schedule of Charges (SOC) as applicable for Facility, will be downloaded along with this Application Form
for your perusal and will be effective after limits have been setup in the current account of the Applicant.

Mechanism

Repayment The Facility shall be repayable on demand on the request of ICICI Bank at any time during the
tenor of the facility.

4. DECLARATIONS:
I, on behalf of the Applicant confirm, agree and declare the following:-
A. That I am authorized pursuant to Board Resolution dated __________ passed by the Applicant to avail this Facility
for and on behalf of the Applicant.

B. I/we declare that all the particulars and information and details given/filled in this Application Form and documents
submitted are true, correct, complete and up-to date in all respects and that the Applicant has not withheld any
information whatsoever and shall furnish such additional writings, documents as may be required in connection with
the financial assistance/s required by the Applicant. I/We understand that certain particulars given by us are required
in view of the guidelines governing banking companies.

C. I/we confirm that no insolvency proceedings or suits for recovery of outstanding dues or monies whatsoever or for
attachment of any assets or properties and/or any criminal proceedings have been initiated and/or are pending
against the Applicant and have never been adjudicated insolvent by any court or other authority.

D. No director or a relative/near relation(as specified by RBI) of a director of a banking company (including ICICI Bank)
or a relative/near relation(as specified by RBI) of a senior officer of ICICI Bank (as specified by RBI) is: the
Applicant(s),or a partner of our concern, or a trustee, member, director, employee, manager, managing agent of our
concern, or of our subsidiary, or our holding company, or a guarantor on my behalf, or holds substantial interest in our
concern or my subsidiary or holding company.

E. No fresh commitment will be given for granting loans or advances to or on behalf of companies/subsidiaries of
companies in which any of the Directors of the Bank is a Director except as permitted by RBI from time to time.

F. No action nor other steps have been taken or legal proceedings started by or against the Applicant in any court of law
/ other authorities for winding up, dissolution, administration or re-organization or the appointment of a liquidator
(including a provisional liquidator) receiver, administrator, administrative receiver, trustee or similar officer or for my
assets.

G.I/we authorize ICICI Bank and all its group companies and their agents to exchange, share or part with all the
information and details relating to my existing loans / financial assistances and/or repayment history to other ICICI
Bank group companies, banks, financial institutions, credit bureaus, agencies, statutory bodies, information utilities etc.
as may be required or they may deem fit and shall not hold ICICI Bank (or any of its group companies or its/their
agents/representatives) liable for use/sharing of this information.

H. I/we agree that ICICI Bank Ltd/its group companies reserves the right to retain the photographs and documents
submitted with photo-card application and will not be returned to the Applicant.

I. The Applicant has/have no objection to ICICI Bank, its group companies, agents / representatives to provide me/us
information on various products, offers and services provided by ICICI Bank / its group companies through any mode
(including without limitation through telephone calls / SMS/email) and authorize ICICI Bank, its group companies,
agents / representatives for the above purpose.

J. The Applicant: (i) accepts that the RBI or credit bureau and any other agency so authorized, any statutory, regulatory
or supervisory authority, may use, process, disseminate the said information and data disclosed by ICICI Bank in such
manner as deemed fit by them in any particular circumstances; and (ii) shall not hold ICICI Bank at all responsible or
liable in this regard.

K. I/we understand and acknowledge that ICICI Bank shall have the absolute discretion, without assigning any reasons
(unless required by applicable law), to reject this application and ICICI Bank shall not be responsible/liable in any
manner whatsoever to me for such rejection or any delay in notifying me of such rejection and any costs, losses,
damages or expenses, or other consequences, caused by reason of such rejection, or any delay in notifying me of
such rejection, of my application.

L. I/we undertake to inform ICICI Bank regarding any changes whatsoever in the registered office of the company and to
promptly provide such further information that ICICI Bank for its designated group companies or agents or
representatives may require.

M I/we also authorize ICICI Bank to check references about us from any bank/persons.

N. I hereby further confirm that, none of the directors of the borrowing entity are also directors of subsidiaries of ICICI
Bank or of scheduled co-operative banks or the trustees of mutual funds/venture capital funds.

O.I declare that: I/we am/are competent and fully authorized to issue such declaration, confirmations, agreements and
undertaking and submit this Application Form on behalf of the applicant and also accept the terms and conditions
applicable to the Facility (electronically or physically) for the purposes of borrowing/availing of the requested facility,
and to execute all other documents required by ICICI Bank for such purpose on behalf of the Applicant; (ii) all such
letter(s) of authorities / power(s) of attorney, if any, executed by me in favour of any person/s and which is/are
submitted to ICICI Bank on behalf of the Applicant, is/are valid, subsisting and has/have not been revoke by the
Applicant.

P. I acknowledge and agree that the grant of the Facility by ICICI Bank to us shall be subject to compliance by Applicant
of the applicable terms and conditions set out under this Application Form, Annexures and as detailed and available on
https://www.icicibank.com(collectively, the "Terms and Conditions"); All the terms and conditions set out therein
shall govern and apply to the Facility and all my obligations (as well as ICICI Bank's rights and remedies) in relation
thereto, if the Facility applied for by me herein is sanctioned and granted by ICICI Bank based on my application.
I agree and accept all the Terms and Conditions applicable to the Facility.

RESOLVED THAT
1. The Company do avail following Facility ("the Facility") from ICICI Bank Limited ("ICICI Bank") on the terms and
conditions set out in the Credit Arrangement Letter ("CAL") / Letter of Sanction ("LOS") / Letter of Intent ("LOI")dated
02/04/2021issued by ICICI Bank or any amendments, renewals or modification made thereto by ICICI Bank from time
to time. Working Capital Limits aggregating upto Rs. 1.5 million ;
2. In case of exigencies, the Company may avail any temporary overdraft facility and/or temporary accommodation
("Temporary Facilities"), as may be sanctioned at the sole discretion of ICICI Bank and on terms and conditions as
may be stipulated by ICICI Bank.
The Facility and Temporary Facilities shall, hereinafter, be collectively referred to as "Facilities".
3. Shri PREM KUMAR K, Shri S VENKAT SAKETH, Directors / Officials of the Company, be and are hereby severally
authorised to -
(i) convey acceptance of the CAL / LOS / LOI to ICICI Bank;
(ii) appoint Security Trustee, if so required by ICICI Bank;
(iii) negotiate, finalize, settle and approve the draft documents governing the Facilities and security there for in a form
acceptable to ICICI Bank;
(iv) request such person(s) indicated in the CAL / LOS / LOI or as stipulated by ICICI Bank to provide security for the
Facilities as stipulated; (retain in case of Third Party Security)
(v) seek, from time to time, alteration in the components of the Facilities within the overall aggregate;
(vi) seek and avail extension / renewal of the Facilities, from time to time, on such terms and conditions as may be
settled with ICICI Bank.
4. Shri PREM KUMAR K, Shri S VENKAT SAKETH, Directors / Officials of the Company be and are hereby severally
authorised to -
(i) complete all statutory, regulatory and other formalities for availing / extending / renewing the Facilities and providing
the security there for in the manner stipulated by ICICI Bank;
(ii) execute fair engrossments of approved documents including security documents in the manner required by ICICI
Bank, including in favour of Security Trustee;
(iii) procure and furnish security for the Facilities in the manner required by ICICI Bank;
(iv) accept amendment(s) to any of the executed documents as may be suggested by ICICI Bank from time to time and
execute all such documents to give effect to the amendment;
(v) execute / furnish / authenticate / certify / collect / acknowledge / submit all deeds, documents, undertakings,
declarations, letters, applications, statements, outstanding dues, acknowledgement of debt, etc. in respect of the
Facilities as may be required by ICICI Bank from time to time;
and, if any of the documents require to be executed under the Common Seal of the Company, the same be affixed to
such documents in the presence of any of the following Directors, viz. Shri PREM KUMAR K, Shri S VENKAT
SAKETH, who shall sign the same in token thereof and the same be countersigned by Shri PREM KUMAR K, Shri S
VENKAT SAKETH, Secretary/ authorised person of the Company in token thereof.
5. Shri PREM KUMAR K, Shri S VENKAT SAKETH, Directors / Officials of the Company be severally authorised to do
such acts, deeds and things for completing all statutory, regulatory and other formalities post documentation and
security creation, as may be required from time to time, within the time limit stipulated under law or by ICICI Bank.
6. Copies of the foregoing resolutions, certified to be true by the Chairman/Managing Director/Secretary of the Company,
be furnished to ICICI Bank / the Security Trustees and they be requested to act thereon.

1. I/We have understood Schedule of Charges applicable to the product variant opted by me/us. I/We also understand
that there is no minimum Monthly Average Balance (MAB) to be maintained in the account for the product and hence,
