TERMS AND CONDITIONS

MAINTENANCE
Our quotation includes for twelve months free maintenance. The period of this maintenance will be deemed
to commence on the date the installation is completed and offered for inspection. The date of commencement
of this service will remain unchanged irrespective of any delay in building completion, availability of
permanent power supply, inspection, taking over or commencing use of the lift.

Maintenance will consist of regular examinations and any necessary adjustment and lubrication of the
equipment by competent employees under our direction and supervision. The required supplies and parts will
be furnished except such parts as may be needed because of negligence, misuse or accidents not caused by us.
Upon your request, special examinations will be made between regular examinations and you should agree to
notify us promptly any such trouble. All work will be performed during our regular working hours of our
regular working days except for emergency minor adjustment call back service which we will be providing
during regular working hours and also during any overtime hours. It is agreed that we do not assume position
or control of any part of the equipment but such remains yours exclusively as the owner (or lessee) thereof.

We shall not be liable for any loss, damage or delay to any cause beyond our responsible control including but
not limited to acts of Government, Strikes, lockouts, fire, explosion, theft, floods, riots, civil commotion, war,
malicious mischief or act of god. Under no circumstances we shall be liable for consequential damages.

PREPERATORY WORKS
You agree at your cost:-
1. Furnish, within two weeks (or sooner if required) from the date of acceptance of this proposal,
required data for the performance of this contract.

2. To provide scaffolding to our erector’s requirements in the elevator hoist way, during the
erection period and to remove the same there after.

3. To provide Channels at your cost for reducing the Lift shaft if the shaft is bigger than the required size.

4. To design and furnish a properly and enclosed legal elevator hoist way/structure including if
necessary its extension above the roof, required to withstands the forces and loads resulting from use
of the elevator. The hoist way should be lighted and be treated and painted to minimize the
accumulation and circulation of dust.

5. To furnish an elevator pit of proper and legal depth below the lowest landing and if required,
suitable drains and waterproofing. In addition a steel ladder should be furnished for access to the pit.

6. To furnish a properly lighted and ventilated fireproof machine room (of sufficient size, to
accommodate our equipment) including concrete floor or metal grating and to furnish proper access
thereto. The machine room walls, floor and ceiling will be treated and painted to minimize
accumulation and circulation of dust.
 7. To furnish and install necessary hoist way door frame, architraves, brick/facias/steel facia plates,
unless otherwise provided herein.

8. To provide a continuous sill bearing area for each hoist way entrance of such constructions as to
assure secure anchorage and support for each sill.

9. To do all painting, except of elevator material.

10. To do all cutting of walls, floors or partitions together with any repairs made necessary thereby,
including grouting of all bolts, sills, members, indicator and button boxes etc. in position.

11. To furnish required (3 Phase) power at the machine room terminating in suitable main switches for
power and light circuits with circuit breakers, lighting, suitable earthling leads to machine room and
other electrical protective devices necessary to meet legal code requirements.

12. To furnish light outlet point at the middle of each floor of the hoist way and light point in the pit.

13. To furnish, during the erection of elevators, electric power of the necessary characteristics to provide
illumination and for operating of tools and hoists if required, and current for starting, testing and
adjusting the elevators.

14. To guard and protect hoist way and to complete all work in such time as not to delay our work.

15. To relieve us of any responsibility in all or in part for any pro rata expenses of electric current, or
expenses of any nature relating to the building and other contractor’s work.

16. To pay all fees that may be required in connection with erection or preparation of the structure in
which the elevator equipment is to be erected including any general permit/certificate fees, usually
billed license fees for the installation or inspection of the elevator equipment.

17. To provide suitable weatherproof lockup storage accommodation of approximately 50 sq. mtr.
per elevator for elevator materials at the ground floor near the hoist way. This should be
available well before the arrival of the materials.

18. To provide adequate safety and security measures to prevent any damage, theft or pilferage of
material during storage, erection period and until the installation is handed over.

19. To provide hoisting beam in the machine room ceiling and rolled steel sections with bearing
plates for support of the machine if required. Hook should be provided to hoist the machine in the
machine room or veiling as required.

20. If the lift is outside the city of Mumbai our lift erection staff should be provided accommodation with
sanitary facilities near the sites.

CONDITIONS OF CONTRACT
1. Taxes : Contract price is exclusive of all taxes, Central/state local sales or purchase tax, Octroi duty,
Entry Tax or any other imposts whatsoever, if levied on raw materials, components all other materials
entering into the execution of this contract work or on the complete installation as a whole, will be
charged extra at the ruling rates and shall be payable on demand.

2. Validity: Quotations are effective for 90 days from the date of proposal, there after subject to change
without notice. The agreed contract price shall be valid for the original contract period of completion
and additional period of 12 months. Should the said period be extended beyond this stipulated time
due to:

i) Failure on your part to affect all advance payment as per Para 5 below,
ii) Failure on your part provide or approve drawings required for the manufacture of the
Contract as per para 3 below,
iii) Delay in completion of hoist way and machine room,
iv) Force majeure conditions covered by clause 8 below,

We will submit for your acceptance the current price prevailing at the time materials are required, and
on its acceptance by you, we will program the supply and installation of the equipment.

In the absence of your acceptance of the revised price and payment of additional advance that my
become due, we may at our option, cancel the order with a cancellation charge with minimum 10% of
Contract Value.

3. You agree to furnish us, within thirty days from the date of this agreement, sufficient data including
but not limited to the guarantee of hoist way sizes and confirmation of current characteristics to
permit us, at our discretion, to buy or manufacture any or all parts.

4. You agree that the hoist way and machine along with preparatory work shall be ready and proper
power supply available by the required date, after which we are to have their uninterrupted use. If
you cannot provide proper power supply by the required date and the installation of the equipment
has been completed, you shall take over the equipment and make payment as they fall due in
accordance with clause No.5 below.

5. It is agreed that our workman shall be given a safe place to work and we reserve the right to
discontinue our work in the building whenever in our opinion this provision is not being made.

6. Unless otherwise agreed, it is understood that the work will be performed during our regular working
days. If overtime work is mutually agreed upon and performed an additional charge therefore, at our
usual rate for such work, shall be added to the contract price.

7. We shall not be liable for any loss, damage, or delay due to any cause beyond our reasonable control.
Including but not limited to lack of shipping space, embargoes, acts of Government, strikes, lockouts,
fire accident, explosion, theft, flood, riots, civil commotion, war, malicious mischief, delay in supplies
of raw materials and components either at our suppliers works or at our works due to any or all of the
reasons such as energy crisis, electricity cut, rail/road transporters strike. Go slow, bundh, non-
availability of essential raw materials, acts of god or of the state enemies or act of third parties.
 Should damage occur to our material, tolls or works on the premises from any such cause, you shall
compensate us therefore. (It is also agreed that we will not be liable to you for any loss or
damage by person of any, neglect or default on our part, on the part of agents, servants or
workmen, suffered by yourself or by any other person in spite of the fact that such person or persons
might prefer a claim for damages or compensation against you successfully or otherwise). With out
in any way limiting the operation of the forgoing provisions. It clearly understood that we could not be
liable in any event for indirect or consequential loss or damages. If for any such reasons we cannot
manufacture the equipment covered by your order we may at our option cancel the order without
payment of damages.

8. It is agreed that all the apparatus furnished hereunder can be removed without material injury to the
freehold, and we retain thereto until final payment in cash is made, with the right to retake possession
of the same or any part thereof at your cost if default is made by you in any of the payments
irrespective of the manner of attachment to the reality, the acceptance of notes, extension of time,
payment, or the sale, mortgage or lease of the premises.

9. We hereby guarantee the material and workmanship of the apparatus furnished by us under this
contract and we will make good any defects not due to ordinary wear and tear or to improper use of
care which may develop within one year from the date of completion.

11. We shall not be required to install or alter any equipment requested by Govt. authority at their
discretion and not specifically incorporated in the local codes as on the date of this proposal. Such
changes, if feasible, can be undertaken at extra coast.

12. This contract is being for supply and erection any packing cases or left over materials or tools tackles,
instruments etc. brought to the site are and shall remain our property.

13. The contract is deemed to be including at Bangalore and only Courts in this place shall have
jurisdiction in the event of any dispute whatsoever.

14. If any drawings, illustrations or descriptive matter are furnished with this proposal, they are
approximate and submitted only to show the general style, arrangement and dimensions of the
machinery offered. In case of any variation between your specifications, terms and conditions and our
quotations/correspondence, the latter will prevail.

15. This proposal when accepted by you and approved by our authorized official shall constitute the
contract between us, and all prior representations or arrangements not incorporated herein are
superseded.
