Quinn Emanuel team representing Mr. Musk.

13. Finally, I note that the May 6 Email appears to have been sent months

before Defendants initially terminated the merger agreement and filed their

counterclaims. None of Mr. Zatko's allegations appear in that termination letter or

in Defendants' counterclaims because 1 was not aware of them until August 23,

2022.

14. I declare under penalty of perjury under the laws of Delaware that to

the best of my knowledge the foregoing is true and correct.
