6.1 Product Availability

Not all EntIT ArcSight products are available to SP Partners under all SP Models. For the most current and complete

Matrix is subject to change without notice.

The following is a summary of EntIT ArcSight product groups currently available to MSSPs under the EntIT SP Program:

log management solution that unifies searching, reporting, alerting and analysis across any type of enterprise log
data, making it unique in its ability to collect, analyze and store massive amounts of data generated by modern
networks. It supports multiple deployment options and can be deployed as an appliance and as software. Logger
products can be deployed at SP Partner’s SOC or datacenter as well as at the SP Partner’s end-user’s premises.

 For the purpose of determining usage charges, EPS/day is calculated as an average of events per
second processed at the ESM in a 24 hour period. There is no size restriction while considering an
event. The usage charges on the ADP platform is calculated as total data ingested across all ADP
instances at 5GB increments.
 For the avoidance of doubt these charges are tiered (not cumulative).
 There is no byte size limitation when considering an event.
Invoicing. SP Partner will send EntIT a purchase order for the Quarterly Invoice Amount within ten (10)
business days after receiving EntIT’s quote for such Quarterly Invoice Amount fees and quarterly
Registration Fees (collectively and applicable “Quarterly Fees”). EntIT will invoice the Quarterly Fees
promptly thereafter and SP Partner will notify EntIT of any disputed Quarterly Fees invoiced amounts within
(10) business days (“Notification Period”) from the receipt of such invoiced amounts.

In the event SP Partner’s Quarterly Device Report are more than thirty (30) days late and after EntIT has

Page 29
Program Guide

Should SP Partner choose to pre-pay for usage fees, EntIT and SP Partner will agree on 12-month
estimated EPS Usage to be pre-billed. SP Partner will send EntIT a purchase order for the annual estimated
amount, and EntIT will invoice promptly thereafter. Every 12 months, EntIT will do a true-up calculation to
compare actual usage fees vs pre-billed usage fees. If actual usage fees exceeds pre-billed usage fees,
EntIT will issue SP Partner an invoice for the delta between actual amount and pre-billed amount in the
preceding 12 months. If actual usage fees are less than pre-billed usage fees, the balance will carry forward
into the following year. If actual usage fees are less than pre-billed usage fees in the final 12 months of
contract term, SP Partner does not have a right to refund or right to carry forward the balance of pre-billed
usage fees. If this Exhibit A terminates other than by EntIT, and if usage fees have been pre-billed, SP
Partner assumes forfeiture of the unused balance, and does not have right to refund.

during the Wind Down Period, SP Partner may not order any additional licenses of the Products for new
clients or existing clients. After the Wind Down Period expires, SP Partner shall completely and permanently
remove all Products from the EntIT hardware or third party hardware on which it was embedded or otherwise
installed. Upon request, SP Partner will certify to EntIT in writing that it has complied with this requirement.

For existing EntIT Service Providers signing this Agreement, EntIT will consider monies spent on the EntIT
Security ArcSight Software License within the 12 months preceding the execution of this Agreement as
prorated credit towards the usage fees. ArcSight Eligible Software License purchases will be given a 3-year
