Lease Agreement
This Lease Agreement (further referred as “AGREEMENT”) is made on 22nd of October 2022 between:
MESA VERDE PTE LTD, is a Limited Exempt Private Company with line of activities including Real Estate
Activities With Own Or Leased Property and operating as a legal entity in Singapore as per the
Certificate of Good Standing dated 13th of January 2013, and registered as a legal entity in Singapore
with UEN (Unique Entity Number) of 201391409B as per the Certificate Confirming Incorporation Of
Company dated 13th of January 2013 issued by Accounting and Corporate Regulatory Authority (ACRA),
with headquarters address of 44 Hamilton Avenue, Mercedes Square, Singapore. Represented in this
agreement by NICO ROSBERG, Executive Realtor of MESA VERDE PTE LTD, a Singaporean Citizen with
National Identification Number (NRIC Number) of S7654321Z, and address of 131 Royal Park Avenue,
Competence Square, Singapore, act on this agreement on behalf of MESA VERDE PTE LTD as per
Executive Realtor Appointment Letter issued by MESA VERDE PTE LTD dated 13th of January 2022.
HEREINAFTER would be referred as LANDLORD
ANOM GILANG PAMUNGKAS, an Indonesian Citizen with National Identification Number (NIK Number)
of 3207061409990001, and address of 122 Pasirtamiang Landeuh, Pasirtamiang, Cihaurbeuti, Ciamis,
Province of Jawa Barat, Indonesia.
HEREINAFTER would be referred as TENANT
LANDLORD and TENANT are each referred to herein as “PARTY” and collectively as “PARTIES”
This Agreement is entered for the following purposes and with respect to the following facts:
A. Intent to Lease Property. It is the intent of the Tenant to lease the property of the Landlord with
the terms and conditions as defined herein this agreement.
B. The Tenant is a resident of Indonesia, with work related purposes in Singapore and requires an
office based in Singapore.
C. The Landlord is a rightful owner of the Binotto Tower, of which includes the property
mentioned herein this agreement, with full ownership according to the Singaporean Law. Thus,
enabling the Landlord to rightfully conduct lease and receive payment of said lease.
D. The Tenant intends to make use of the property as a Law Consultation Office
THEREFORE, both Parties agree to commit lease under the following terms and conditions.

ARTICLE 1
DEFINITIONS
1. Property refers to a group of office spaces in the Binotto Tower, Room 5501 Floor 55, 77
LeClerc Rd, Sainz Square, Singapore.
2. Working Hour refers to the office hours of the Landlord (08.00 – 16.00 GMT+7)
3. Working Day refers to the working day of the Landlord (Monday – Saturday GMT+7)
4. Dollars refer to the currency used in the transaction conducted by both parties, the United
States Dollars
5. Lease Term refers to the fixed lease of 10 (Ten) Calendar Years
6. Retaining Fee refers to the payment made by the Tenant to the Landlord, as a guarantee for
the Landlord in case the Tenant causes any damages that cannot be repaired during the Lease
Term, or cancel this agreement in any moment before the occupation of the property in which
case the Landlord is obliged to return 50% of the Retaining Fee to the Tenant within 30 (Thirty)
Calendar Days since the termination date
7. Force Majeure refers to an unforeseen uncontrollable condition (e.g natural disaster) that
renders both or either party unable, or only partly able to fulfill their obligations.
8. Installment refers to the yearly payment paid by the tenant
9. Maintenance refers to the maintenance of the utilities of the property leased by the landlord
10. Cleaning Services refers to the cleaning of the property conducted daily by a third-party service
provider appointed by both parties after the signing of this agreement
11. Occupant refers to the person(s) visiting and/or utilizing the office space during the Lease Term
12. Tax refers to the obligatory tax payments of the property ownership
13. Residential Purposes refers to the act of utilizing the office space to sleep and live for an
extended period of time.
14. Extension refers to the act of amending the contract and extending the Lease Term to a
specified Lease Term negotiated by both parties during the amending process.

ARTICLE 3
INSPECTION
1. The Tenant or the person appointed as a representative by the tenant is obligated to inspect
the property conditions before the start of the Lease Term to ensure all specifications and
requirements of the property are met. The Landlord shall provide to be seen by the tenant all
the necessary documents regarding the legitimacy of the property during the inspection
process.
2. The tenant shall do the inspections necessary before the start of the Lease Term at the date of
the tenant’s choosing
3. The tenant must inform the Landlord of the inspection date within 6 Calendar Days prior to the
appointed inspection date

ARTICLE 4
PRICE
The price agreed for a single Lease Term of the property is 10.000.000 (Ten Million Dollars)
ARTICLE 5
PAYMENT METHOD
1. The Lease Term is paid in a year-to-year installments until the end of the Lease Term, without
the inclusion of the Retaining Fee paid before the start of the Lease Term.
2. The amount of yearly installment for the lease is 1.000.000 (One Million Dollars) before tax.
3. The yearly installment is paid within the month of January of every year during the Lease Term
4. The payment will be delivered by the tenant via wire transfer to the savings account with an
account number of 0052312891 at the DBS Singapore Bank registered under MESA VERDE PTE
LTD
ARTICLE 6
EXPENSES
1. The Landlord is obligated to cover these following expenses during the Lease Term:
a. Tax Related Expenses of the Property
b. Maintenance and Cleaning Related Expenses
c. Reparations caused by damages due to force majeure conditions
d. Security Related Expenses
e. Parking Expenses for the occupant(s) and visitor(s) of the property
f. Property Insurance
2. Any expenses relating to the property not mentioned in the Article 4 Section 1 of this
agreement falls under the responsibility of the Tenant.

ARTICLE 7
LEASE TERM
1. The Tenant is considered under lease as of the 1 st of January 2023, regardless of whether the
Tenant is occupying the property or not.
2. The Tenant may renegotiate to extend their lease until 6 (six) months before the end of the
lease term.
3. If the Tenant does not commit to an extension, the lease term is set to end at 1 st of January
2033 and must vacate the property within 25 Working Days of the lease term expiration date.
4. The tenant has equitable ownership of the property during the lease term.
ARTICLE 8
CONDITIONS PRECEDENT
1. The Tenant is obliged to provide the Landlord with a Retaining Fee of 1.000.000 (One Million
Dollars) after the signing of this agreement
2. The Landlord is obliged to provide documents regarding the legitimacy and proof of ownership
of the property to be seen by the tenant prior to the signing of this agreement
ARTICLE 9
CONDITION SUBSEQUENT
This agreement shall terminate automatically, without any procedures being taken if the following
conditions are not met:
1. The tenant fails to provide Retaining Fee within 30 days prior to the signing of the agreement
2. The tenant fails to provide the first installment of the Lease within 30 days after the signing of
the agreement
3. The tenant used the property for residential purposes during the lease term
4. The landlord fails to provide and fulfill the amenities and obligations mentioned herein this
agreement after the signing of the agreement.

ARTICLE 10
REPRESENTATIONS AND WARRANTIES
1. The Landlord is a company dully established and validly existing under the law of Singapore
2. The Landlord has sufficient personnel and resources to provide services for the tenant required
by this agreement
3. The Property mentioned herein is a part of Binotto Tower, of which the Landlord has full
ownership and in legal capacity to exploit and utilize any part of the building as the Landlord
sees fit.
