MEMORANDUM OF UNDERSTANDING

This Staffing Agreement is entered into effective as of June 3 2022 by and between DHUB
ENGINEERS, whose Address is 1-1-467/1/301 GANDHI NAGAR ,NARAYANGUDA, HYDERABAD , TELANGANA -
500080 and Dhanush EnggServices (India) Pvt. Ltd., with its principal place of business at
2nd Floor,H.No:6-3-788/A/9, Durga Nagar Colony, Behind RS Brothers Bustop,
Ameerpet, Hyderabad.

SCOPE OF WORK:

That Dhanush EnggServices (India) Pvt.Ltd. has entered into an agreement with DHUB
ENGINEERS, whereby we agree to provide Placement Services for hiring skilled personnel to
DHUB ENGINEERS , as per the requirements provided from DHUB ENGINEERS, time to time.

Dhanush EnggServices (India) Pvt. Ltd. undertakes to provide candidates who are
qualified with relevant experience as stipulated in the requirement. DHUB ENGINEERS, shall
intimate Dhanush EnggServices (India) Pvt. Ltd. in writing / by email regarding the
number of people required by DHUB ENGINEERS, with detailed job description, relevant
qualifications and required skills sets. Dhanush EnggServices (India) Pvt. Ltd. shall
source and provide suitable candidates within the accepted timeframe on receipt of the
communication from DHUB ENGINEERS.

We also agree to give Training on discounted price to the DHUB ENGINEERS (Employer), who Hires and send
candidates for training to us. We also give discounted priced for training to the candidates if the employer want the
candidate to pay the training FEE, the same to be communicate to us via email. The discounts will be given for e-
learning modules, Video Online Training and Classroom Training.

We request DHUB ENGINEERS (Employer) to inform, candidates from other sources who came to
interview and got rejected in Interviews about Dhanush and its training and placement support.
Agreement

NOW, THEREFORE, the parties agree as follows:

1. Throughout the term of this Agreement, Dhanush EnggServices (India) Pvt. Ltd.
will use its best efforts to procure and refer to DHUB ENGINEERS, candidates whose
qualifications match the specifications for the Search Position and otherwise provide
the Services to DHUB ENGINEERS, to assist DHUB ENGINEERS in filling the Search
position. Dhanush EnggServices (India) Pvt. Ltd. shall at all times perform the
Services in a professional manner that, in DHUB ENGINEERS, reasonable opinion,
reflects positively on DHUB ENGINEERS.

2. DHUB ENGINEERS agrees to pay the Service Charges to Dhanush EnggServices


(India) Pvt. Ltd. for its provision of the Services(if applicable) in accordance with the
terms of this Agreement.

3. Commercial Terms:

Level / Years of Experience Commercials


Trainee/Entry Level positions No Charges
1 to 3 years @ 6.33% of candidates CTC per Annum, plus the service
taxes as applicable
3 to 5 Years @ 7.33% of candidates CTC per Annum, plus the service
taxes as applicable
Above 5 years @ 8.33% of candidates CTC per Annum , plus the service
taxes as applicable

Technicians / Diploma Holders- 3000/- Per Candidate


Entry Level
Technicians (Experienced) 1 month salary , plus the service taxes as
applicable

4. The Search Fee shall be payable as follows:

(a) Within Thirty (30) days after a candidate referred to DHUB ENGINEERS, by
Dhanush EnggServices (India) Pvt. Ltd. Commences employment in the
Search Position.
5. If an employee hired as a result of the Dhanush EnggServices (India) Pvt. Ltd.
efforts, terminates for any reason, or is terminated from his/her position within six
(6) months from the date of employment, Dhanush EnggServices (India) Pvt.
Ltd. will provide a 90-day replacement search if DHUB ENGINEERS, notify in writing
within five (5) working days concerning all relevant information about the
termination.

6. All the interviews will be scheduled with mutual consent.

7. This Agreement will be governed by and construed in accordance with the laws of
India as applied to agreements entered into and to be performed entirely within
India.

8. VALIDITY: That the parties mutually agree that the tenure of this agreement will be
valid for a period of 5 Years.
