Information Security Declaration Form

This Information Security Declaration From (hereinafter “Agreement” or “Contract”) is entered


into as of 13th January 2023 (hereinafter the “Effective Date”) by and between LEADSCALE ENGINE
LIMITED. a company with its registered office at Unit 1, 6 Owen St, London EC1V 7JX, UNITED
KINGDOM (hereinafter “Leadscale” or Engine) and “Exellius B2B Systems Pvt Ltd”, a company with
its registered office at “Office no 301, Vandan Smruti Plot no 1 Sector 11, Spine Road Moshi
PCNTDA 412105” (hereinafter the “Counterparty”). (collectively the “Parties” or individually
“Party”).

The Parties are entering into an Agreement and hereby agree as follows:

1. Counterparty understands that any information provided to Leadscale in support of its


Information Security Due Diligence application whether it be via email or other electronic
means is covered in the scope of this Agreement and governed by the below terms.
2. Counterparty agrees that they shall maintain the necessary Technical and Organisational
Measures necessary to ensure the Confidentiality, Integrity and Availability of Personal Data
in accordance with all applicable data protection legislation.
3. Counterparty shall always comply with all Applicable Laws, other relevant laws, local bye
laws, and commercial codes which are relevant to their performance of their obligations
under this Agreement.
4. The Counterparty (and any Suppliers) shall hold and keep Leadscale indemnified in full
against any costs, expenses, damages, and losses (whether direct or indirect), including any
interest, fines, legal and other professional fees, and expenses awarded against or incurred
or paid by Leadscale Services due to or arising out of:
a. any breach by Counterparty of these terms and conditions or
b. any obligation implied by law or
c. any statutory provision that may be in force from time to time.
d. Any third-party claim that may arise due to any alleged breach by Counterparty as a
direct result of any false or misleading information that has been provided to
Leadscale in respect of Counterparty’s process and information Security standards
and practices.
i. The Counterparty (and any Suppliers) shall at all times have sufficient
insurances in place and provide written evidence to Leadscale Services upon
request.
5. The Counterparty (and any Suppliers) confirms that the information they provide in support
of their Due Diligence application is true and correct to the best of their knowledge.
a. The Counterparty (and any Suppliers) understands that any information that is
found to be untrue or misleading will give Leadscale the right to terminate my
contract for services, and take any action required to comply with Data Protection
rules, safeguard personal data or prevent damage to Leadscale.
6. During the term of the principal agreement and not more than once per year (unless
circumstances warrant additional audits as described below), Leadscale may audit the

Internal Use

Counterparty’s policies, procedures and records that relate to the performance of the
Counterparty under this Agreement to ensure compliance with this Agreement upon at least
10 business days’ notice. Notwithstanding the foregoing, the parties agree that Leadscale
may conduct an audit at any time, in the event of
a. (i) audits required by Counterparties governmental or regulatory authorities,
b. (ii) investigations of claims of misappropriation, fraud, or business irregularities of a
potentially criminal nature, or
c. (iii) Counterparty reasonably believes that an audit is necessary to address a
material operational problem or issue that poses a threat to Counterparty’s
business.
7. In the event that Leadscale has a claim for non-compliance or damage, it may withhold any
money due to you, in whole or part, and require reasonable security for damage, legal costs
and expenses of defending any claim against Leadscale resulting from the Counterparty non-
compliance.
