III. Additional Terms


1. Fee: The Fees shall be calculated on the Deliverables mentioned herein above which will be
adjusted against the actual number of Visits, in the manner as set out in the Terms (as defined below).
2. Taxes: All amounts payable herein shall be subject to applicable taxes.
3. Any Extension Period shall be in accordance with the Terms.
4. The Start Date set out above may extend upto five (5) days and shall be subject to clearance of Fee
by the Merchant. In the event of any such extension to the Start Date, the End Date will be modified
accordingly.
5. Online Order Payment:

a. For the purpose of online order payment, the Merchant hereby unconditionally and irrevocably
authorizes Zomato to set off, withhold and deduct INR 146530.71 from the Net Sales(as
defined in the terms for online ordering services agreement entered into between Merchant and
Zomato) towards recovery of the Fee payable by the Merchant to Zomato under this Form and
the Terms.
b. The online order payment shall commence from the date the invoice is raised by Zomato on the
Merchant and continue until Zomato has recovered the entire Fee from the Merchant.

Declaration
I/We affirm, confirm and undertake that I/we have read and understood the terms of SRF offered by
Zomato Limited (formerly known as Zomato Private Limited and Zomato Media Private Limited,
hereinafter "Zomato") which are displayed on https://www.zomato.com/visitspackterms/india ("Terms"),
the website maintained by Zomato. Further, I/we accept and agree with the Terms of Zomato and all
my/our rights, obligations and liabilities would be governed by the said Terms. I/we thereby agree to be
subject to and comply with all the provisions of the Terms displayed on
https://www.zomato.com/visitspackterms/india, as may be amended from time to time, which are
incorporated by reference herin and deemed to be a part of this SRF to the same extent as if such
provisions had been set forth in full herein. Hard copy of the Terms is also available upon request. The
Terms should be read along with this SRF and shall be binding on the Merchant. The Terms not defined
herein shall have meaning to them as ascribed in the Terms. The parties hereby agree that this SRF
supersedes and replaces any and all previous agreements/forms between the parties for the provision of
the Service hereunder.

behalf of the Restaurant Partner and have the authority to carry out the execution and delivery of the
Form and the performance of Restaurant Partner’s obligations hereunder.
