And
Gini and Jony Ltd, A 603, Citi Point, Andheri East, Mumbai. (Buyer)
Where in M/S Clothing Culture Pvt ltd have agreed to supply goods on FOB basis
to Gini & Jony Ltd.
Terms and Conditions:
1. The designs of Gini & Jony are sole property of company and these should
not be shared with outside agency.
2. Once the rate is finalized, the PO will be issued from Gini & Jony side.
3. The vendor will produce the goods in facility which is approved by Gini &
Jony.
4. The vendor will not engage any person less than 18 years of age and should
have hygienic work place with proper lighting and ventilation.
5. The vendor must possess valid factory license to work in approved building.
6. The vender will give full access to Gini & Jony person to visit the production
site.
7. The vender will provide daily MIS to buyer. The updation will be on Blue
Kaktus software.
8. The communications on mails and phone should be prompt as and when
required.
9. The bulk quality should be as per our sample or better than sample.
10.Vender will give transparent information to us regarding the source of yarn,
knitting, dying .

11.TNA is mandatory for us and all timelines need to be followed strictly.


12.In case vender fails to supply goods as per TNA , then buyer has the right to
cancel the goods.
13.Vender have to submit following samples:
 Yardage of fabric quality approval /FPT( 2 meter/2 kg fabric )

 Lab dips

 Size set sample/GPT/PP ( one garment each in 18 months,6 yrs, 12


yrs) (one approved garment will be returned to CCPL)

 Shipment sample ( 1 samples in size 10 ) (In case of NB category, 1


garment in size 6 months)

14. The vender should accept our orders in that category only where they have
knowhow. If they are sending wrong submissions for approvals of fabric,
embroidery, print, wash, PP samples etc, then for all such delays vender will
be responsible and GJ will not provide any extension.
15.The inline/final inspection will be at AQL 2.5
16.The Final goods acceptance level is 3% plus/minus.
17.The goods should be supplied in full range.
18. Payment will be released on 45th day of goods delivered date in buyer
warehouse.

The above terms and conditions are agreed by both parties.
