I. The name of the company is Mercari Asia Limited

II. The registered office of the company shall be situated in Bangladesh

III. The objects for which the company is established are all or any of the following (all
objects will be implemented after obtaining necessary permission from the
Government/concerned authority/competent authority before commencement of the
business):

1 To carry on the business of all marketing medium to achieve clients and consumers
demand and trade requirement and to render advisory and professional services in
the field of business, development projects, trade industry, agriculture and all other
occupations and vocations in Bangladesh and elsewhere in the world.
2 To carry on the business of trading, buy, selling in both offline and online platform,
leasing and renting of assets, operating ecommerce business, exporters, importers,
suppliers, marketing, indenters, commission agents, selling agents, distributors,
broker, stockiest, merchants, wholesalers, retailers, buyers, manufacturers, general
order suppliers and dealers in general merchandise, commodities, articles and goods
all description whatsoever.
3 To carry on the business of publicity and advertising in all its branches and
departments and as publicity and advertising agents, contractor¿s exhibitors, press
agents, journalists, reporters, producers, organizers of publicity and advertising,
exhibitions, museums, fairs and to adopt such means of making known the
products, services & offers.
4 To acquire, accept by way of gift, or possess either by purchase, lease of assets,
exchange or otherwise, offices (including land) or other property, lodgings,
furniture, equipment, components, any estate or any lands, buildings, easements,
rights, privileges, concessions, permits, licenses, stock-in-trade, and movable and
immovable property of any kind and description (whether mortgaged, charged or
not) necessary or convenient for the purposes of or in connection with the
Companys business or any branch or department thereof or which may enhance the
value of any other property of the Company.
5 To acquire, produce, transmit, publish, print, supply and reproduce in any form
whatsoever including without prejudice to the generality of the foregoing, visual or
audible form and forms capable of being used by in or in connection with computers
and to buy, sell, supply and otherwise deal in directories, brochures, manuals
journals, periodicals, magazines, newspapers, books, pictures, photographs,
stationery, hoardings, neon signs, souvenirs, radio. television, electronic display
boards, cinema, cable network and other documents display devices of all kinds and
descriptions.
6 To accept, design, publish, broadcast, transmit, distribute or reproduce in any form
whatsoever advertisements, publicity and promotional material of the company and
of other persons to acquire dispose of and use advertising time and space in any
media to develop, produce and undertake advertising, publicity and promotional
campaigns and competitors for itself and other persons to undertake, promote and
sponsor any product, service, event, individual or publications which in the opinion
of the company will promote, advance, or publish any activity of the company or of
a person and generally to carry on the business of advertising, public relations,
publicity consultants and agents.
7 To carry on the import and sale, medicines and preparations, chemicals and
generally carry on the business of trading, selling, wholesaling, storing of all kind of

 medicine, drugs, medical and surgical equipments, accessories, medical
preparations and whatsoever. To buy import, export, sell and generally deal in all
plant and machinery, implements, accessories, tools, goods, mobile phone and
accessories, all types of electronic goods, computers and computer accessories or
things and all types of modern agricultural implements, veterinary, live stock and
poultry equipments and also to carry on the business of poultry, farming,
agricultural farming, fish rearing and allied activities.
8 To attain the business objectives company may enter into Partnership, Joint-
venture, take over or Amalgamate with any other company and also to take Loans
from Bank/other Financial Institutions in such a manner as may company thinks fit.
9 To mortgage the property and assets of the company as securities for loans and/or
any credit facilities to be given to any associate company or companies or third
party and also to give guarantee securing liabilities of such associate company or
companies and/or third party.
IV. The liability of the members of the company is limited by shares
V. The Authorized Share Capital of the Company is TK. 10,00,00,000 ( Ten Crore ) divided
into 10,00,000 ( Ten Lac ) Ordinary Shares of TK 100 ( One Hundred ) each with power
to increase or reduce the capital and to divide the shares into different classes and to
attach thereto any special right or privileges or conditions as regards dividends,
repayment of capital, voting or otherwise or to consolidate or sub-divide the shares.
