Instruction to Tenderers

1. The Tender consists of:-

Form of Tender, Standard Terms and Conditions of Contract, General Specifications, Scope of
Work, Material / Equipment Schedule, Delivery Schedule, Summary of Tender, Program of Works,
Terms of Payment, Material and Equipment, and Instruction to comply with obligations and
regulations. Plus appendixes of JLLMSL's Standard Terms and Conditions, Insurance Policy
Sample Certificate, Vendor Code of Conduct Reply Slip, Confirmation Letter, Declaration Form,
Declaration of Conflict of Interest (Part A), Letter of Decline to Tender and Mailing Address.

2. The Tender to be submitted consist of :-

(a) Form of Tender, Summary of Tender, Material / Equipment Schedule, Delivery Schedule,
Summary of Tender, Program of Works and Terms of Payment.

(b) Appendix C to F, including Vendor Code of Conduct Reply Slip, Confirmation Letter,
Declaration Form and Declaration of Conflict of Interest (Part A).

(c) Form of Tender shall be duly completed in ink, signed and sum shown in the Form of Tender
must agree with the sum shown in the Summary of Tender.

(d) Organization chart of the company and proposed project.

(e) Job reference for the similar work in Hong Kong.

(f) Certificate of Registered General Building Contractor / Registered Minor Works Contractor.

The documents listed above are to be enclosed with one (1) soft copy in CD-ROM in a sealed
envelope labeled as described in the covering letter.
For e-tendering Contractor, the documents (only those pages with Authorized Person Name &
Witnessed Person Name) are to be deposited into http://www.e-tendering.com.

3. No unauthorized alteration or erasure to the text of the tender document will be permitted. Any
tender containing such alteration or erasure may not be considered.

4. The tenderer shall be required to check the numbers of the clauses of the tender document and
shall any missing, in duplicate, or indistinct be found, he must inform the Employer’s
Representative at once and have the same rectified.

5. Should the tenderer for any reason whatsoever be in doubt about the precise meaning of any item
of figure, he must inform the Employer’s Representative in order that the correct meaning may be
decided before the date for submission of tenders.

6. No liability will be admitted, nor claim allowed, in respect of errors in the Contractor’s tender due
to mistakes in the documents which should have been rectified in the manner described above.

7. The tenderer shall be deemed to have made allowance in his price generally to cover items of
Standard Terms and Conditions of Contract, overheads and supervision expenses.

8. All items of measured work shall be priced in detail and tenders containing lump sums to cover
trades or groups of work must be broken down to show the price of each item before they will be
accepted.

9. In the event of a tenderer discovering a genuine error in his tender after it has been deposited,
attention in writing may be drawn to the error and an amendment submitted which, provided that
the amendment shall have been deposited on or before the time fixed for receipt of tenders may be
accepted.

10. The tendered sum will be regarded as a lump sum tender and will not be amended for errors found
in the examination of tenders.

11. The Employer is not bound to accept the lowest tender.

Dear Sir,
I / We, having inspected the site and examined and understood the Tender Documents, as listed in the
Instructions to Tenderers for the execution of the captioned works, offer to complete the whole of the
Works in conformity with the said Tender Documents. I / We agree to abide by this tender for a period
of nine months from the date of tender submission and it shall remain binding upon me / us and may
be accepted at any time before the expiration of that period.

I / We shall insure for all our liabilities and submit a Certificate of Performance or Performance
Guarantee arising from your attached Standard Terms and Conditions of Contract.

I / We undertake to commence, complete and deliver the whole of the Works contained in the Tender
Documents within the time stated below.

Unless and until a formal Agreement is prepared, this Tender, together with your written acceptance
thereof, shall constitute a binding contract between us.

I / We understand that the Employer is not bound to accept the lowest or any Tender he may receive
and the Employer will not explain to any tenderers details or reasons for the acceptance or non-
acceptance of any submission.

Section 2: Standard Terms and Conditions of Contract

1 Definitions

1.1 In this Contract (as hereinafter defined) the following words and expressions shall have the
meanings hereby respectively assigned to them except where the content otherwise requires:

1.1.1 Certificate of : Shall mean the certificate issued by the Building Manager's
Practical Representative pursuant to clause 5.4.
Completion

1.1.2 Conditions : Shall mean these Standard Terms and Conditions of Contract.

1.1.3 Contract : Shall mean these Conditions and such other documents as are
specified, the Tender Documents including the completed Form
of Tender, together with the Building Manager's
Representative's written acceptance thereof on behalf of the
Building Manager, but excluding any standard printed condition
that may be included in such other documents where such
standard printed condition originate from the Contractor.

1.1.4 Employer : Means Jones Lang LaSalle Management Service Ltd.

1.1.5 Building : Means ISS Facility Services Limited, for and on behalf of the
Manager Employer

1.1.6 Contractor's : Shall mean the person appointed by the Contractor to supervise
Representative the Works on behalf of the Contractor and to receive
instructions all as referred to in clause 2.4 hereof.

1.1.7 Date of : Shall mean the date as shall be inserted in the Section 6
Commencement Program of Works (or by such other date as shall be confirmed
in writing by the Building Manager's Representative).

1.1.8 Defects Liability : Shall mean the period as stated in the Form of Tender.
Period

1.1.9 Direct Contractor : Shall mean any such contractor and/or subcontractor employed
on the Works by the Building Manager.

1.1.10 Building : Shall mean the person or company authorized by the Building
Manager's Manager to supervise the Works and to issue instructions and
Representative certificates all as referred to in these Conditions.

1.1.11 Form of Tender : Shall mean the form of tender as included in the Tender
Documents.

1.1.12 General : Shall mean the respective specifications as more particularly

Specification of described in Section 3 of the Tender Documents.


Works

1.1.13 Insurer : Shall mean the insurance company providing the Employee's
Compensation Insurance under clause 8.1 of these Conditions.

1.1.14 Management : Shall mean the company appointed by the Building Manager to
Company manage the premises in which the Works have been or are being
carried out.

1.1.15 Parties : Shall mean the Contractor and the Building Manager.

1.1.16 Policy of : Shall mean the policy of insurance as provided by the Building
Insurance Manager pursuant to clause 8.3 of these Conditions.

1.1.17 Provisional Sums : Shall mean any such sum as shall be identified specifically as
such in the Tender Documents.

1.1.18 Site : The site is situated at Unit A3 and E1, Unicorn Gardens, No.
11 Shouson Hill Road East, Hong Kong

1.1.19 Tenants : Shall mean the occupants of premises within or adjacent to the
Site.

1.1.20 Date for Shall mean the date as shall be inserted in the Form of Tender
Completion (or any extended time fixed in accordance with the provisions of
:
clause 5.2 of these Conditions).

1.1.21 Works : Shall mean all works required to be carried out by the
Contractor in the design (to the extent required by the Contract),
management, construction, completion and maintenance of the
Works described in the Contract.

2 Intentions of the Parties

2.1 Contractor’s Obligations

The Contractor shall, with due diligence and in a good and workmanlike manner, carry out
and complete the Works in accordance with the Contract, using materials and workmanship
of the quality and standards therein specified, and to the reasonable satisfaction of the
Building Manager/Employer’s Representative and in conformity with all reasonable
directions and requirements of the Building Manager/Employer’s Representative.

2.2 Assignment

The Contractor shall not, without the prior written consent of the Building Manager,
provided such consent shall not be unreasonably withheld, assign this Contract in whole or
in part to other company.

2.3 Sub-contracting

2.3.1 The Contractor shall not sub-contract the Works or any part thereof without the
written consent of the Building Manager’s Representative whose consent shall not
unreasonably be withheld.

2.3.2 The Contractor shall submit the names of proposed sub-contractors to the Building
Manager’s Representative for approval before appointment.

2.3.3 The Contractor is responsible for the acts, obligations and omissions of all sub-
contractors, their agents, servants and workmen as fully as if they were the acts,
obligations and omissions of the Contractor, his agents, servants and workmen.

2.4 Contractor’s Representative

The Contractor shall, at all reasonable times, keep upon the Works a competent person in
charge to supervise the Works on behalf of the Contractor. Any instructions given to such
person in charge by the Building Manager/Employer’s Representative shall be deemed to
have been issued to the Contractor.

2.5 Removal of person(s) from the Site

The Building Manager’s Representative may (but not unreasonably or vexatiously) issue
instructions requiring the removal from the Site of any person employed thereon. Any person
so removed shall not be allowed to re-enter the Site.

2.6 Building Manager/Employer’s Representative’s Instructions

2.6.1 The Building Manager/Employer’s Representative may issue written instructions for
the Contractor to carry out. If instructions are given orally they shall, within two (2)
days, be confirmed in writing by the Contractor.

2.6.2 If the Contractor fails to comply within seven (7) days after issuance of a written
notice from the Building Manager/Employer’s Representative requiring compliance
by the Contractor to an instruction, then the Building Manager/Employer may
employ and pay other persons to carry out the work, and all costs incurred thereby
may be deducted by the Building Manager/Employer from any monies due or to
become due to the Contractor under this Contract or shall be recoverable from the
Contractor by the Building Manager/Employer as a debt.

2.7 Order and control of the Works

The Building Manager/Employer’s Representative may issue instructions as deemed


necessary as to the order of proceeding and carrying out the Works, including ordering work
to be carried out during night-time and during holiday periods.

3 Care and Diligence

3.1 Contractor shall exercise all reasonable professional skill, care and diligence in the
performance of all and singular the Services and, in so far as his duties are discretionary,
shall act fairly between the Client/ Building Manager and any third party.

3.2 Contractor shall, in respect of any work done or information supplied by or on behalf of the
Client/ Building Manager, report to the Building Manager/Employer’s representative any
errors, omissions and shortcomings of whatever nature of which Contractor becomes aware
in the performance of the Services.

3.3 Contractor shall indemnify and keep indemnified the Building Manager/ Client against all

claims, damages, losses, or expenses arising out of or resulting from any negligence in or
about the conduct of and performance by Contractor, his servants and agents, of all and
singular the Services.

3.4 In the event of any errors or omissions for which Contractor is responsible and as a result of
which re-execution of the Services is required, Contractor shall, without relieving any
liability and obligation under this Agreement, at his own cost re-execute such Services to
the satisfaction of the Building Manager/Employer’s representative.

4 Transfer or assigning Contract

The contractor is prohibited from transferring of assigning, directly or indirectly, any parts of the
Contract, whatsoever. The Contractor shall submit the names of all Sub-Contractors to the
Building Manager/Employer for approval.

5 Commencement and Completion

5.1 Commencement and completion

The Works shall be commenced on the Date of Commencement and shall be completed
within the Date for Completion.

5.2 Extension of Date for Completion

If and whenever it becomes reasonably apparent that the progress of the Works is being or is
likely to be delayed, and may not be completed within the Date for Completion stated in the
Form of Tender (or any extended date fixed in accordance with the provisions of this clause)
for reasons beyond the control of the Contractor, including compliance with any instruction
given by the Building Manager / Employer’s Representative (for which such issue is not due
to a default of the Contractor), then the Contractor shall so forthwith give written notice of the
cause or causes of delay and the Building Manager/Employer’s Representative shall if in his
opinion agree that such causes are outside the control of the Contractor make, in writing, such
extension of Date for completion as may be reasonable. Causes within the control of the
Contractor include but are not limited to any default of the Contractor or of sub-contractors
engaged by him in connection with the Works and of any supplier of goods or materials for
the Works.

5.3 Damages for non-completion

If the Contractor fails to complete the Works by the Date for Completion and the Building
Manager/Employer 's Representative certifies in writing, in his opinion, the same ought to
have been completed, then the Contractor shall pay the Building Manager/Employer as
Liquidated Damages the sum or sums stated in the Form of Tender for each day or part of a
day during which the Works shall remain or have remained incomplete. The Building
Manager/Employer may deduct such sum or sums from any monies due to the Contractor or
he may recover them from the Contractor as a debt.

5.4 Practical Completion

As soon as in the opinion of the Building Manager/Employer 's Representative, the Works
shall have been substantially completed and shall have satisfactorily passed any tests that
may be prescribed in the Contract, the Building Manager/Employer 's Representative shall
on receiving a written undertaking by the Contractor to finish any outstanding works within
the period agreed and stated in the undertaking, issue a Certificate of Practical Completion
to the Contractor in respect of the whole of the Works and completion of the Works, shall be
deemed for all purposes of the Contract to have taken place on the day named in such
certificate.

5.5 Defects Liability

5.5.1 Any defects, excessive shrinkages or other faults to the Works which appear within
the Defects Liability Period commencing from the date of completion named in the
Certificate of Practical Completion issued pursuant to clause 5.4 hereof, and are due
to materials or workmanship not in accordance with the Contract, shall be made
good by the Contractor entirely at his own cost within reasonable period.

5.5.2 The Building Manager/Employer’s Representative shall certify the date when in his
opinion the Contractor’s obligations under this clause 5.5.1 have been discharged.

5.5.3 If the Contractor fails to remedy such defects, shrinkages or faults within seven (7)
days of the written notice of such defects, shrinkages or faults issued by the
Building Manager/Employer’s Representative, the Building Manager/Employer
may proceed to do so at the risk and expense of the Contractor and without
prejudice to such other rights as the Building Manager/Employer may have under
the Contract. All costs incurred thereby may be deducted by the Building

Manager/Employer from any monies due or to become due to the Contractor or


shall be recoverable from the Contractor by the Building Manager/Employer as a
debt.

The Contractor shall remain responsible for the acts and omission of all his/her Sub-
Contractors, their agents, servants and worker as fully as if they were the acts and
omissions of the Contractor, his/her agent’s servants and worker.

6 Payment

6.1 Progress payment and retention

The Building Manager/Employer’s Representative shall, if requested by the Contractor, at


intervals of not less than one month or at other intervals separately agreed, certify progress
payments to the Contractor in respect of the value of the Works properly executed, including
any amounts either ascertained or agreed under clause 3.0 hereof, and the value of any
materials and goods which have been reasonably and properly brought upon the Site for the
purpose of the Works and which are adequately stored and protected against the weather and
other casualties, less a retention of 10% and less any previous payments made by the
Building Manager. The Building Manager/Employer shall pay to the Contractor the amount
so certified within Forty-Five (45) days of the date of the certificate.

6.2 Payment upon reaching Practical Completion

The Building Manager/Employer’s Representative shall, if requested by the Contractor,


after the date of completion stated in the Certificate of Practical Completion pursuant to
clause 5.4 hereof, certify payment to the Contractor of the total value of the Works less the
percentage of retention stated in the Form of Tender to be paid to the Contractor under this
Contract so far as that value of the Works is ascertainable at the date of completion and
provided the Works have been properly executed. Such certified payment shall include such
works as have been either ascertained or agreed under clause 6.0 hereof, less the amount of
any progress payments previously made by the Building Manager/Employer. The Building
Manager/Employer shall pay to the Contractor the amount so certified within Forty-five (45)
days of the date of such certificate of payment.

6.3 Release of Retention

The release of retention money shall not become due until the expiration of the Defects
Liability Period or until after the satisfactory completion of making good of defects which

shall have been so certified by the Building Manager/Employer 's Representative pursuant
to Clause 5.5.2 herein, whichever is the later.

6.3.1 The Building Manager/Employer’s Representative shall have the power of vary the
work described in the specification and no variation shall vitiate the Contract.

6.3.2 No payment shall be made to the Contractor in respect of any variation of the
contract, unless he receives a written order from the Building Manager/Employer’s
Representative prior to the commencement of the work involved in such variation.

7 Statutory obligations

7.1 Statutory obligation, notices, fees and charges

The Contractor shall comply with, and give all notices required by, any statute, any statutory
instrument, any laws, ordinances, orders, regulations or bylaws applicable to the Works
(hereinafter called ‘the statutory requirements’) and shall pay all fees and charges in respect of
the Works legally recoverable from him. If the Contractor finds any divergence between the
statutory requirements and the Contract or between the statutory requirements and any
instruction of the Building Manager/Employer’s Representative, he shall immediately give to
the Building Manager/Employer’s Representative a written notice specifying the divergence.
Provided the Contractor have complied with this latter obligation, the Contractor shall not be
liable to the Building Manager/Employer under this Contract. If the Works do not comply
with the statutory requirements where and to the extent that such non-compliance of the
Works results from the Contractor having carried out work in accordance with the Contract or
any instruction of the Building Manager/Employer’s Representative.

7.2 Construction Sites (Safety) Regulations

7.2.1 The Contractor shall comply with the Construction Sites (Safety) Regulations
issued under the Factories and Industrial Undertakings Ordinance.

7.2.2 Furthermore the Contractor shall comply with all government regulations
concerning safety on the Site. The Contractor shall obtain and display prominently
upon all structures or temporary huts on the Site throughout the construction period
and remove on completion, posters, in both English and Chinese, drawing attention
to safety on site. These posters are obtainable normally free of charge from the
Labour Department, Government of the Hong Kong Special Administrative Region.

7.2.3 The Contractor shall provide sufficient safety helmets, safety shoes, protective and
waterproof clothing and devices such as ear mufflers and protective glasses where
appropriate for the use of all personnel working on site and other authorized persons
visiting the Site.

7.2.4 The Contractor shall provide on the Site for the use of all site personnel and for the
duration of the Contract one set of the latest Construction Site (Safety) Regulations,
the Factories and Industrial Undertakings Ordinance concerning safety officers,
safety supervisors and any other safety matter. The Contractor shall also provide
any revisions or new safety regulations that may be introduced by the Government
of the Hong Kong Special Administrative Region during the duration of the
Contract.
7.3 Prevention of Corruption

The Building Manager/Employer shall be entitled to determine this Contract and to recover
from the Contractor the amount of any loss resulting from such cancellation, if the
Contractor shall have offered or given or agreed to give to any person having a relationship
with the award or performance of this Contract, any gift or consideration of any kind or if
the Contractor shall have committed any offence under the Prevention of Corruption
Ordinance.

The Building Manager/Employer reserves the right to inspect all invoices and vouchers
issued to the Contractor in respect of any materials purchased by the Contractor for the
works hereinafter described.

8 Insurance

8.1 Employee's Compensation Insurance

8.1.1 Without prejudice to his liability to indemnify the Building Manager/Employer


under this clause 8.1 and clause 8.2, the Contractor shall take out and maintain in
the joint names of the Building Manager/Employer, the Contractor and
subcontractors of any tier insurance coverage to follow the standard Accident
Insurance Association of Hong Kong Employees Compensation Policy wording to
indemnify all of the liabilities of the Contractor or, as the case may be, of each

subcontractor of any tier and their respective employees and other persons who may
be employed on the Works in respect of any damages or compensation payable
under any Ordinance, Statute or at common law in respect, or in consequence of,
any death, accident, illness or injury to any work people or other person in the
employment of the Contractor or any subcontractor arising out of, or in the course
of, or caused by the carrying out of the Works.

8.1.2 Such policies shall be extended to include an "Indemnity to Principal" clause and
Residential and/or its subsidiaries shall be jointly insured. Any term or condition of
any endorsement having either the same wording or similar meaning as the
following shall be removed from such policies prior to the commencement of the
Works :

“The Company shall not be liable under this Endorsement (except under the
Legislation) in respect of any injury by accident or disease to or resulting from any
act default or neglect of the Principal his servants or agents ".

8.1.3 The Employee's Compensation Insurance to be taken out and maintained by the
Contractor pursuant to clause 8.1.1 shall be on a "joint names" basis and the policy
shall be issued in the name of the "Contractor and of all contractors whilst engaged
about the Business" and the Building Manager. The policies shall be taken out with
an Insurer to be approved in writing by the Building Manager/Employer and the
policies and premium receipts shall be submitted to the Building
Manager/Employer's Representative prior to the commencement of the Works.

8.1.4 The limit of liability under the policies to be taken out and maintained by the
Contractor pursuant to clause 8.1.1 shall meet the statutory insurance requirements
laid down in the Employee's Compensation Ordinance. Such policies shall cover
the period from the commencement of the Works until the date certified by the
Building Manager/Employer 's Representative pursuant to clause 5.5.2, that all
obligations under clause 5.5.1 with respect to defects, excessive shrinkages or other
faults to the Works shall be or have been fully discharged.

8.2 Injury to Persons and Property and Building Manager/Employer 's Indemnity

8.2.1 Without prejudice to his liability to provide Employee's Compensation Insurance


pursuant to clause 8.1, the Contractor shall be liable for, and shall indemnify and

keep indemnified the Building Manager/Employer against any cost, expense,


liability, loss, damage, claim, or proceedings whatsoever suffered or incurred as a
result of the personal injury to or the death of any person whomsoever, arising out
of or in the course of or caused by the carrying out of the Works, whether pursuant
to the Employees' Compensation Ordinance or otherwise howsoever, save that such
indemnity shall be reduced proportionately to the extent that any negligence, act,
omission or default of the Building Manager/Employer, or his servants or agents
(but excluding Direct Contractors) caused or contributed to the cost, expense,
liability, loss, damage, claim or proceedings.

8.2.2 Without prejudice to and notwithstanding the Policy of Insurance provided by the
Building Manager/Employer under clause 8.3, the Contractor shall be liable for, and
shall indemnify and keep indemnified the Building Manager/Employer against any
cost, expense, liability, loss, damage, claim or proceedings whatsoever, suffered or
incurred as a result of any injury or damage whatsoever to any property real or
personal arising out of or in the course of or caused by the carrying out of the Works,
save that such indemnity shall be reduced proportionately to the extent that any
negligence, act, omission or default of the Building Manager/Employer, or his
respective servants or agents (but excluding Direct Contractors) caused or
contributed to the cost, expense, liability, loss, damage, claim or proceedings.

8.2.3 Without prejudice to the generality of the indemnities referred to in clauses 8.2.1
and 8.2.2 the Contractor shall indemnify and keep indemnified the Building
Manager/Employer in respect of any cost, expense, liability, loss, damage, claim or
proceedings whatsoever which arise from:

8.2.3.1 Any operations by the Contractor which unnecessarily or improperly


interfere with the convenience of the public or access to, use, occupation or
enjoyment of public or private roads, footpaths or properties, or the
conduct of any business thereon;

8.2.3.2 Any failure by the Contractor to ascertain the exact position of cables,
pipes and other utilities and equipment located on, under or above the Site
or in the vicinity of the Works at any time during the execution thereof and
the Contractor shall ensure that no damage is caused to such installations;
and

8.2.3.3 The Contractor causing any environmental pollution of whatsoever nature.

Save that such indemnity shall be reduced proportionately to the extent


that any negligence, act, omission or default by the Building Manager or
his servants or agents (but excluding Direct Contractors) caused or
contributed to the cost, expense, liability, loss, damage, claim, or
proceedings.

8.2.4 The Contractor shall give immediate notice to the Building Manager/Employer's
Representative of any claim received by the Contractor from any third party which
arises from the carrying out of the Works and shall co-operate as reasonably
required by the Building Manager/Employer 's Representative in any attempt by the
Building Manager/Employer 's Representative or the Building Manager/Employer
to negotiate any settlement of any such claim.

8.2.5 Insurance against Injury to Persons and Property

8.2.5.1 Without limiting the obligations and responsibilities of the Contractor


under this clause 7.2 or otherwise, the Contractor shall effect and maintain
at his own expense for the benefit of and in the joint names of the Building
Manager/Employer, the Contractor and subcontractors of any tier, a policy
of third party liability insurance in the terms set out in the Policy of
Insurance.

8.2.5.2 The Building Manager/Employer shall not be liable for or in respect of any
damages or compensation in respect of or in consequence of any accident
or injury to any workman or other person in the employment of the
Contractor or any subcontractor of any tier. Without prejudice to clause
7.2.1, the Contractor shall indemnify and keep indemnified the Building
Manager/Employer against all such damages and compensation and
against all claims, demands, proceedings, costs, charges and expenses
whatsoever in respect thereof or in relation thereto, save that such
indemnity shall be reduced proportionately to the extent that any
negligence, act, omission or default of the Building Manager/Employer, or
his servants or agents (but excluding Direct Contractors) caused or
contributed to the cost, expense, liability, loss, damage, claim or
proceedings.

8.2.5.3 The Insurance to be taken out and maintained by the Contractor shall be on
a "joint names" basis and the policy shall be issued in the name of the
"Contractor and of all contractors whilst engaged about the Business" and
the Building Manager/Employer. The policies shall be taken out with an
Insurer to be approved in writing by the Building Manager/Employer and
the policies and premium receipts shall be submitted to the Building
Manager/Employer 's Representative prior to the commencement of the
Works.

8.3 Insurance of the Works (Existing Building and New Works)

8.3.1 Without limiting the obligation and responsibilities of the Contractor under clause
8.1 or otherwise, the Building Manager/Employer shall insure at his own expense in
the joint names of the Building Manager/Employer, the Contractor and any
subcontractor of any tier, the Works in terms set out in this Policy of Insurance.

8.3.2 Upon the occurrence of any event giving rise to a claim under any insurance
maintained pursuant to sub-clause 8.3.1, the Contractor shall without any delay on
his part, restore and repair the Works, replace any goods and materials which have
been damaged or destroyed, remove all debris from the Site, comply with any
further or other requirements set out in the Policy of Insurance or as instructed by
the Building Manager/Employer 's Representative pursuant to clause 2.6 hereof,
continue with the execution and completion of the Works and with the performance
of his obligations under the Contract.

8.3.3 The Contractor shall not be entitled to any payment from the Building
Manager/Employer in respect of the matters referred to in sub-clause 8.3.2 other
than a sum equivalent to the monies received by the Building Manager/Employer
from insurers as aforesaid except and to the extent such loss or damage shall have
arisen by the neglect, default or omission of the Building Manager/Employer, the
Building Manager/Employer 's Representative or any other of their respective
servants or agents (but excluding for the avoidance of doubt, Direct Contractors, if
any).

8.3.4 The Building Manager/Employer 's Representative shall notify in writing in such
event the amount of the Building Manager/Employer 's contribution which shall be
valued in accordance with clause 3.0 hereof.

8.3.5 To the extent that any such loss or injury arises from any of the excepted risks, or
from any act, neglect or omission of the Building Manager/Employer or his servants
or agents (but excluding Direct Contractors), the Contractor shall if required by the
Building Manager/Employer 's Representative repair and make good the same as
aforesaid and the said work of repair and making good shall be valued in
accordance with clause 3.0 hereof.

8.3.6 The Contractor shall be responsible for and accepts to bear the cost of all excess
payment due under the term of the Policy of Insurance, which the Contractor shall
be deemed to have allowed at the time of award of this Contract.

8.3.7 Without limiting his obligation and responsibilities under the contract the
Contractor shall insure at this own expense and for the full replacement value the
construction plant and equipment brought on to the Site for the purpose of the
Works.

8.3.8 The Insurance to be taken out and maintained by the Contractor shall be on a "joint
names" basis and the policy shall be issued in the name of the "Contractor and of all
contractors whilst engaged about the Business" and the Building Manager/Employer.
The policies shall be taken out with an Insurer to be approved in writing by the
Building Manager/Employer and the policies and premium receipts shall be
submitted to the Building Manager/Employer's Representative prior to the
commencement of the Works.

8.4 Evidence of insurance

The Contractor shall produce, and shall cause any sub-contractor to produce, such evidence
as the Building Manager/Employer or Building Manager/Employer’s Representative may
reasonably require that the insurance referred to in clause 8.0 hereof have been taken out
and are in force within the contract period. Where clause 8.3 hereof is applicable the
Building Manager/Employer shall produce such evidence as the Contractor may reasonably
require that the insurance referred to therein has been taken out and is in force within the
contract period.

The contractor must supply full details of claims for costs or variations as soon as possible.
No consideration will be made to any claim for extension of contract period or for payment
of any additional works which have not been made within 2 weeks to enable the

circumstances and expenses to be properly ascertained.

9 Notices and Instruction

Any notice or instruction to be given by the contractor under this Contract may be served by
sending:-

9.1 The same by registered post or by leaving the same at the Contractor’s registered office.

9.2 All notices and instructions by post shall be deemed to have been duly served two days after
posting.

9.3 Any notice to be given to the Building Manager/Employer under this Contract may be
served by sending the same by post to or by leaving the same at the Building
Manager/Employer’s registered office.

10 Determination

10.1 Determination by the Building Manager/Employer

The Building Manager/Employer, may, but not unreasonably or vexatiously, by notice by


registered post or recorded delivery to the Contractor forthwith determine the employment
of the Contractor under this Contract if the Contractor shall make default in any one or more
of the following respects:

10.1.1 If the Contractor, without reasonable cause, fails to proceed diligently with the
Works or wholly suspends the carrying out of the Works before completion
provided that the Building Manager/Employer’s Representative has given seven (7)
days notice of the intention to terminate, and the Contractor has not improved his
rate of progress.

10.1.2 If the Contractor becomes bankrupt or makes any composition or arrangement with
his creditors or has a winding up order made or (except for the purposes of
reconstruction) a resolution for voluntary winding up passed or a receiver of his
business appointed or the like.

10.1.3 If the Contractor refuses or persistently neglects to comply with a notice from the
Building Manager/Employer’s Representative requiring him to remove defective
work, improper materials or goods and dangerous or unsafe conditions.

The Building Manager/Employer may, without cause, determine the employment of the
Contractor under this Contract by serving 1 month written notice to the Contractor.

In the event of the Building Manager/Employer determining the employment of the


Contractor as aforesaid the Contractor shall immediately give up possession of the Site and
the Building Manager/Employer shall not be bound to make any further payment to the
Contractor until after completion of the Works.

Provided always that the right of determination shall be without prejudice to any other rights
or remedies which the Building Manager/Employer may possess.

Contractors are to take instructions only from the Building Manager / Employer or person
authorized by the Building Manager / Employer in writing.

11 Settlement of disputes - Arbitration

11.1 In the event of any dispute or difference between the Building Manager/ Employer and the
Contractor whether arising during the progress or after the completion or abandonment of
the Contract or after the determination of the Contract, howsoever in regard to the
construction of the Contract or any matter or thing of whatsoever nature arising out of the
Contract or in connection therewith, then either the Building Manager/Employer or the
Contractor shall give written notice to the other to such effect and such dispute or difference
shall be referred to the arbitration and final decision of a person to be agreed between the
parties as the Arbitrator, or, upon failure so to agree within twenty-eight (28) days after the
date of the aforesaid written notice, of a person to be appointed as the Arbitrator on the
request of either the Building Manager/Employer or the Contractor by the president of the
Hong Kong Institute of Arbitrators.

11.2 The Arbitrator shall, without prejudice to the generality of his powers, have power to rectify
the Contract so that it accurately reflects the true agreement made by the Building
Manager/Employer and the Contractor, to direct such measurements and/or valuations as
may in his opinion be desirable, in order to determine the rights of the parties and to
ascertain and award any sum which ought to have been the subject of or included in any
certificate, and to open up, review and revise any certificate, opinion, decision, requirement
or notice and to determine all matters in dispute, which shall be submitted to him in the
same manner as if no such certificate, opinion, decision, requirement or notice had been
given.

11.3 The award of such Arbitrator shall be final and binding on the parties provided that with the
exception of the formalities of his appointment, the Arbitrator may not pursue the reference

until after completion of the whole of the Works as certified by the Building
Manager/Employer 's Representative pursuant to clause 4.4 hereof.

11.4 If before making his final award the Arbitrator dies or otherwise ceases to act as the
Arbitrator, the Building Manager/Employer and the Contractor shall forthwith appoint a
further Arbitrator, or, upon failure so to appoint within fourteen (14) days of any such death
or cessation, then either the Building Manager/Employer or the Contractor may request the
president of the Hong Kong Institute of Arbitrators to appoint such further Arbitrator.
Provided that no such further Arbitrator shall be entitled to disregard any direction of the
previous Arbitrator or to vary or revise any award of the previous Arbitrator except to the
extent that the previous Arbitrator had power so to do under the Arbitration Rules and/or
with the agreement of the parties and/or by the operation of law.

Any arbitration arising under this Contract in accordance with 27.1 shall take place in Hong
Kong and the Arbitrator shall have no power to decide otherwise and the provisions of the
Arbitrator Ordinance (Cap 341) as amended from time to time shall apply to any arbitration
under the Contract.

12 Order and Control of Works

The Building Manager/Employer’s Representative shall have the authority to issue such as he /
she may deem necessary as to the order or proceeding and carrying out the work, including
ordering work to be carried out during night-time and during holiday periods.

13 Provision of Labour

13.1 The contractor shall provide skilled technicians and a competent supervisor whilst carrying
out the works detailed in this contract.

13.2 Such person will comply with all reasonable instructions or directions given to them by the
Building Manager/Employer’s Representative whilst working on or in the building.

13.3 All work carried out by such person shall be performed to the highest technical standards
and to the satisfaction of the Building Manager/Employer’s Representative.

13.4 Notwithstanding sub-paragraph (b) above such person shall all time be deemed to remain
under the direct supervision and control of the Contractor.

13.5 The Contractor is to ensure that a supervisor fluent in English is on duty at all time.

14 Tackle, Etc

The Contractor shall provide all necessary tackles, scaffolding, plant tools protection sheets and all
other requisites necessary for the work, except as agreed between the parties.

15 Protection

The Contractor is to provide adequate protection and all temporary measures necessary to protect
the occupants and visitors to the building during the work and to protect all existing structures, as
well as HV switch gear, LV switch board, chiller plant system and common area from damage.

16 Claim for Costs

No any cost variation will be entertained for this lump sum contract.

17 Publicity

The Contractor will not be permitted to publicize any aspect of the contract without the prior
written approval of the Building Manager.

18 Working Hours

The Contractor will be permitted access to the site all times but all workers must follow the rules
and regulations as stipulated by the Building Management. Works which cause disturbance to
other occupant, may be restricted during normal office hours.

19 Water and Power

Water and power is available for the Contractor’s reasonable use from the premises’ normal outlets.

20 Materials and Debris

The Contractor is to remove daily all accumulated debris and to ensure that all debris, materials
and plants are removed on completion. No storage of materials and debris will be permitted at the
ground floor areas of the Building unless otherwise permitted by the Building Management.

21 Cleaning

Upon completion, the contractor is to clean and remove all marks and dirt from finished surfaces,
and ensure all fittings, equipment etc. are in proper working order and to the entire satisfaction of
the Building Manager/Employer.

22 Notice Board

No signs advertising the Contractor or presence of works will be permitted at the premises.

23 Security

The need for security at the premises is emphasized and all personnel will be required to carry
appropriate identification.

No worker is allowed to be bare-footed or naked when walking around outside the working area.

24 Access

Access to the site of works shall be through designated routes as agreed with the Building
Management Office.

25 Government Regulations

It is the Contractor’s responsibility to comply with all Government Regulations. In particular the
Contractors attention is drawn to the Construction Sites (Safety) Regulations issued under the
Factories and Industrial Undertakings Ordinance.

26 Transportation

All transportation incurred by the Contractor in connection with the Contractor or parts, thereof,
shall be borne by the Contractor.

27 Compliance with Statutory Rules and Regulations

The Contractor shall carry out all work within this Contract in strict accordance with the Laws,
Ordinances, Regulations Orders and By-Laws having the force of law applying, within Hong
Kong Special Administration Region which have a bearing upon the Contractor’s performance and
duties under this Contract.

28 Contractor to Visit the Site

The Contractor is advised to visit the site and inspect the equipment. No extra claim shall be
entertained in this respect due to the Contractor’s negligence of this aspect.

29 Worker Living in the Building

None of the Contractors personnel will be permitted to live on site.

30 Injury to Persons

The Contractor shall be solely liable for and shall indemnify the Building Manager / Principal in
respect of any liability, loss, claim or proceeding whatsoever, arising under any statute or at
common law in respect of personal injury to or the death or any person whomsoever arising out of
or in the course of or caused by the execution of the work whether or not due to his negligence and
shall effect adequate insurance cover in the respect of such risks and shall furnish the owner with a

copy of the insurance policy.

31 Injury to Property

31.1 The contractor shall be liable for and shall indemnify the Building Manager/Principal
against any liability, loss, claim or proceedings in respect of any injury or damage
whatsoever to any property real or personal in so far as such injury or damage arises out of
or in the course of his negligence and shall effect adequate insurance cover in respect of
such risks and shall furnish the Building Manager/Principal with a copy of the insurance
policy.

31.2 If the contractor shall be any act, omission or neglect of himself/herself, his / her agents,
servants, worker or others, or of any sub-contractor employed by him/her, caused or
suffered any injury of damage to be done to any property whatsoever in the execution of any
works under this contract such injury or damage may be made good at the cost of the
contractor by the Building Manager/Principal and the Contractor shall on demand pay to the
Building Manager/Principal such sum as the Building Manager’s/Principal’s representative
may certify to be the cost of such making good.

31.3 If the Contractor shall make default in the payment of any sum so demanded as aforesaid it
shall be lawful for the Building Manager’s/Principal’s representative to deduct the amount
thereof from monies then or thereafter payable to the Contractor under this contract.

32 Tests

All tests so called for will be in accordance with the relevant testing and commissioning
procedures as issued by Building Services Branch and must be in compliance with the requirement
of ASHRAE standard in conjunction with all involved parties to the satisfaction of the Building
Manager/Employer’s representative and Power Supply Company.

33 Records

Within six weeks of the date of practical completion the Contractor shall furnish the Building
Manager/Employer with a complete record of “As Built” Drawings showing claims access
openings, sizes and location of traps, strainers and expansion joints, flow quantities; wire, cable
and busbar sizes, etc. The “As Built” Drawings shall be submitted within twenty-one (21)
calendar days of issuance of the Practical Completion.

34 Final Handover

On the completion of the Defects Liability Period and the satisfactory completion of defects noted
and the satisfactory completion of defects noted and the issuance of all record drawings instruction
and all other requirements of this tender, the Building Manager/Employer’s Authorized
Representative shall state so in writing to the Contractor and make arrangements for the release of
all retention monies held by the Building Manager/Employer, and the rights and obligations of the
parties within this Contract shall cease forthwith.

35 Certificate of Practical Completion

When, in the opinion of the Contractor, the works are practically completed, the Contractor shall
submit a Certificate of practical completion to the Building Manager/Employer’s Authorized
Representative for carrying out a joint inspection.

If the Building Manager/Employer’s Authorized Representative is satisfied that the works are
practically completed, he/she shall, within seven days, issue to the Contractor a Confirmation of
Practical Completion, stating the date upon which the works are practically completed, and list the
outstanding items to be completed before the release of any retention money. The Defects liability
period for this Contract as set out in Clause 36.0 of this Contract, shall commence from such date.

36 Defects Liability Period (DLP)

The Equipment supplied and installation work involved which are to be performed under this
contract shall be completed and left in running order to the satisfaction of the Building
Manager/Employer’s Authorized Representative.

The Contractor shall without additional charge to the Building Manager/Employer’s Authorized
Representative, renew any works which prove faulty from workmanship or materials and fully
maintain the whole installation for a period defined in the form of Tender beginning with the hour
00:01 A.M. of the day following the issue of the “Certificate of Practical Completion” subject to
conditions set forth on the certificate, as under Clause 35.0.

Any component replaced under clause 35.0 in the DLP period shall be separately guaranteed
for twelve (12) months starting with 00:01 A.M. of the day following replacement.

Retention as listed in Form of Tender will be released upon expiry of DLP subsequent to the issue
of a Confirmation of Practical Completion by the Building Manager/Employer.

37 Addition, Deletions & Alternation

Additional works may be added to this Contract from time to time at the rates entered by the
Tender in the Schedule hereto, or if none of the rates so entered are applicable to the type of the
additional installation then at rates to be agreed between the contractor and the Building
Manager/Employer of failing agreements to be fixed by a firm of professional Quantity Surveyors
appointed by the Building Manager/Employer.

The Building Manager/Employer shall have the right by giving one month’s notice to terminate
the Contract in respect of any of the works which have subsequently been added to the Contractor.

The Contractor shall only use materials of good quality which have been approved by the Building
Manager/Employer’s Representative and shall execute all work to the highest standards.

38 Penalty for Delay

Delays caused by the Contractor are usually due to bad management in executing the works, such
as insufficient labor on site, late ordering of materials, insufficient or unsuitable plant.

It states in the HK Standard Form that the Contractor is to proceed regularly and diligently with
the works. If the Contractor fails to complete the works by either the Date of Completion or any
executed period of time that has been granted, then the Contractor shall pay or allow the Building
Manager/Employer liquidated and ascertained damages. If delays caused by the Contractor are of
a serious nature, the Building Manager/Employer may determine the employment of the
Contractor under the contract.

The contractor is liable for a penalty charge calculating the rate of HK$5,000.00 per day if failing
to complete the works described in this contract on or before the completion date stated in Form of
Tender.

39 General Conditions of Contract

The general conditions of contract shall be “Agreement and Schedule of Conditions of Building
Contract for use in Hong Kong Special Administrative Region, Private Edition (Without
Quantities) together with its Appendix and Schedule 2006 Edition”, published by the Hong Kong
Institute of Architects, the Hong Kong Institute of Construction Managers and the Hong Kong of
Surveyors.

Although a copy of the General Conditions of Contract is not issued with these Tender Documents,
the Tenderer is advised to arrange for themselves a copy of such contract for their reference and
use.

40 Compliance to Environmental guidelines

40.1 The contractor shall use, whenever practicable, environmental-friendly products and
practices in performing their works.

40.2 Contractor shall meet all relevant current environmental ordinances, regulations and
technical memorandum of the Government of Hong Kong Special Administrative Region,
such as bit not limit to the followings :

40.2.1 Air Pollution Control Ordinance Chapter 311

40.2.2 Noise Control Ordinance Chapter 400

40.3 The contractor shall try its best to reduce “waste” generated during its work to reduce
environmental pollution.

40.4 The contractor shall try its best to reduce “noise” generated during its work.

40.5 The contractor shall try its best to minimize dust emissions on site.

41 JLLMSL's Standard Terms and Conditions

All purchases shall be subject to JLLMSL's Standard Terms and Conditions of Purchase Order /
Job Order, as printed on the back page of the Purchase Order, copy of which is attached herewith
in the Appendix A"

42 Anti-Collusion Clause

42.1 (a) Subject to sub-clause (42.2) of this Clause, the tenderer shall not communicate to any
person other than the Building Manager the amount of the tender price or any part
thereof until the tenderer is notified by the Building Manager of the outcome of the
tender exercise.

(b) Further to paragraph (a) of this sub-clause, the tenderer shall not fix the amount of
the tender price or any part thereof by arrangement with any other person, make any
arrangement with any person about whether or not he or that other person will or will not

submit a tender or otherwise collude with any person in any manner whatsoever in the
tendering process.

(c) Any breach of or non-compliance with this sub-clause by the tenderer shall, without
affecting the tenderer’s liability for such breach or non-compliance, invalidate his tender.

42.2 Sub-clause (42.1)(a) of this Clause shall have no application to the tenderer’s
communications in strict confidence with:

(a) his own insurers or brokers to obtain an insurance quotation for computation of tender
price;

(b) his sub-contractors to solicit their assistance in preparation of tender submission; and

(c) his bankers in relation to financial resources for the Contract.

42.3 The tenderer shall submit with his tender a duly signed and witnessed letter in the form
set out in the Appendix. The signatory to the letter shall be a person authorized to sign
the Contract on the tenderer’s behalf.

42.4 The tenderer shall indemnify and keep indemnified the Building Manager against all
losses, damages, costs or expenses arising out of or in relation to any breach of or non-
compliance with sub-clause (42.1) of this Clause by the tenderer, including but not
limited to additional costs due to price escalation, costs and expenses of re-tendering and
other costs incurred.

43 Offering Gratuities

43.1 The tenderer shall not, and shall procure that his employees and sub-contractors shall not,
offer, solicit or accept an advantage as defined in the Prevention of Bribery Ordinance (Cap
201) in connection with the tendering and execution of this Contract.

43.2 Failure to so procure or any act of offering, soliciting or accepting advantage referred to in
(43.1) above committed by the tenderer or by an employee, agent or sub-contractor of the

tenderer shall, without affecting the tenderer's liability for such failure and act, result in his
tender being invalidated.

44 Confidentiality

44.1 Except as necessary for the performance of the Services the Contractor shall not (except with
the prior written consent or as instructed by the Building Manager) disclose the terms and
conditions of this Agreement or any report, document, specification, drawing, plan, software,
data or other particulars furnished by or on behalf of the Building Manager in connection
therewith, or any such or similar information generated or produced by the Contractor
pursuant to this Agreement, to any person other than a person employed or engaged by the
Contractor in carrying out this Assignment, an agent of the Contractor, any approved sub-
consultant or the Contractor’ accountants, insurers and legal advisers.

44.2 Any disclosure to any person, agent, sub-contractor, accountant, insurer, legal adviser
permitted under of this clause shall be in strict confidence and shall be on a "need to know"
basis and extend only so far as may be necessary for the purposes of this Agreement.

44.3 The Contractor shall take all necessary measures (including by way of a code of conduct or
contractual provisions where appropriate) to ensure that their directors, employees, agents,
sub-contractors, accountants, insurers and legal advisers as mentioned in this clause are
aware of and shall comply with the confidentiality and non-disclosure provisions contained
in this Agreement. If required by the Building Manager, the Contractor undertake to procure
for and on behalf of the Building Manager a confidentiality agreement in a form to be
prescribed by the Building Manager from any director, employee, agent, sub-consultant,
accountant, insurer and legal adviser to whom any confidential information is to be disclosed.

44.4 The Contractor shall not without the prior written consent of the Building Manager publish,
either alone or in conjunction with any other person, in any newspaper, magazine, periodical
or through any electronic medium, any article, photograph or illustration relating to this
Agreement.

44.5 The Contractor shall indemnify and keep indemnified the Building Manager against all loss,
liabilities, damages, costs, legal costs, professional and other expenses of any nature
whatsoever the Building Manager may suffer, sustain or incur, whether direct or

consequential arising out of or in connection with any breach by the Contractor or their
directors, employees, agents, sub-contractors, accountants, insurers or legal advisers of this
clause.

44.6 The provision of this clause shall survive the termination of this Agreement (however
occasioned) and shall continue in full force and effect notwithstanding such termination.

45 Prevention of Bribery

The Contractor shall prohibit their directors, employees, agents and sub-contractors who are
involved in this Agreement from offering, soliciting or accepting any advantage as defined in
the Prevention of Bribery Ordinance (Cap 201). The Contractor shall also caution their
directors, employees, agents and sub-contractors against soliciting or accepting any excessive
hospitality, entertainment or inducements which would impair their impartiality in relation to
the Assignment. The Contractor shall take all necessary measures (including by way of a code
of conduct or contractual provisions where appropriate) to ensure that their directors,
employees, agents and sub-contractors are aware of the aforesaid prohibition and will not
solicit or accept any advantages, excessive hospitality, etc. when conducting business in
connection with this Agreement.

46 Declaration of Interest

46.1 The Contractor shall require their employees, agents and sub-contractors who are involved in
this Agreement to declare in writing to the Contractor any conflict or potential conflict
between their personal/financial interests and their duties in connection with this Agreement.
In the event that such conflict or potential conflict is disclosed in a declaration, the
Contractor shall forthwith take such reasonable measures as are necessary to mitigate as far
as possible or remove the conflict or potential conflict so disclosed.

46.2 The Contractor shall prohibit their employees who are involved in this Agreement from
engaging in any work or employment other than in the performance of this Agreement, with
or without remuneration, which could create or potentially give rise to a conflict between
their personal/financial interests and their duties in connection with this Agreement. The

Contractor shall require their agents and sub-contractors to impose similar restriction on their
employees by way of a contractual provision.

46.3 The Contractor shall take all necessary measures (including by way of a code of conduct or
contractual provisions where appropriate) to ensure that their employees, agents and sub-
contractors who are involved in this Agreement are aware of the provisions under the
aforesaid clauses.

47 Declaration of Ethical Commitment

The Contractor shall submit a signed declaration in a form prescribed or approved by the
Building Manager to confirm compliance with the provisions in aforesaid clauses on
confidentiality, prevention of bribery and declaration of interest. If the Contractor fail to
submit the declaration as required, the Building Manager shall be entitled to withhold payment
until such declaration is submitted and the Contractor shall not be entitled to interest in that
period. To demonstrate compliance with the aforesaid clauses on confidentiality, prevention
of bribery and declaration of interest, the contractor and their sub-contractors employed for the
performance of duties under this Agreement are required to deposit with the Agent a code of
conduct issued to their staff.

Section 4 : Scope of Works

The work to be carried out under this contract shall include design, material, installation, testing,
commissioning, proposal and application as generally described hereunder, indicated on the relevant
drawing and without abrogating the more extensive details described elsewhere in the specification
included the followings:

A. Design Stage

1) To review and retrieve available documentary information such as the relevant plans and
documents (including building plans, structural plans and calculations, etc.) from the Buildings
Department and all other relevant plans and documents from other relevant Government
Authorities. The Contractor should bear the cost for inspection and copy of plans.

2) To carry out inspection(s) to the site to ascertain the existing condition.

3) To carry out feasibility study and provide recommendations and preliminary proposals (with at
least 3 options) for the design, layout plan and materials list.

4) Conduct meetings with the Employer and/or the Building Manager’s representative to establish
design and functional criteria, and to provide proposed designs for layout plan including computer
rendering, perspective drawings, layout plans, samples boards, etc. (according to the preliminary
design submitted together with this tender), the advantages and disadvantages of the various
options, the structural implications, nuisances that may be created, future maintenance works, any
affect on the appearance, cost, program etc.

5) To identify any constraints or restrictions imposed by the site conditions.

6) To carry out structural assessment and provide recommendation proposal for the renovation of the
premises.

7) To assist the Employer and/or the Building Manager’s representative on reviewing the preliminary
proposals and make necessary amendment according to the comments from the Employer and the
Building Manger’s representative. Allow major modification of the proposed design for maximum
3 times according to the comment from the owners. And allow minor modification of the proposed
design according to the comment from the owners.

8) To attend and present the preliminary proposals to the owners on the meetings. Further elaborate of
the conclusions or supplemental information may be required to submit if any queries are raised up.

9) Upon the approval of the preliminary proposals from the Employer, to proceed with detailed
design drawings including materials selection, method statements etc. Submit material samples of
various grading based on the proposed design for the Employer’s selection.

10) Provide design drawing and method statement for the proposed renovation works for owners’
approval.

B. Preliminary

11) Allow for preliminary items such as overheads, storage, attendance, site accommodation, provision
of temporary water and electricity supply, provision of adequate site security and site supervision,
temporary lighting, testing & commissioning, government levies under the Pneumoconiosis and
Mesothelioma (Compensation) Ordinance and other necessary statutory fees and Construction
Industry Levy, etc.

12) Remove off site all debris in relation to the specified scope of works, the specification
requirements and all statutory requirements, etc. and general cleaning around the working site to
the satisfaction of the Building Manager’s representative during and at the completion of the works
including all cleaning equipment, proprietary solutions and etc. The Contractor shall open a billing
account solely for the contract if the value is HK$1 million or above under the Construction Waste
Disposal Charging Scheme. The Contractor shall provide billing account detail and the “Chits”
record to the Building Manager’s representative after application.

13) The contractor should ensure that water is not allowed at accumulated anywhere on the Site in
excavations, formwork, temporary or permanent tanks, cans, pots, etc., where such standing water
is liable to be a breeding area for mosquitoes and comply at all times with the government
departments / authorities regulations for the prevention of breeding of mosquitoes.

14) Arrange by the Contractor insurance for Employee’s Compensation and Employer’s Liability at his
own expense. And arrange by the Contractor an insurance policy for Contractor All Risks and in
the joint names of the Owner, Building Manager (BM) and Contractor (as the Insured) an
insurance policy covering Third Party Liability for an indemnity not less than $30,000,000.00
respectively for any one accident. Insurances shall cover the Defect Liability Period.

15) Supply labours, materials and equipment to provide, maintain and remove precautionary and site
safety measures, protection works including timber hoarding to worked areas, security measures,
environmental hygienic measures, and any other works as required by the BM during carrying out
the works. Provide, maintain and remove all the working platforms complete with all necessary
supporters, platform, toeboard, safety device and associated equipment for area to comply with the
safety regulation of Labour Department. The working platform should be erected as recommended
by the Labour Department. Allow protection/taking down and reinstatement of all existing fitting /
feature and services etc. as directed by the BM.

16) Allow for full time site supervisor with relevant qualification approved by the BM on site to co-
ordinate and liaise with the employer/ BM until completion of the works.

17) To clear all the debris and surplus materials off site daily.

18) Provision of master programme, method statement, detail construction, working and shop drawings
for all works included in this contract.

19) The Contractor shall submit detail record photos on each critical step during the construction
period and upon the completion of works to Building Manager for record.

20) The Contractor shall submit a detailed progress schedule in the form of a bar chart showing the
programme starting and finishing times for individual operation. The progress schedule shall be
supplemented and substantiated by an equipment submission schedule, sample submission
schedule and drawing submission schedule. Construction programme which shall be in line with
the calendar days quoted on the form of tender.

21) To attend work progress meetings with the Employer /The Employer’s representative when
necessary to explain the progress and necessary remedial works.

22) To provide all necessary material sampling and documents for approval prior to commencement of
works.

23) To supply labour, tools and material to provide temporary services connection, disconnection,
relocation, affixing and maintenance in respect of electricity, plumbing and drainage, etc. during
the carrying out of works.

24) The Contractor shall be responsible to obtain all permits, approval and procedure from the relevant
Government Departments for the project prior to any work commencement if necessary.

C1. Basic Renovation for Unit E1

Demolition

1. To provide labour, material and equipment to take down and cart away all the finishing and
furniture including but not limited to the plywood floor board with carpet, skirting and base
wooden board, all wall or floor finish, equipment, decoration and accessories in kitchen and
bathrooms, all plywood room door and door frame, wardrobe, laminate and shelf and all extra
decoration. Included all construction waste disposal charging from Hong Kong Government.

Scaffolding Work for A/C

2. To supply, erect and maintain bamboo scaffolding to the external wall for the installation of
A/C to be covered with nylon and G.I. sheets to confine materials falling within the
designated areas, and any other timber/metal platforms necessary in accordance with the
statutory requirements. To allow for removal of the same including make good affected area
at the time as instructed by the Employer and/or the Building Manager’s representative.

I. Toe boards and all necessary safety measures shall be provided at the outer edge of
the working platform. Day-to-day maintenance shall be performed to remove any
debris accumulated on the platforms and toe boards. Two layers of waterproofing
plastic screen shall be placed over the scaffolding to completely enclose the
affected area with an adequate fall for protecting the working area from rain
penetration.

II. The scaffolding is not allowed to anchor or get support from any windows or

panels but only on structural members of the building. All supporting locations
shall be submitted to the Employer and/or the Building Manager’s representative
for approval.

III. When scaffolding is used, the Contractor is required to comply with the safety
measures required under the Construction Sites (Safety) Regulations, the Code of
Practice for Scaffolding Safety and the Labour Department’s requirements on
safety aspect.

IV. Adequate barriers and covers should be provided around the overhead works with
suitable warning signs and notices display to the pedestrians for passageway
diversion.

V. The members of the scaffolding such as bamboo rods should be delivered


downward by floor-to-floor procedure during the dismantling of scaffolding, i.e.
free falling is strictly prohibited.

3. To allow fencing off and warning notice on ground level to protect occupiers / visitors /
pedestrian.

4. To dismantle and remove the bamboo scaffolding, catch fans, movable working platforms
and all the associated materials, equipment, temporary installation, etc. off site after
completion of work. Restore the site to its original cleanliness.

Concrete Repair Work

5. To appoint Competent Technical Staffs to carry out hammer tapping test to the internal wall,
column, beam, ceiling and slab of the premise to identify the locations of the existing loosen,
hollowed and cracked concrete, plastering and etc. including provision of all necessary hammer,
hand tools and equipment.

6. To mark out the defective areas on site. To prepare and provide inspection report including
record plans showing the locations and areas of defective concrete and rendering upon
completion of the test to the Employer and/or the Building Manager’s representative for
agreement before the commencement of the repair works.

7. To provide labour, tools and materials to carry out repair work for the internal wall column,
beam, ceiling and slab in accordance with the inspection report. The repair methods should be
subject to different conditions of defects as specified hereunder. Repair cost of internal walls,
column, beam, ceiling slab and lump sum basis.

REPAIRING OF SPALLED CONCRETE

i. To hack off and cart away all existing loosen, hollowed and cracked concrete to sound
concrete substrate and leave a gap of between 10mm and 20mm behind the reinforcement.
Edges at the perimeter of the repair area shall be cut back perpendicular to the concrete

surfaces to avoid feather edges.


ii. To remove all loose scale and rust on the exposed reinforcement and to clean the steel to a
bright condition. Care shall be taken to clean the far side of the bar.
iii. If the cross sectional area of the steel has been reduced by more than 1/3 of its original
size then reinforcement shall be replaced. The Contractor must submit a method statement
and shop drawing for reinforcement replacement for Building Manager’s approval prior to
commencement of work. The Contractor must furnish the photo pictures showing the
reinforcement bar in question to replace for Building Manager’s inspection before the
work commenced. No work is allowed to do without the prior consent from the Building
Manager. After the replacement work, the Contractor should also provide the photo
pictures showing the replaced reinforcement bar(s) before the covered up of concrete to
the Building Manager.
iv. To supply and apply “Saint-Gobain Weber HK–webertec EVA” or approved equivalent
strictly in accordance with the manufacturer’s instructions to the exposed reinforcement.
The steel shall be free from moisture, rust, oil and other contamination before priming.
v. To supply and apply “Saint-Gobain Weber HK–webertec EVA Admix” or approved
equivalent to the concrete substrate and the primed reinforcement. The concrete surfaces
to which the bond coats are to be applied shall be thoroughly wetted down for about 20
minutes to achieve saturation. The bond coat shall be applied in strict accordance with the
manufacturer’s instructions.
vi. To supply and apply “Saint-Gobain Weber HK–webertec Patchbond 40” or approved
equivalent pre-bagged polymer modified mortar to the repair areas, strictly in accordance
with the manufacturer’s instructions. The repair shall be properly cured by the method as
recommended by the manufacturer.
vii. The Contractor should submit materials samples and/or catalogues for prior approval.

REPAIRING OF CRACK

i. To remove grease, mould, oil, rust, wood peels, loose particles, contamination and other
foreign materials from the surface adjacent to the crack.
ii. To V-cut the surface of the crack to remove any contaminants if necessary.
iii. To damp substrate with potable water and remove any standing water. To supply and apply
“Ronacrete Ronabond EP 22S” / “Ronacrete Ronabond PU 55” or approved equivalent to
fill up the crack, strictly in accordance with the manufacturer’s instructions. The crack
shall be properly cured by the method as recommended by the manufacturer.
iv. The Contractor should submit materials samples and/or catalogues for prior approval.

Internal Painting Works

8. To provide labour and material to carry out the painting work in whole unit as removal all
loosen paint and paint plastering. To apply plastering and rendering work to smooth the
surface.

i. To remove and cart away the existing loosen, peeling off and cracked painting and/or
plastering to sound substrate.
ii. To supply and apply plastering and “Nippon Paint 2nd Generation Super 5-in-1” or

approved equivalent interior emulsion painting system, including one coat of sealer and
two coats of top coat, to the repaired area by roller / spray strictly in accordance with the
manufacturer’s instruction to match with the existing.
iii. The Contractor should submit method statements, shop drawings, materials samples
and/or catalogues for prior approval.

Door Replacement Work for Bedrooms, Bathrooms and Maid’s Room

9. To provide labour, materials and equipment to take down and cart away the existing doors as
indicated at tender drawing including but not limited to all fixing, hinge, door, door frame
and all ironmongery.

10. To supply and install 3 nos. of new plywood door associated with door frame for bedrooms, 2
nos. of new plywood door associated with door frame for bathrooms, and 1 no. of new
plywood door associated with door frame for Maid’s room including but not limited to make
good the surface after installation, all fixing, hinge, door frame, door handle, self-closing
door closer, door lock, door stopper and all ironmongery.

Door Replacement Work for Main Entrance and Rear Entrance

11. To provide labour, materials and equipment to take down and cart away the existing doors as
indicated at tender drawing including but not limited to all fixing, hinge, door, door frame
and all ironmongery.

12. To supply and install 1 no. of new plywood door associated with door frame and electric door
lock for entrance door, 1 no. of new plywood door associated with door frame for rear door
including but not limited to make good the surface after installation, all fixing, hinge, door
frame, door handle, self-closing door closer, door lock, door stopper and all ironmongery.

New Flooring System c/w Skirting in Living room, Dining room and 3 Bedrooms

13. To provide labour and material to carry out the new flooring system c/w repair work for the
existing concrete floor c/w uneven floor, crack and damaged concrete screeding. Supply and
install new base plywood plate of solid wood composite floor board and plastic sheet etc,
Supply and install new floor board c/w skirting.

Master Bathroom Renovation Work

14. Supply labour, material and tool to remove all the dust on the sound concrete slab.

15. Make good any defects on concrete slab such as concrete cracks / concrete spalling etc. with
repair mortar. Afterward provide structurally sound and clean substrate to receive high
strength screed, ensure the surface is free from grease, oil, dirt and other deleterious material.

16. Supply labour, material and tool to provide an angle fillet at the edge of the floor screeding
before apply the waterproofing material.

17. Supply labour, material and tool to apply two (2) layer of cementitious waterproofing system.
The waterproofing membrane should extend uplift to full height wall from the finished level.

18. Supply labour, material and tool to conduct water flooding test for the waterproofing
membrane at least 24 hours in order to ensure the waterproofing performance is sound and
water tight. Check for any water seepage at the slab soffit during and after the water-flooding
test with Management Office. If water leakage or seepage is found, the Contractor should re-
apply waterproofing membrane at his own costs.

19. To provide labour, materials and equipment to take down and cart away the existing floor
tiles as indicated at tender drawing including but not limited to all fixing, hinge, door, door
frame and all ironmongery.

20. To provide labour and material to install new floor tiles, new glass sliding door, and new
glass mirror with plywood.

Guest Bathroom Renovation Work

21.Supply labour, material and tool to remove all the dust on the sound concrete slab.

22. Make good any defects on concrete slab such as concrete cracks / concrete spalling etc. with
repair mortar. Afterward provide structurally sound and clean substrate to receive high
strength screed, ensure the surface is free from grease, oil, dirt and other deleterious material.

23. Supply labour, material and tool to provide an angle fillet at the edge of the floor screeding
before apply the waterproofing material.

24. Supply labour, material and tool to apply two (2) layer of cementitious waterproofing system.
The waterproofing membrane should extend uplift to full height wall from the finished level.

25. Supply labour, material and tool to conduct water flooding test for the waterproofing
membrane at least 24 hours in order to ensure the waterproofing performance is sound and
water tight. Check for any water seepage at the slab soffit during and after the water-flooding
test with Management Office. If water leakage or seepage is found, the Contractor should re-
apply waterproofing membrane at his own costs.

26. To provide labour, materials and equipment to take down and cart away the existing wall and
floor tiles as indicated at tender drawing including but not limited to all fixing, hinge, door,
door frame and all ironmongery.

27. To provide labour and material to install new wall and floor tiles, new glass shower panel and
hardware, 1 no. of new washing basin, new plywood cabinet with solid surface desk top, new
faucet, water tap and shower head, glass mirror with plywood cabinet and new stainless steel
toilet roll holder, towel rail, towel ring, towel rack, grilled container, straight grab rail.

Kitchen Area Renovation Work

28.Supply labour, material and tool to remove all the dust on the sound concrete slab.

29. Make good any defects on concrete slab such as concrete cracks / concrete spalling etc. with
repair mortar. Afterward provide structurally sound and clean substrate to receive high
strength screed, ensure the surface is free from grease, oil, dirt and other deleterious material.

30. Supply labour, material and tool to provide an angle fillet at the edge of the floor screeding
before apply the waterproofing material.

31. Supply labour, material and tool to apply two (2) layer of cementitious waterproofing system.
The waterproofing membrane should extend uplift to wall with at least 1500mm from the
finished level.

32. Supply labour, material and tool to conduct water flooding test for the waterproofing
membrane at least 24 hours in order to ensure the waterproofing performance is sound and
water tight. Check for any water seepage at the slab soffit during and after the water-flooding
test with Management Office. If water leakage or seepage is found, the Contractor should re-
apply waterproofing membrane at his own costs.

33. To provide labour, materials and equipment to take down and cart away the existing wall and
floor tiles, cabinet with counter top, sink and false ceiling as indicated at tender drawing

Scaffolding Work for A/C

46. To supply, erect and maintain bamboo scaffolding to the external wall for the installation of
A/C to be covered with nylon and G.I. sheets to confine materials falling within the
designated areas, and any other timber/metal platforms necessary in accordance with the
statutory requirements. To allow for removal of the same including make good affected area
at the time as instructed by the Employer and/or the Building Manager’s representative.

VI. Toe boards and all necessary safety measures shall be provided at the outer edge of
the working platform. Day-to-day maintenance shall be performed to remove any
debris accumulated on the platforms and toe boards. Two layers of waterproofing
plastic screen shall be placed over the scaffolding to completely enclose the
affected area with an adequate fall for protecting the working area from rain
penetration.

VII. The scaffolding is not allowed to anchor or get support from any windows or
panels but only on structural members of the building. All supporting locations
shall be submitted to the Employer and/or the Building Manager’s representative
for approval.

VIII. When scaffolding is used, the Contractor is required to comply with the safety
measures required under the Construction Sites (Safety) Regulations, the Code of
Practice for Scaffolding Safety and the Labour Department’s requirements on
safety aspect.

IX. Adequate barriers and covers should be provided around the overhead works with
suitable warning signs and notices display to the pedestrians for passageway
diversion.

X. The members of the scaffolding such as bamboo rods should be delivered


downward by floor-to-floor procedure during the dismantling of scaffolding, i.e.
free falling is strictly prohibited.

Internal Painting Works

47. To provide labour and material to carry out the painting work in whole unit as removal all
loosen paint and paint plastering. To apply plastering and rendering work to smooth the
surface.

iv. To remove and cart away the existing loosen, peeling off and cracked painting and/or

test with Management Office.

2.0 PRELIMINARY ITEMS

This section will be completed in accordance with


the Instructions to Tenderer. The following
Schedule of Works shall be read in conjunction
with drawings and specifications.

The preliminary items included hereunder apply to


the whole of the Works contained in the Contract
including all items and the rates and/or amounts
allowed by the Contractor for these preliminary
items shall be deemed to apply to the whole of the
Works carried out under this Contract including all
items and variations to the Contract.

The Building Manager has the right to accept or


delete any price items and no extra or additional

Section 10 : Material and Equipment


1. British Standards

Material and equipment shall be of high quality, and shall comply with, where applicable, the
appropriate British Standard Specifications and Codes of Practice, together with any amendments
made thereto.

2. Other Standard Specifications

When equipment complying with other standard specifications is offered, the Contractor shall
satisfy the Building Manager’s representative that the quality of the equipment offered is equal to
or better than that specified in the appropriate British Standards.

3. The International System of Units (SI)

The International System of Unit (System International d’ Unites) of weights and measure shall be
used for all electrical materials and equipment.

4. Selection of Equipment

Selection of equipment shall be based on this Specification, the Particular Specification, and
technical data contained on the Drawings for a particular installation.

Where items of equipment are interconnected to form an integral part of the complete electrical
installation, their characteristics of performance and capacities shall be so matched as to give

5. Equipment Catalogue and Manufacturer’s Specification

Equipment, Catalogues and manufacturers’ Specifications related to the proposed equipment shall
be in the English language, specific and shall include all information necessary for the Building
Manager’s representative to ascertain that the equipment complies with this Specification and
Drawings. Data and sales catalogues of a general nature will not normally be accepted.

Equipment catalogues and manufacturers’ specifications and sample, must be submitted for the
examination and approval of the Building Manager’s representative before any equipment is to be
ordered.

The Electricity Wiring Regulation and subsidiary legislation made under the latest Electricity
Supply Ordinance (Hong Kong).

6. Code of Practice for the Electricity (Wiring) Regulation (Latest edition)

All regulations and requirement issued by Electrical and Mechanical Services Department from
time to time.

7. IEE Wiring Regulations

The “Regulations for Electrical Installation” (Latest edition) published by the Institution of

8. Labour Department Regulations
