AND

FRIENDS VENTURE (M) SDN BHD


(COMPANY NO: 1010941-A)

NO 32-01, JALAN SURIA 2, BANDAR SERI ALAM 81750 MASAI, JOHOR


(Sub-Contractor for NSF Engineering Sdn Bhd)
THIS AGREEMENT is made on this day 6 APRIL 2023

BETWEEN

NSF ENGINEERING SDN BHD (Company No: 662207-P) private limited company
incorporated under the Company Act 1965 and having its place of business at PLO 819A,
Jalan Platinum 4, Platinum Business Park, Kawasan Perindustrian Pasir Gudang, Zon 12B,
81700 Pasir Gudang, Johor, Malaysia (hereinafter referred to as “Main Contractor” of the
one part)

AND

FRIENDS VENTURE (M) SDN BHD (Company No: 1010941-A) a company incorporate in
Malaysia and having a place of business at No 32-01, Jalan Suria 2, Bandar Seri Alam 81750
Masai, Johor (hereinafter referred to as “Sub-Contractor” of the one part).

WHEREAS the “Sub-Contractor” agreed to undertake this appointment to perform works


given by the “Main-Contractor” as per the terms and conditions contained herein.

THIS AGREEMENT WITHNESSES as follows: -

1) SCOPE OF WORK : Scope of work and detail discussion on technical and


commercial matter provided by “Main Contractor”
through separate job order.

2) MOBILIZATION OF EQUIPMENT : Document the work can be started after related


documents or Job Offer have been issued out by the
Company to the Contractor. Mobilization of equipment
by Contractor shall be notified to Company to make
declaration by the Company. Any Deployment of
Manpower by Contractor to be notified to Company in
order to process access application by the Company.

3) CONTRACT DURATION : Until further notice by both parties. Subject to the terms
and condition stipulated in the job Order.

4) TERMINATION OF CONTRACT : a) The Contract also may terminate without prior


notice in case of earlier termination of the
project by the Client, criminal act, willful
misconduct, any breach or non-observance of his
obligations by the Customer and/or Client into
disrepute.
b) This Contract is deemed cancelled if the worker’s
work permit is cancelled by Immigration Malaysia
at any point of time or any circumstances,
rejected upon renewal or terminated.
c) Both parties shall give written notice upon
Agreeable.

5) TERM OF PAYMENT : All payment shall release within two (2) weeks upon
submitted claim.

6) SALARY FOR EACH PERSON WORKERS ARE:


i. Working Hours : 8.5 hours per day (Normal working hours)

Wages : RM 12.00 per hour

Working Day : Monday to Saturday (8:00 am until 5:30 pm)

ii. Overtime : a) 5:30 pm onward X 1.5 (Monday – Saturday)


b) All Working hours X 2.0 (Sunday & Public Holiday)

7) NAMELIST OF WORKERS : a) ROOH UL AMIN (Passport No: AE9108613)

8) OTHERS 1) This agreement constitutes the entire Agreement


between the parties hereto with respect to the
subject matter hereof. No amendment or
supplement to or modification of this Agreement
shall be binding unless in writing and duly
executed by both of the parties hereto. Neither
of the parties hereto shall be bound by any prior
or subsequent statement or understanding,
verbal or otherwise, expect as expressly set forth
herein, or by and duly executed amendment,
supplement, or modifications hereof. Any
deviation from the contract the “Sub-Contractor”
need to discuss with the “main contractor”
reserves the right to institute legal action of any
non-compliance to contract by “Sub-Contractor”.

2) Main Contractor shall not entertain nor liable for


any other claims beyond the terms and
conditions stated in this document. The Sub-
Contractor shall be personally responsible for
compliance with all statutory obligations
including the Malaysian Taxes, other applicable
tax laws and regulation for the payment of all
federal and local taxes, and other statutory
requirements such as KWSP, SOCSO, LHDN, Work
Permit etc.
IN WITHNESS WHEREOF the “Main Contractor” and the “Sub-Contractor” have hereunto set
their hands and seals the day and year first above written.
