This is with reference to the contract letter dated December 30, 2011, Your appointment
as <<Designation>> in our organization and shall report to Group General Manager / C.
E.O. <<Company name>>. Please be advised that:
1. This contract shall come into force with effect from January 02, 2012 and shall
continue for a period of three years, review able after one year, each year subject
to performance levels stipulated at that point of time unless terminated in the
meantime by either party.
2. You shall be kept on probation for initial period of 6 months during which this
agreement can be terminated by giving the written notice of 30 days by either
party. After completion of the probation period of 6 months either party can
terminate this agreement by giving 60 days notice in writing to the other.
3. During the contract period, the company can terminate your services after giving
appropriate notice in writing or notice period payment in lieu of the notice.
4. Notice pay shall comprise only of Basic salary, House Rent allowance and
Conveyance Allowance, Personal Allowance, if any.
5. You agree that the Company shall not be obliged to entertain any forthwith
resignation with notice period payment in lieu of notice. In case the Company
deems it necessary, you agree without reservation to serve out your written notice
period in full. You shall not be entitled for any leave during the notice period
except under special conditions and approval of the management.
6. In case you tender your resignation with immediate effect and choose not to serve
out the notice period even when the Company deems it necessary, the Company
shall be entitled to claim penal and consequential damages as well as notice
period payment from you, in addition to actual damages caused on account of
your sudden withdrawal from reporting to office.
7. In all cases, it shall be mandatory for you to give a proper handover to the
designated person / officers of the Company within the period of completion of
your notice of resignation, failing which the Company shall be entitled to institute
proceedings as per law. (Contd. 2)

8. During the period of your employment, you will be paid basic salary of
Rs.20,000/-(Rupees Twenty Thousand only) per month.
10. You will be paid Conveyance allowance of Rs.800/-(Rupees Eight Hundred only)
per month.
12. You will be eligible for Pf, Gratuity, and leaves as prevailing laws and the rules of
the company prevailing from time to time.
13. You will be reimbursed medical expenses for self and dependents upto Rs.
15,000/- per annum subject to the condition of applying fifteen days salary out of
the same towards medical insurance.
14. You will be eligible for LTA and Medical after successful completion of one year
of your contract period.
15. You should report for joining your duties on or before join January 02, 2012.
16. After acceptance of this letter, in case you do not join as scheduled and do not
serve the company for a month than you will pay to the company an amount
equivalent to one month's basic salary, i.e. Rs.20, 000/-(Rupees Twenty Thousand
only).
17. Your appointment is being made on the basis of the information and details given
in the application for employment. If at any time, any information or detail given
by you is found incorrect or false, whether by way of verification from the
previous employer or otherwise, the same shall be treated, as a criminal breach of
trust / concealment of facts and accordingly your services will be liable for
termination without notice, salary in lieu of notice or compensation. No charge
sheet or disciplinary action will be necessary.
18. You will get leave at such times and of such duration as the Management of the
company may grant.

19. You are liable to be transferred to any place or business of the Company as
existing/operating presently or acquired later in any part of India or abroad at any
time. You are also liable to be deputed to any work or assigned the work of any
Associate /Sister Concerns, Subsidiaries or any other Companies /Concerns
/Organizations /Firms with whom the Company may make such arrangement or
agreement in a capacity considered appropriate by the Management. Upon such
transfer, the rules and regulations of service applicable to such post or at the place
of transfer will become applicable to you.
20. You are liable to travel as required by the company from time to time.
21. You shall work as required by the Company from time to time. The working/duty
hours, attendance and weekly off shall be regulated to suit the duties entrusted to
you from time to time. You also may be required to attend duties on
Holidays/Weekly off days as per exigencies of work.
22. During the period of service with the company, you shall not secure or try to
secure any other job, part or full time, without the previous consent of the
company in writing.
23. You shall not borrow for your personal gain from or otherwise place yourself
under pecuniary obligation to any person with whom you may be having official
dealings. You shall not take directly or indirectly any emoluments, presents,
commission, honoraria or any kind of gratification in cash or kind from any
person, party or firm having dealings with the company and if you are offered
any, you should immediately report the same to the Management of the company
in writing and the same should be handed over to the company at once.
24. Being in whole time service/employment of the Company, you shall not engage
or associate yourself directly/indirectly or in any other manner, whatsoever, in
any post or work part time or pursue any course of study without the prior
permission of the Company. You shall devote your whole time, attention and skill
to the best of your ability for the business of the Company and shall not directly
or indirectly be connected or concerned with, employed or engaged in any other
business or activities whatsoever, without the prior permission of the Company.

25. You shall always maintain a high standard degree of secrecy and keep as
confidential the records, documents and such other information relating to the
business of the Company which may be known to you or confided in you by any
means and shall use the same only in a duly authorized manner in the interest of
the company. You shall not divulge any information, secret, formula,
correspondence, agreement or working procedures relating to the business of the
Company to any unauthorized person connected or unconnected with the
Company and shall not remove the copies for immediate or future use to any other
place.
27. You will be responsible for safe keeping and return in good condition and order,
of all properties such as tools, equipment, calculators, instruments, books, durable
consumables, computer software and any other properties of the company which
may be in your custody, use, care or charge. In the event of your failure to do so,
company will have the right to deduct the money value of all such items from
your dues and take such action, as it deems proper.
29. In case of any change in your address, you will inform the Management in writing
to this effect within one week of such change and get such new address recorded
in your personnel record. For any service of notice or communication of whatever
kind, you will be informed by ordinary post at the address given by you at the
time of your employment or such other address you may hereafter intimate to the
management. The Management may also paste a copy of the letter on the notice
Board, which shall be considered to be sufficient service on you.

30. In the event of any act or dishonesty, disobedience, causing damage/financial loss
to the Company, insubordination, incivility, intemperance, irregularity in
attendance, unauthorized absence, misconduct, conviction, neglect or upon loss of
confidence in you or incompetence in the discharge of your duties or upon any
breach of the above terms by you, your services can be terminated without giving
any notice
31. Your appointment is subject to your being medically fit and your continuing to be
medically fit. The company reserves the right to have you medically examined by
a Medical practitioner of its choice at any time during the continuity of your
employment with it.
32. You will not anywhere and at any time after relinquishment of your
services/employment, either personally or through your agents, friends or
relatives directly or indirectly represent yourself as being connected or interested
in any way in the business of the Company.
34. You will strictly abide by the staff rules and regulations applicable to you that are
in force for the time being or may be framed from time to time. You shall report
and carry out instructions given to you from time to time by your superiors.
35. Date of your birth as given in your application and admitted by the Company is
November 10, 1980 Subject to the conditions mentioned above including term of
this contract, the company may at its option retire you at your attaining the age of
58 years unless the Contract is extended further for another mutually agreed term.
36. You shall, in addition to the conditions stated specifically above be governed by
the rules, regulations, practices, systems, procedures and policies as are in force
or may be added, altered, modified or omitted/deleted by the Company from time
to time. You shall also be governed by the laws enacted by the Local Authority,
State or Central Government as applicable to you from time to time.

37. In case of any dispute with respect to this contract or with respect to anything
done or omitted to be done by you under this contract, the same shall be
exclusively tried and adjudicated upon by the courts in Delhi, India. The
jurisdiction of all other courts is hereby expressly barred.
If you are willing to act as <<Designation>>. on the terms and conditions mentioned
above, please return the duplicate copy of this letter by you in token of your acceptance
of the same.
