DEED OF ASSIGNMENT OF SHARES

KNOW ALL THESE MAN BY PRESENTS:

This Deed of Assignment of Shares is entered into this _24fth___ day of

Corporation_ (hereinafter referred to as the “Corporation”), a corporation duly organized
and existing under the laws of the Republic of the Philippines;
WHEREAS, the ASSIGNOR is the exclusive registered owner of the

to as the “Shares”);
WHEREAS , the ASSIGNOR desire to assign, transfer and convey all its right,
titles, and interest in and to the Shares, including all its dividend and subscription rights,
whether accrued, accruing, or which may accrue to the Shares, in favor of the
ASSIGNEE, and the ASSIGNEE accepts the assignment;
NOW, THEREFORE, for and in consideration of the foregoing premises and the
payment of the sum of ___(amount)______________ (Php), the ASSIGNOR hereby
assigns, transfer, and to the Shares, including all its dividend and subscription rights,
whether accrued, accruing, or which may accrue to the said Shares, unto and in favor of
