乙は、次の各号の一に該当する場合を除き売買契約に係る物品を甲に返品するこ
とはできないものとする。
(1) 納入された物品が甲の責に帰すべき事由にもとづき、汚損・毀損その他
瑕疵のあるものであった場合または安全性に欠陥のあるものであった場合。
(2) 納入された物品が注文した物品と異なる場合または注文数を超えて納入
された場合｡
(3) 納期に遅れて納入された場合｡
(4) 納入された物品について、納入後一定の期間または一定の割合の範囲で
返品する取引慣行があり、返品に関して特約を行っている場合｡
(5) 返品によって通常生ずべき甲の損失につき乙が負担することを特約して
いる場合｡
(6) 返品を受けることが甲の利益である場合において甲より返品の申出があ
り、乙がこれを承諾した場合。
第 14 条（取引上の遵守義務）
甲は、乙との取引に関し次の事項を遵守しなければならない。
(1) 甲は、乙との取引に際し最も有利な条件で乙に納入できるよう努力しな
 ければならない。
(2) 甲は、取引上知り得た乙の機密につき第三者に対し漏らしてはならな
い。
(3) 甲は、乙との取引に際し私的な利害関係は一切排除しなければならな

第 15 条（債権の譲渡）
甲は乙の書面による承諾を得ない限り、乙に対して有する債権を第三者に譲渡す
ることはできない。
第 16 条（相 殺）
乙が甲に対して債権を有する場合、その弁済時期にかかわらず乙は、本契約に基
づく甲に対する債務と対当額につき相殺することができる。
第 17 条（免 責）
甲が納品日時の遅れ及び納品の不能により、乙に損害を与えた場合はこれを賠償
するものとする。
ただし、やむをえざる理由にて予め納期遅延を予測し、甲が乙に対し事前に連絡
の上乙の了解を得たときは、これを適用しないものとする。
第 19 条（事情変更）
物価の急激な変動その他の事情変更により、本契約の条件によることが著しく不
合理であると認められる場合には、各当事者は本契約の条件の変更の申入れをす
ることができる。
相手方がこれに応じないとき、または本契約の条件の変更によって本契約の目的
を達成することができないときは、本契約を解除することができる。
個別契約並びに別途契約についても前項に準ずる。
