Engagement Letter

Dear Vivek,

Marquee Equity is pleased to engage with you as a Senior Associate. Your talent
and experience will be an ideal fit for our growing team.

As discussed, your starting date will be August 28, 2023. The starting fee for
engagement shall be INR 13.5 LPA. In hand, the Salary will be equal to CTC less
TDS as per the applicable laws.

Furthermore, any CRMs, softwares, platform subscriptions, databases, conference


tickets, accommodation, and travel that the company purchases, for your use, shall
be paid for by the company.

Should the company require you to travel, anywhere in the world, barring New
Delhi, and anywhere you might already have plans to travel to, the company shall
bear the costs of such travel and associated accommodation.

Your Role
1. You will have a multi-faceted role, wherein you will be required to assume a
front-end plus backend role to help grow the company through customer
acquisition, take steps to ensure customers' success using the Marquee Equity
service, and manage Marquee Equity’s relationships with them on an ongoing basis.
2. Your role will involve working closely with our Lead – Private Placement Team –
as part of their team, to tend to the fundraising-related inquiries received by the
company, schedule conference calls with such potential customers manage
communication with them through a CRM account, follow up with potential
customers using email, phone, WhatsApp and other online communication
channels and successfully turn them into paying users of the Marquee Equity
platform.
3. You will also be required to deliver 2-3 pieces of content (mostly in the form of
successful customer case studies and blog pieces) on a monthly basis. For such
content work, you will work with Mrs Nikita Garg Narain and will be supported by
the in-house design and Private Placement Team.

Marquee Equity is a constantly evolving and rapidly growing platform and its
Founders are continually building new technologies and business lines – our intent
is to work with you over the long term and have you partner with us on many of our
businesses as we move ahead.

Execution Guide
1. You are free to work remotely, from wherever you choose to. However, you are
expected to be able to take calls and answer emails from 2:30 PM IST to 11:00 PM
IST, Monday to Friday, each week.
2. You should own a laptop that is capable of making and receiving online calls with
properly functioning speakers and microphones.
3. During waking hours, we have a 3-hour response time policy - for emails and
messages from current and prospective customers.
4. We have a 0 (zero) call cancellation policy with current and existing customers
– a prospect or customer may very well cancel a scheduled call with us, however,
we never cancel or reschedule calls scheduled with current and prospective

customers
5. We have a “no stop” follow-up policy with prospective customers – our Growth
team is required to follow up with a prospect till we hear a clear and conclusive
refusal or inability to use the Marquee Equity platform.
6. We have a zero lead capture loss policy – anyone evidencing the slightest
interest or intent to raise capital of any form, needs to be entered into our CRM.
Anyone refusing to use our service but who is raising capital also needs to be
entered into our CRM.

Benefits:
Any business expenses incurred in any part of your job would be paid on a
pre-approved basis and non-actual.

BONUS:
You have the opportunity to decide which bonus framework you prefer. Below are the two
options:

Bonus Structure 1: If the banked amount exceeds the threshold, 10% of the difference
between the threshold and the banked amount is calculated as your bonus.

Thresholds:
Q1: $30,000
Q2: $60,000
Q3 & onwards: $90,000

Bonus Structure 2: When the banked amount surpasses the threshold, a bonus of 2% is
applied to the entire banked amount. This calculation will now be done monthly, with
disbursements also made monthly.

Thresholds:
Month 1 - 3: $10,000 per month
Month 4 - 6: $20,000 per month
Month 7 & onwards - $25,000 per month

Additionally, if in any given month, your banked amount crosses $35,000, a bonus of 3% will
be shared instead of the regular 2%.

Payments shall be made to you in INR as per current exchange rates post-payment processing

fees being deducted, as incurred by the company during the payments made by clients.

Please note:
1. After completing a period of 3 months within the chosen bonus framework, you will
have the flexibility to switch to another framework, if desired.
2. In both frameworks, the calculation of quarter and month will be based on the date of
the first call taken after joining Marquee.

Reviews, Responsibilities, and Duties


Your performance will be reviewed from time to time as per the requirements of the
company on different parameters. This Job responsibility shall also be governed by
rules and regulations laid down by the management from time to time, in relation
to conduct discipline, and other applicable laws, including guidelines/policies such
as code of conduct, Prevention of Sexual Harassment at Work Place, Anti-bribery,
Privacy policy, Health, Safety, and Wellbeing policy, etc. Any non-compliance to the
above may result in appropriate action, which may include reprimand or even
termination of the contract. You will always be alive to the responsibilities and
duties attached to your project/ assignment and conduct yourself accordingly. You
must effectively perform to ensure results and you will be expected to work
appropriate hours to achieve this whenever the job requires.

Scope of Services
You will be responsible for the successful and timely completion of every task
assigned to you. You are required to report to Mrs Nikita Garg Narain for your
assignment & work timings etc., which are subject to be altered/ amended as may
be required or deemed necessary by the Management in its sole discretion.

Confidentiality
1. The terms and conditions and service are confidential and may not be
disclosed to anyone.
2. You will maintain secrecy and will not disclose to third persons any of the
secrets and other confidential information of the company or its affiliated
companies including but not limited to proprietary technical data, specifications
method of manufacture/service you will take all appropriate measures necessary to

keep such trade secrets and confidential information from being disclosed to or
receive by third parties.

Non-Solicitation
You agree to undertake that during the term of your engagement with the company,
you shall not –
1. Directly or indirectly solicit, induce, recruit, or encourage any of the company
consultants to leave their tenure or join any other company or undertake any other
activity that is similar so as to give any sort of competition to the business of the
company.
2. Take away any clients or customers of the company or attempt to solicit,
induce, recruit, encourage, or take away clients or customers of the company either
for you or any other persons or entity.
3. Such trade secrets, proprietary technical data specifications, and methods of
manufacture/service shall at all times remain the property of the company.

Termination Notice
This letter of engagement is terminable by one month’s (30 days) notice on either
side or payment of one month’s (30 days) salary in lieu of notice and either party is
not bound to give any reason.

Probation Period
It is understood and agreed that the first six months of engagement shall constitute
a probationary period during which either party may, in its absolute discretion,
decide to terminate the engagement, for any reason without notice or cause.

However, in the event, your services are terminated for fraud, theft, or withholding
of any information in the application form or for any other form of misconduct notice
pay will not be payable.

You also acknowledge and agree that the above restrictions are considered
reasonable for the levitate protection of the business and the goodwill of the
companying the event that such restriction shall be found to be void but would be

valid if some part thereof was deleted or the scope period or area of application
were reduced the above restriction shall apply with the deletion of such words or
such reduction of scopes, period or area or application as may be required to make
the restriction contained in this clauses valid, binding and effective.
Notwithstanding the limitations of this provision by any law for the time being in
the course, you undertake to at all times, observe and be bound by the spirit of this
clause

Amendment
Management reserves the right to reasonably vary the terms and conditions of this
offer by giving you not less than one month’s notice. Please be aware that your
compensation details are strictly confidential and not to be shared with anybody
else in the company.

FAQs: Partners Vs Employees

Q-1 Why at Marquee do we hire candidates as consultants/partners and not


employees?

● It’s a company policy.


● Income Tax liability in the consultancy model is lower as the partner can
claim tax benefits not available under the Salary model like:
o Either 1-on-1 expense deduction Or
o Under Section 44ADA of Income Tax Act, 1961 (provided they are eligible
for same)

Q-2 Why is TDS deducted and not PF/ESI?

● TDS deduction is not a cost, partner will get it at year-end when they file ITR
● PF/ ESI is not applicable to the company which is good for the partner as this
will make ‘In hand= CTC- TDS’

Q-3 What is the process of claiming refund of TDS?

● File ITR at year-end


o Under 5L Remuneration partner will get a full refund
o Over 5L partner’ refund will depend upon expenses claimed and their
investments during the year

Q-4 How can a Consultant/ Partner reduce his/ her tax liability?

● Pay claimable expenses via banking channels/ Paytm etc. (not Cash) and
retain Expense invoices.
● Make tax saving investments like Section 80C and 80D:
o PPF
o Tax saving FDR
o Equity Oriented MF
o Health Insurance

Q-5 For a Partner whose CTC is expected to cross 20L per annum (including
Bonus), what is to be taken into consideration?

● Beyond 20L, partners will have to comply with GST provisions at their own
cost. The company is not responsible for any violation on the partner's part.
● Income tax planning is also recommended (Your CA can suggest)
● Section 44ADA can be availed up to receipts of 50L only per annum
● Please consult a CA for further clarifications

Miscellaneous:

● Company will provide Work-Ex certificate for Consultancy Services later.


● Form 26AS from the income tax portal can be shown as Income proof
everywhere.

Note on Section 44ADA:

Eligible Professionals under Section 44ADA

The following are the professionals, who are eligible to opt for Presumptive
Taxation Scheme under Section 44ADA:

● Legal
● Architectural profession
● Accountant
● Medical
● Technical consultant*
● Interior business
● Other notified professionals such as authorized representatives, film artists,
certain sports-related persons, company secretaries and information technology

* Who is a Technical Consultant:

● Technical services involve more human element than machines.


● Technical consultancy which involves having specialized knowledge
● There should be some technical qualification/ degree to support this
● Does not cover digital marketing services, Insurance consultancy/ commission
services.
