 Customer agreement
By completing and signing this Confirmation of Agreement, the account holder agrees to be bound by, and to observe the DHL Terms and
Conditions of Carriage and Terms and Conditions of Credit. The account holder must be aware and responsible for the usage of the
designated account number. The account holder agrees to pay all delivery charges, and duties and taxes in the designated country (if
applicable) for all shipments with your account number in the Airwaybill Number. DHL reserves the rights to decline any application
without reason. This agreement, if approved by DHL, will become valid for one year from the date DHL approves, unless otherwise stated
under ”End Date” or subject to DHL revision of your rates. After the end date, this Confirmation of Agreement will be automatically
renewed every month, until further notice is served by either party.

We confirm the acceptance of any terms and conditions governing the use of DHL service. We understand that DHL reserves the right to
decline an application without assigning any reason whatsoever. We confirm that all information given above is true and accurate.

Services agreement between DHL and the Customer (as described in the Summary page) will begin on the first day of the month
when you have accepted the terms of the offer and will continue for a period of one year unless stated otherwise in the Rates /
Price. Services Agreement may be terminated by either party with one month prior notice, or immediately if one of the parties

Price Agreement

Each service, surcharges, and fees for lines or specific purpose which are not included in the Services Agreement shall be

The freight charges, service, and surcharges as stated in the Services Agreement is based on revenue projection agreed upon by
the customer or as described in the price. If there is a deficiency in revenue (for all or certain products) or if there are

substantial changes in volume, weight, or a mixture of destination, DHL reserves the right to change the price at any time with
prior written notice to Customer.

Volumetric weight applies to DHL price. Shipment will be charged according to the actual weight or volumetric (dimension),
whichever the highest. DHL calculates volumetric weight (in kilograms) by dividing the volume of the shipment (in Cubic
Volumetric Divisor
Centimeters) by 5000 (or length x width x height [(in cm)] / 5000). DHL reserves the right to change this formula. Please refer to
the Price DHL Rates for detail of Volumetric Divisor.
Price is only offered to the parties in the Services Agreement and shall not apply to other third parties. Subsidiaries which
company partner majorities of its shares are owned by customer and other third parties may be added to the contract with the approval of both
parties.

Price Component

Prices excluding value-added tax (VAT), sales tax (or equivalent), customs duties, fines and interest, and other taxes that that the

Additional services and costs

Additional costs associated with additional services and costs will be charged in accordance with the standards applicable at the
time of shipments booking. Additional fees are paid in addition to the applicable freight charges and will be charged when the
additional services requested or when the additional cost is applied. Details of the additional services and costs are described in
Pricing and further in http://www.dhl.com/en/express/optional_services.html.

Unexpected event
Additional cost a. The increases by the Government and Rules
Any additional governmental or regulatory organization practices, surcharges, procedures or regulations which result in increased
cost to DHL (e.g. IATA Security surcharges) will be passed on proportionately to Customer upon thirty days written notice.

b. Emergency situations
DHL reserves the right to make emergency surcharges to recover costs associated with temporary emergency situations beyond
DHL's control which could not be reasonably anticipated at the commencement of this Agreement. All such surcharges will be
temporary and will apply to DHL's general customer base. Customer will receive an eight days notice by website of any emergency
surcharge, describing the reasons for such surcharge.
 Standard Service Conditions/Ketentuan-Ketentuan Layanan Standard

Fuel surcharges will apply in addition to the price, which will be calculated with the methodology in

DHL may from time to time change the fuel surcharge table.

Overview Prices

General Price In general, DHL price is valid up to December 31, 31 of the year in which DHL made the proposal. Unless otherwise stated, the

Bill and Payment

[within 7 days / cash directly]. In the event there is any query on an invoice, then only the disputed item on the invoice shall be
held from payment and all other amounts owing and not disputed are to be paid on the due date. Queries on invoices must be

The Rates are based on Customer’s commitment to use the following DHL online shipping tools such as: DHL
WebShipping, DHL Import Express Online, DHL Connect, DHL EasyShip, DHL eMailShip, DHL XML Services, and EDI
(transmission of shipment data through electronic data interchange) (“eCom Tools”). The Customer shall not require the

manual processing, recording, labeling or invoicing of shipments without the prior written consent of DHL. DHL’s invoice
will not be accompanied by Proof of Delivery, which will be available at an additional cost for a period of three months
after delivery.

This agreement and the price is confidential. Both parties are not permitted to share or disclose to the public the

existence or content of this Agreement without the prior written permission of other parties.

This Agreement is governed and construed in accordance with the laws of the Republic of Indonesia. Any and all disputes
arising out of or in connection with this Agreement, as far as possible be resolved amicably by the Parties, and if it fails,
Governing Law the Parties shall designate the Indonesian National Board of Arbitration to resolve disputes. This Agreement constitutes
the entire agreement of the Parties in this Agreement and supersedes all verbal and written agreements previously
owned by the Parties with respect to the subject matter of the Agreement.
