d. The parties here to, agree to being bound by the terms and conditions, directly stipulated or
drawn by necessary implication from the constitution of Uganda, the Land Act, the registration
of Titles Act, the Town and Country Planning Act and finally the Land Regulations 2001.

Wherefore parties hereby agree to the terms and conditions here in below stated;
1. CONSIDERATION: That in consideration of a sum of Uganda Shillings
………………………………………………………………………………………paid by the
purchaser on execution of this agreement and receipt where of the seller acknowledges the
sale hereby sells the said piece of land and house to the purchaser, for all the sells interest
and estate herein.

2. TRANSFER: The sellers shall cause the transfer of ownership and hereby cause it to be
assigned so that the said land and house is registered in the names of the purchaser.

3. POSSESSION: The parties agree that the sellers transfer their possession rights of the land
and house by signing this agreement.

4. INDEMNITY: Should it transpire that the sellers’ guarantors had no valid right of any piece of
the whole land/ownership and house they sold to the purchaser, then they will indemnify the
purchaser for the losses or damages they shall suffer from the said land.

5. ARBITRATION INCASE OF LAND DISPUTE.


In case a dispute in respect of land and house in question that is the subject of this agreement
happens between the parties to this agreement the parties agree;
a) To settle it amicably between themselves, or
b) To choose an independent arbitrator incase no agreement is reached, and in case of
appeal, then
c) To take to Urban Tribunal in case of appeal, then
d) Take to District Land Tribunal, then
e) Take to High Court of Uganda.

6. RISK AND PROPERTY: The property and risk in the said land and house pass to the
purchaser from effect of signing of this agreement, full payment of price, the signing of
transfer deed and eventual surrender of rights of possession of land and house to the
purchaser.
7. GUARANTEE:

a. The seller guarantees the purchaser that is has a valid right of ownership to the piece of
land and house and that the same is free from all encumbrances of whatever nature and it
is on the strength of this said guarantee that the purchaser has paid the above said sum.
b. FORCE MAJEURE: If anything not foreseen at the time of making this agreement
happens so as to impair the performance or lead to a breach of terms and constitution of
this agreement neither the seller or the purchaser shall be liable for such breach, safe for
breach of deliberate or negligent actions the purchaser or seller should have foreseen at
the time of making this agreement.

c. AMENDMENT: Parties to this agreement may if they deem it fit and necessary, at any
time when this agreement is in force, alter, vary and subtract or amend and insert any
terms and conditions that may enable or lead to a better and proper performance of this
agreement or any term thereto.
