Q.1. Discuss briefly expressly void agreements under the Indian Contract Act.

1. Rohan, a software engineer by profession, formed astart-up named 'Rohan Software


Private Limited in India. Due to his professional skill, he grew thestart-up many folds
and finally sold it to a Multinational Company at a premium. While selling his
company, Rohan signed a Non-Competitive Agreement and agreed that he or any of his
immediate relatives, irectly or indirectly, will not form any business in the line of
activities of Rohan Software Private Limited within a range of 10000KM for the next
twenty-five years from the date of execution of the agreement.
After a couple of years, Rohan met a friend whÍ wanted to form a eompany. The
prospective company will work in the area of software. Rohan was interested in being
a part of the venture, but the problem was that the new company would be operating
close to the old entity. So, they visited a local Chartered Accountant who said that the
Non-Competitive Agreement is barred as per the Indian Contract Act,1872. Hence,
they can definitely form their company.
The new company was incorporated after this, and the operational level activities
began. However, after a few days, Rohan received a notice from the legal team of the
multinational company that they were in breach of the Non-Competitive Agreement.
Has Rohan violated the agreement?

2. Rmason.co.in (OP) had floated an offer to sell a Laptop for Rs 100 against the price of
Rs 30,000. Ramesh, a first-year management student, pläced an order on 12-2-2019 to
buy the laptop from the opposite party (OP) onits website http;/rmason.co.in. OP had
confirmed the order, and two hours after receiving the confirmation, Ramesh received
aphone call from OP's Customer Care Service Departnent stating that the subject order
stood cancelled due to aprice recession issue. Since Ramesh needed alaptop to prepåre
for his project, he objected to such cancellation through Email. On not receiving any
response from the OP.Ramesh filed a court case claiming compensation from the OP
for committing a breach of contract. Will Ramesh succeed.?
3. XYZ Ltd., a textile company, enters into acontract with ABL Ltd. to supply electricity
fomtheir power generation plant. After supplies have been made for three months, i
.. Aiscovered that this activity is beyond the scope of the object clause of the
Memorandum of Association of XYZ Ltd. Shareholders of XYZ Lid. ratify the contract
in their general body meeting. Can ABC Ltd, which refuses to make payment because
the agreement is null and void, legally be compelled to make payment?
