FORM OF

FEE – FOR – SERVICE CONTRACT

BETWEEN

Aureus Multispecialty Clinic & Nursing Home

AND

Consultant Physician

This agreement is made on 1st November 2021, BETWEEN Aureus Multispecialty Clinic and Nursing
Home, Manish Nagar Nagpur (“Hospital”; “Aureus”) of the first part

AND

Dr. Sarang Atram – Consultant Physician of the second part.

WHEREAS:

A. The Aureus Multispecialty Clinic & Nursing Home has determined to appoint Dr. Sarang
Atram – Consultant Physician to provide his services at Aureus Multispecialty clinic &
Nursing Home Clinic and Doctor agrees to render such services under a service contract
between the Clinic and the Consultant Physician, the terms and condition of which contract
are hereunder.
B. The Consultant Physician is to be remunerated for the services provided under the contract
on a fee-for –service basis in accordance with the rates and conditions established under the
doctors’ packages as defined in this contract, relevant to the service rendered by the visiting
Doctors.

NOW IT IS HEREBY AGREED AS FOLLOWS:


1. APPOINTMENT – The Consulting Doctor is appointed on the terms and conditions set
point hereunder for the period specified in clause 2 of this contract.
2. TERM OF CONTRACT
a) This contract is to be for the period from 1st November 2021 to 31st December 2022
unless this contract is properly terminated by either party in accordance with this
contract.
b) The Consulting Doctor is, if otherwise qualified, eligible for but not entitled to re-
appointment upon the expiry of this contract. Satisfactory fulfilment by the Doctor
of the obligations under this contract shall be one of the considerations to be taken
into account in deciding whether to re-appoint the consulting Doctor. In the event 2
of re-appointment, a new service contract shall be made.
c) This contract shall not establish the relationship of employer and employee as
between the Consulting Doctor and the Hospital.
3. PROFESSINAL REPONSIBILITIES
a. The services provided by the Consulting doctors under the contract are to be
rendered by the consulting Doctor in accordance with the terms and conditions of
the Doctor’s appointment which include the professional responsibilities specified in
the following sub-clauses.
b. The medical services rendered to patients by the patients by the consulting Doctor
shall be consistent with the clinical privileges granted to the consulting Doctor under
this contract and the consulting doctor is to be remunerated for those services in
accordance with the rates and conditions established under the consulting Doctors
Fees.
c. The consulting Doctor shall participate in committees expressly established or
authorised by the board of the hospital and to which the consulting Doctors is
appointed by such board, where reasonably required by the Hospital for the proper
and efficient functioning of the hospital concerned. The consulting Doctors will be
remunerated for such participation in accordance with the settlement Package.
d. The consulting Doctor shall participate in an on-call roster for the provision of
medical services as may reasonably be required by the hospital , and when so
roistered the consulting Doctor shall be readily contactable at all times and be able
and prepared to attend the hospital concerned within a reasonable period of Time.
To enable the consulting Doctor to be readily contactable whilst he or she is on –call,
the Hospital will provide and maintain communications equipment (other than
normal telephone services) which is reasonably necessary in the circumstances.
e. The consulting Doctor shall be professionally responsible for the proper clinical
management and treatment of patients under the doctor’s care in the hospital and
shall attend patients admitted under the consulting Doctor’s care at a frequency
appropriate to the patient’s clinical needs;
f. The consulting Doctor shall take reasonable steps to ensure that the clinical records
related to the services provided related to the services provided by the consulting
Doctor, and those provided for patients under the consulting Doctor’s care, are
maintained adequately and that such completed records include details of
diagnosis, treatments and operations performed and a discharge summary
completed in the manner determined by the hospital after consulting with the
consulting Doctor; and shall comply with rules and by –laws in force from time to
time at the Hospital, not being inconsistent with any of the rights and obligations of
the consulting Doctor under this contract;
g. Consulting Doctor shall ensure that he or she complies with the statutory duty to
report certain criminal and disciplinary matters in writing to the Administration.
4. CLINICAL PROVILEGES
4.1 Subject to sub-clause 4.2 the consulting Doctor’s clinical privileges are as specified in
schedule 1 of this contract.
4.2 The Hospital may review and vary the clinical privileges of the consulting Doctor at
any time after advice from the appropriate credentials committee in respect of the
Aureus Multispecialty clinic & Nursing Home & Hospital. Nagpur on accordance with
any applicable Act or regulations, or by –laws in force at the specified hospital (s).
4.3 The medical services which the consulting Doctor provides to patients at the Aureus
Multispecialty clinic & Nursing Home, Nagpur shall be consistent with the clinical
privileges determined by the Hospital in respect of the consulting Doctor from time
to time. Doctors will be paid for their service as follows:-

Hospital may revise the payment model to the visiting doctors from time to time and get their
confirmation for such changes by giving at least one month notice before the change.

*BHC: Basic Hospital Changes – BHC is a pre-defined cost finalized by the Hospital which includes
surgeons Fee, Anaesthetist, OT Charges, Gas Charges, and Instrument Charges. Apart from BHC,
Patient will be changed separately for room Charges, Investigations, Consumables, Blood & its
components, Pharmacy and other Medical Management if clinically required.

* Net Bill: The Net Bill amount will be calculated after deducting Pharmacy, Consumables, Blood
Charges, and Cross Consultations & Procedure done by other consultants from the Total Bill
Amount.

5. HOSPITAL FACILITIES

The Hospital where reasonably practicable shall provide: (i) all ancillary, medical, nursing and clerical
assistance and facilities, instruments and equipment reasonably necessary for the proper
performance of the services to be rendered by the Visiting Doctor under the contract; and (ii) to the
consulting Doctor upon request and free of charges, sufficient suitable and serviceable outer
uniforms and duty garments, which shall remain the property of the Hospital and which shall be
laundered at the expenses of the hospital.

6. SUSPENSION OF CONTRACT
Subject to local Health Regulation, the Hospital may suspend the appointment of the consulting
Doctor in accordance with any applicable by –laws where it is necessary in the interests of the
hospital to which the consulting Doctor is appointed. Where the consulting Doctor is so suspended
the respective rights and obligations of the parties under the contract shall be suspended for the
duration of the suspension.
7. TERMINATION OF CONTRACT

The contract and the consulting Doctor’s corresponding appointment shall be terminated: (i) upon
the expiry of the period specified in clause 2 or on such earlier date as may be agreed between the
consulting Doctor and the Hospital; (ii) by 15 days’ notice in writing given by either the consulting
Doctor or the Hospital ;(iii) if the consulting Doctor becomes permanently mentally or physically
incapable of rendering services under the contract; (v) if the consulting Doctor commits serious and
wilful misconduct; or (vi) If the consulting Doctor’s appointment is terminated by operation of any
act or regulation.

On the termination of the contract, any amount due and payable to the consulting Doctor pursuant
to the contract shall be paid at the time of such termination or as soon thereafter as reasonably
practicable.

8. DISPUTE RESOLUTION PROCEDURE

The objective of each stage of this procedure is to achieve a result which is fair and equitable in the
circumstances. It is expected that both the consulting Doctor on behalf of the consulting doctor and
Heath Service will be prepared at all times to take part in bona-fide negotiations to agree on such a
result in any dispute between them without the necessity of taking it to a Liaison Committee for
determination or else by appointing Arbitrator.

FIRST ADDENDUM TO FEE FOR SERVICECONTRACT

By and Between

Aureus Multispecialty Clinic & Nursing Home

This addendum is made and entered on this 1st Nov 2021 between Aureus Multispecialty clinic &
Nursing Home (“Aureus”) and Dr. Sarang Atram – Consultant Physician (“The Consulting Doctor”).

“Aureus” and “The consulting Doctor” shall hereinafter be referred to collectively as the “Parties”
and individually as a “Party”

This Addendum is attached to and shall form part of the original Fee for service contract entered
between the parties on 1st Nov 2021 and valid up to 31st Dec 2021 (hereinafter referred as (Original
Contract”)

It is understood and agreed between the parties that this addendum provides only for the term &
conditions being modified / amended in the original Contract.

NOW THE PARTIES AGREE TO MODIFY THE BELOW MENTIONED CLAUSE OF THE ORIGINAL
CONTRACT

patients who will be consulted / admitted / operated by you at Aureus Multispecialty
clinic & Nursing Home, Nagpur.
(b) The term agreed in serial no. 3 & 4 mentioned in the above table are applicable for
patients referred by you for consultation and investigations / diagnostics to Aureus
Multispecialty clinic & Nursing Home, Nagpur.
*Net Bill: The Net Bill amount will be calculated after deducting Pharmacy, Consumables,
Blood Charged, and Cross Consultation & Procedures done by other consultants from the
Total Bill Amount.
Hospital may revise the payment model to the doctors from time to time and get their

3. Except the amendments agreed under this first addendum all the terms and conditions of
the Original Contract shall remain in full force and effect for your services solicited by Aueus
Multispecialty clinic & Nursing Home . Ltd. For its in-house patients.

IN WITNESS WHERE OF, the parties here to have caused this MOU to be executed as of the date
written below by their duly authorised representatives. The individuals signing below hereby
represent and warrant that they are duly authorised to execute and deliver this addendum on behalf
of their respective organisation and that this addendum is binding upon each party and organization
in accordance with its terms.
