Fabrication charges at TWCC for outsourcing of Form Travel | /ssr Profiles kind attention: Mr.Subramanian Dearsir, | Sub: Agreement for fabrication and related activities charges at L&T TWCC factory Kanchipuram for outsourcing of Form Traveller EVO3 (1No) : AS Per the RFQ floated to you in reference to the subject matter and agreement between M/s sR Profiles and TWCC factory, we would like to i 'struct you to carry out the fabrication at your vendor premises on below terms: 1. Type of Contract— item rate 2. Mode of measurement—Metric Tan (MT) ~ Estimated scope: ‘of supply: 1 no of Form traveller of approx. 54 MT 3. Rate per MT — A. Outsourcing of Fabricated structures 8) Rs 24,000 per MT is payable towards completion of fabrication and assembly of each MT post | LAT clearance as per the scope and drawings, quality requirements & measurement certification from L&T Engineer Incherge 5)_ Re 2,000 per MT is payable subjected to on time delivery of allotted scope and delay in the timeline incurred for any reason from either end shall be duly certified by L&T Engineer | incharge. Additional Terms & Conditions 1, Scope Schedule a: The Scope of work and daily / weekly/ monthly work pian shall be given by agency. The completion of the work isto be ensured through focus on productivity and mobilization of adeltional resources by the agency as and when required under the instruction of the ‘engineer-in-charge, Regular review meetings shall be called by L&T during work to review on the schedules, Progress, and resources to enable the agency to complete work in a time bound manner. 2. Deli edule: CIVEIY schedule shall be 30 days for Ino of Form traveller by 20 Jan 2024 for all the Should nee genclusive of Main structures and Shutter panels. Fabrication of subject order should not have impact on the progress of other operating jobs. 4. AS per approved L&T specification/ standards, 4, Drawing and entation ° @. As per approved L&T specification/ standards, 5. Advance Terms . Not applicable. 6. Inspection and Testing a Necessary assistance shall be extended by agency towards inspection of job. Quality of Work 3 The complete work as specified in the BOQ/scope is to be executed as per the drawings/ documents/ standards/ procedures/ QAQC plans issued by L&T. Em ». Cost of rework due to bad workmanship and quality norms violation, shall be recovered from S8ency and shall not be payable to the agency. The agency shall undertake the necessary rectification at its own cost. 9. Quantity Variation 3 The quantities of work mentioned In the work order will be indicative and the actual ‘uantities would be based on the detailed drawings and L&T engineer's Instructions to the ‘agency during the time of execution of the work, »- Any modifcation/ rework arising due to changes in the design/ drawing shall be admissible only 2s per the Item rates and mutually agreed quantities subject to approval from L&T. Damages and reworks arising due to non-compliance to drawings, technical documents, standards, QA-QC plans, and procedures and due to poor workmanship | Cannot be considered as extra work and hence not payable and the cost of damage | would be recovered from the agency. 10. Measurement Met! lation: . 3: The quantities executed will be measured as per UOM mentioned in the bil of quantities, b. The drawing will be taken as a reference for calculation of all measurement and billing will be done based on the dispatch structural weight of the fabricated product in comparison with the drg weight. Any weight variation if applicable shall be duly certified by Lar, & Certified measurement will be eligible for billing only when allinspection stages are cleared, | 4d. Reconciliation sheet certified by L&T should be enclosed along with every bil. | © L&T reserves the right for any partial measurement certification & billing for Work in Progress structures only whose production fe cycle s more than three months /90 days. 11. Price Variation 2. Price variation Is not applicable to this contract and agency shall consider the rates will be ‘xed from the date of award and shall derive the rate with necessary assumptions and standard statutory variations. 12, Taxes and Duties Variations 2. IT/10S (as applicable) shall be deducted from agency's monthly bil »- Goods and services Tax (GST) shall be pald directly by agency as per the central Goods and services Tax Act, 2017. However, LAT reserves the right o ask for the GST chalans paid by agency for the compliance with statutory norms. 13. Quantitative Payment Terms | 3 Payment would be made for the certified quantities as per the unit rates finalized with the gency. General terms and conditions for payment are as follows: 2) Billing period shall be as per mutually agreed delivery schedule. 5) Invoice is to be submitted (both soft & hard copy) upon delivery and payment shall be done within 45 days from the date of dispatch or invoice date or | ‘submission of invoice at factory (whichever is later) 14, Submission of Invoice b-tivoice, M-Book & Backups tobe submitted (both soft & hard copy) upon delivery, ‘2. The signed copy by Engineer in charge of M-Book & relevant backups to be submitted by the agencies for the invoice preparation. | 15. Liguidated Damage Calculations | __ The contract period shall be reviewed regularly by L&T with respect to delivery schedule, ‘Agency must exercise on time delivery for the allotted scope. 16. Completion of Works 2 Agency must complete job as per the schedule prepared by L&T Engineer. 17. Insurance/permits scope: Not applicable. | | 18. Royalty coverage: Not applicable to this contract, 19. Risk Purchase | In case of non-execution of mentioned scope due to administrative or any other fault of seency, LAT reserves the right to employ any other agency to complete the scope at 2¢encies’ cost with an additional 25% cost towards L&T administrative charges. 20. Materials ar 7 3. The transportation for raw material dispatch is under agency's scope. b. The transportation for dispatch of finished products is under L&T’ scope. ©The transportation for returning the scrap material after work completion is under L&T’s scope, jukadu 602 105, ¥ ant terms and special conditions: 2 Material Security 8G will be applicable as agreed by agency (Bank Guarantee existing, f0F 10 lakhs). The same is to be enhanced by the vendor to 15 lakhs for this contract. The PG will be valid for a year from the date of undertaking and to be revised before the ‘expiry date for further orders. if agency doesn’t have any further orders, PBG will be released after three months of work completion. ‘Agency shall give a minimum credit period of 45 Days from the date of dispatch or involce receipt of submission of invoice at factory (whichever Is later). However, L&T ‘may review the production progress and may take a call for releasing part payments as ‘running bill. No advance payment shall be paid by L&T, & Except with the written consent from M/s L&T/Customer, agency shall not disclose the contract oF any provision, specification, plan, design, pattern, sample, or information thereof to any other party. ‘The agency shall submit the communication matrix with details and contacts of Personnel involved with their roles identified along with acceptance of the work order. & Any consumption of paints more than the specified norms/wastages shall be debited with additional 25% administrative charges along with applicable GST 22: Reconciliation: Reconciliation of structural raw materials/scrap generated/offcuts shall be Submitted by the agency for validation and the same shall be certified by L&T for clearance as er the norms standardized. Nesting of plates to be done post concurrence of the cutting plan and allowances considered for burning scrap incurred during CNC Cutting. Final biling shall be cleared post finalization of recorcilation and completion of lifting of scraps/excess offeuts {rom agency end. Regarding paints, max 30% wastage willbe considered for paints application, Consumption and cost of paints beyond 30% or more than norms as per paint supplier would bbe recovered from M/s SR Profiles. Settlement of Disputes 2: All disputes or difference of opinions on account of interpretation of clauses, scope, unit: ‘ates, Procedures and technical specifications shall be resolved through direct and mutual discussions. However, the decision of the Factory head, TWCC Factory Kanchipuram, Heavy Civil Infrastructure IC, Larsen & Toubro Limited shall be final and binding on the contract. 25. Your: i a. Arbitration 2 All disputes or difference of opinions on account of interpretation of clauses, scope, unit ‘ates, Procedures and technical specifications shall be resolved through direct and mutual Giscussions. Termination of Contract a In case of continuous poor performance such as poor administrative control, non- compliance of instructions by L&T Engineer-in-charge, non-payment of statutory payments to workmen, etc,, the agency shall be terminated, and the subject work shall be allocated to an alternate agency. The cost of deployment of alternate agency shall be borne by the non-performing agency. 28. Retention a. Not Applicable.
